[value] => Der Bundesgerichtshof (BGH) hat eine hochbrisante Entscheidung getroffen (Az.: XII ZR 114/16) und sog. Schriftformheilungsklauseln für unwirksam erklärt. Die Parteien können damit grds. jeden Formverstoß zum Anlass nehmen, einen langfristigen Mietvertrag vorzeitig zu kündigen. Das trifft Vermieter und Mieter gleichermaßen wie Immobilieninvestoren, für die der cash-flow aus langfristigen Mietverträgen Grundlage ihrer Investitionsentscheidung ist. Große Gewerbeobjekte werden meist langfristig vermietet. Man braucht Planungssicherheit. Nach dem Gesetz sind feste Laufzeiten von mehr als einem Jahr jedoch nur wirksam, wenn der Mietvertrag schriftlich geschlossen wird. Andernfalls kann der Vertrag jederzeit gekündigt werden.
Zwar hat die Rechtsprechung die Anforderungen an die Schriftform bereits über die Zeit deutlich gelockert, dennoch sind diese noch immer schwer zu erfüllen. Zu Verstößen kommt es insbesondere, wenn langfristige Verträge abgeändert werden, denn auch jede wesentliche Änderung muss schriftlich erfolgen. Dies wird regelmäßig nicht beachtet.
Um dem Risiko der jederzeitigen Kündbarkeit zu begegnen, haben sich in der Praxis Schriftformheilungsklauseln durchgesetzt. Nach diesen sind die Parteien verpflichtet, Formmängel zu beheben und den Mietvertrag nicht unter Berufung auf solche Mängel vorzeitig zu kündigen. Dieser Schutz besteht nun nicht mehr.
Neben den unmittelbar betroffenen Vertragsparteien hat das Urteil des BGH vor allem Folgen für Immobilieninvestoren. Hängt deren Investitionsentscheidung von dem cash-flow aus langfristigen Mietverträgen ab, sollten sie ab sofort noch sorgfältiger prüfen. Zwar hat der BGH Raum für abweichende Entscheidungen gelassen, wenn sich die Kündigung ausnahmsweise als treuwidrig darstellt. Jedoch wird es in der Praxis schwierig sein, die Einzelheiten der Treuwidrigkeit zu bewerten.

Las partes podrán, en principio, aprovechar cualquier vulneración de la forma para rescindir de forma anticipada un contrato de arrendamiento a largo plazo. Esto afecta a propietarios, inquilinos e inversores para los que el flujo de caja de los contratos de arrendamiento a largo plazo es la base de su decisión de invertir. Las grandes superficies comerciales son arrendadas generalmente a largo plazo, ya que se necesita seguridad de planificación.
Según la ley, sólo es válida una duración fija de más de un año si el contrato de arrendamiento se ha celebrado por escrito. De lo contrario, el contrato podrá rescindirse en cualquier momento. Si bien la jurisprudencia ha suavizado los requisitos de la forma escrita, éstos siguen siendo difíciles de cumplir, en particular, cuando se hacen modificaciones esenciales a los contratos, igualmente sujetas a la estricta forma escrita. Las partes muchas veces no lo tienen en cuenta. Para afrontar el riesgo de rescisión anticipada, en la práctica se habían venido incluyendo las cláusulas de subsanación de la forma escrita. En virtud de las cuales, las partes se obligaban a subsanar todos los defectos de forma y a no rescindir antes de tiempo el contrato de arrendamiento, invocando tales defectos. Esta protección ha dejado de existir.
Junto a las partes afectadas directamente, la sentencia del BGH tiene sobre todo consecuencias para los inversores inmobiliarios. Si su decisión depende del flujo de caja de los contratos de arrendamiento a largo plazo, deberían analizarlas aún con más diligencia que antes. Sin duda, el BGH ha dejado margen para otras decisiones, ya que la rescisión puede ser excepcionalmente contraria a la buena fe. No obstante, en la práctica será difícil valorar los elementos de la buena fe.
