[value] => Der Marktführer Edeka hatte Ende 2008 rund 2.300 Filialen der Discountkette „Plus“ von seinem Wettbewerber Tengelmann übernommen und gliederte diese sodann in seine eigene Discountkette „Netto“ ein. Danach forderte der Handelsriese nach einem Vergleich der Einkaufspreise der beiden Ketten von etwa 500 Lieferanten die jeweils besten Konditionen für sich. Die Konditionen waren Bestandteile von Gesamtpaketen, die „Plus“ zuvor ausgehandelt hatte und so auch jeweils Vorteile für die Lieferanten beinhalteten. Darüber hinaus verlangte Edeka eine ganze Reihe von anderen Vergünstigungen.
Das Bundeskartellamt sah darin einen Missbrauch der Marktmacht. Edeka brachte vor, dass sowohl die Rabatte als auch die übrigen Abmachungen das Ergebnis von Verhandlungen zwischen annähernd gleich starken Parteien gewesen seien.
Das Oberlandesgericht Düsseldorf war dieser Argumentation im November 2015 gefolgt. Durch das Urteil vom 23.01.2018 hob der BGH die Entscheidung des OLG Düsseldorf auf.
Nach Ansicht des BGH ging das OLG von einem fehlerhaften Beurteilungsmaßstab aus. Insbesondere wegen des Fehlens eines sachlich gerechtfertigten Grundes für die einseitigen Begünstigungen hatte die Rechtsbeschwerde Erfolg. Durch eine umfassende Gesamtbetrachtung kam der BGH zu dem Schluss, dass Edeka seine Marktmacht und die Abhängigkeit der Lieferanten bei den Verhandlungen missbraucht hatte. Edeka habe aus den Gesamtpaketen nur die Vorteile, die für Plus bestanden, herausgepickt und unverhältnismäßige Bedingungen an Lieferanten gestellt.
Andreas Mundt, Präsident des Bundeskartellamtes: „Die Entscheidung des Bundesgerichtshofs hat gezeigt, dass das kartellrechtliche Verbot des Missbrauchs von Verhandlungsmacht greift. Der Gesetzgeber hat dieses Verbot mehrfach nachgeschärft. Nun hat der Bundesgerichtshof weitere Steine aus dem Weg geräumt. Das ist ein wichtiges Signal für die Branche. Hartes Verhandeln ist möglich, Missbrauch von Marktmacht ist verboten.“

El Tribunal de Apelación en Düsseldorf compartió este argumento en noviembre de 2015. Mediante la sentencia del 23.01.2018, la Corte Federal de Justicia anuló la decisión del Tribunal.
La Corte Federal no veía justificadas las acciones debido, en particular, a la falta de un motivo que apoyara objetivamente los beneficios unilaterales. A través de una evaluación global exhaustiva, la Corte Federal llegó a la conclusión de que Edeka había abusado de su poder de mercado y de la dependencia de los proveedores durante las negociaciones. Edeka seleccionó del paquete total solo los beneficios que existían para Plus e impuso condiciones desproporcionadas a los proveedores.
Andreas Mundt, presidente de la Oficina Federal de la Competencia para Alemania: “La decisión de la Corte Federal de Justicia ha demostrado que la prohibición antimonopolio del abuso de poder de negociación se sigue aplicando. La legislatura ha agudizado esta prohibición varias veces. Ahora, el Tribunal Federal ha despejado el camino. Esto es un signo importante para la industria. Las negociaciones pueden ser duras, pero el abuso de poder de mercado está prohibido.”
