[value] => Eines der wichtigsten Mittel für einen Handelsvertreter, seine Provisionsansprüche gegen den Unternehmer überprüfen zu lassen, besteht in dem Verlangen nach einem Buchauszug.
Der Handelsvertreter kann von dem Unternehmer verlangen, dass dieser ihm über sämtliche provisionspflichtigen Geschäfte eine geordnete Übersicht erteilt, in der die Geschäftsvorfälle und alle Umstände aufgeführt werden, aufgrund derer der Handelsvertreter seinen Provisionsanspruch berechnen kann. Wenn der Unternehmer den Buchauszug nicht freiwillig erteilt, kann der Handelsvertreter seine Ansprüche auf Provision in einer sog. Stufenklage durchsetzen, indem er zunächst die Erteilung eines Buchauszugs verlangt und in der zweiten Stufe des Verfahrens seine Zahlungsansprüche geltend macht.
Aber welche Möglichkeiten stehen dem Handelsvertreter zur Verfügung, wenn der Unternehmer den Buchauszug nicht freiwillig erstellt? In diesem Falle hat er die Möglichkeit, über das zuständige Gericht die Ermächtigung zur Ersatzvornahme zu beantragen (Durchführung der Bucheinsicht durch einen unabhängigen Wirtschaftsprüfer oder vereidigten Buchsachverständigen). Ist dieses Verfahren schon innerhalb Deutschlands einigermaßen kompliziert, gilt dies naturgemäß erst recht, wenn der Unternehmer im Ausland sitzt. In einer neuen Entscheidung des OLG München ist nun aber klargestellt worden, dass der Handelsvertreter den Antrag auf Festsetzung eines Kostenvorschusses für die Durchführung der Ersatzvornahme im Ausland vor dem zuständigen deutschen Gericht stellen kann (Beschluss vom 19.1.2018 – 7B1654/17).
Hierdurch wird die effektive Durchsetzung der Ansprüche des Handelsvertreters erheblich erleichtert.

[value] => Uno de los medios más importantes para que un agente comercial pueda verificar su derecho al cobro de las comisiones frente al empresario consiste en la solicitud de los extractos contables.
El agente comercial puede exigir al empresario que le proporcione una visión general ordenada sobre todas las operaciones comerciales que queden sujetas al cobro de comisiones, en el que queden recogidas las transacciones y todas las circunstancias que le permitan al agente comercial calcular su derecho a comisiones. Si el empresario no proporciona los extractos contables de manera voluntaria puede hacer valer sus derechos mediante la denominada demanda escalonada, solicitando en primer lugar la expedición de los extractos contables y alegando en una segunda fase sus derechos de pago.
Pero, ¿qué opciones tendría el agente comercial a su disposición en el supuesto de que el empresario se niegue a configurar los extractos contables? En este caso, tendría la posibilidad de solicitar ante el tribunal competente una ejecución subsidiaria (obtener a una examinación de la contabilidad a través de un auditor independiente o contable jurado). Si este procedimiento ya es bastante complicado dentro de Alemania, con mayor motivo lo es cuando el empresario tiene su domicilio en el extranjero. Sin embargo, en una reciente resolución del Tribunal Regional Superior de Múnich (Resolución de 19-01-2018 – 7 B 1654/17) se ha clarificado que el agente comercial puede solicitar ante los tribunales alemanes competentes la fijación de un anticipo de los gastos para la ejecución subsidiaria en el extranjero.
Esto facilita enormemente la aplicación efectiva de los derechos del agente comercial.
