[value] => Ende April 2019 ist das Geschäftsgeheimnisschutzgesetz in Deutschland in Kraft getreten. Es basiert auf einer EU-Richtlinie. Mit diesem Gesetz wird die Materie in Deutschland erstmals systematisch geregelt und ähnliche Regelungen gibt es inzwischen in den anderen EU-Staaten, die ebenfalls die Richtlinie umgesetzt haben. Dies führt erfreulicherweise zu einer Harmonisierung innerhalb der EU.
Für Unternehmen ergeben sich durch das neue Gesetz wesentliche Veränderungen und Anpassungsbedarf. Erstmals wird der Begriff des „Geschäftsgeheimnisses“ gesetzlich definiert. Es fallen darunter alle Betriebsgeheimnisse und Informationen, die nicht anderweitig schutzrechtsfähig sind (wie z.B. Patente, Geschmacksmuster, o.ä.). Insbesondere fällt darunter Know-How. Ein ganz wesentlicher Unterschied zum bisherigen Recht besteht darin, dass als schützenswert nur solche Geheimnisse anerkannt werden, für die der Inhaber auch entsprechende Schutzvorkehrungen getroffen hat (also das Verwahren von Geschäftsgeheimnissen an einem sicheren, abschließbaren Ort, soweit sie verkörpert sind; Zugangssicherungen bei elektronischen Daten, etc.). Mit anderen Worten: Wenn der Unternehmer mit Geschäftsdaten vollkommen sorglos umgeht und sie offen herumliegen lässt, wird er sich nicht mehr darauf berufen können, dass es sich überhaupt um ein Geschäftsgeheimnis handelt.
Zu den weiteren Neuerungen gehört, dass die „Rückwärtsermittlung“ (sogenanntes „Reverse Engineering“), also die Untersuchung eines Gegenstands im Wege der Zerlegung in seine Bestandteile, Entschlüsselung, etc. grundsätzlich erlaubt ist. Vertraglich kann das Reverse Engineering verboten werden. Insoweit besteht in vielen Vertragsverhältnissen akuter Handlungs-und Anpassungsbedarf. So sollten alle Geheimhaltungsvereinbarungen („Non-Disclosure Agreements“) um entsprechende Formulierungen ergänzt werden.

[value] => A finales de abril de 2019 entró en vigor en Alemania la Ley de Protección de Secretos Comerciales. Se basa en una Directiva de la UE. Mediante esta ley se regula la materia sistemáticamente por primera vez en Alemania, existiendo entre tanto regulaciones similares en otros Estados de la UE, que igualmente han transpuesto la Directiva. Afortunadamente, esto conduce a una armonización dentro de la UE.
Para las empresas la nueva ley supone cambios significativos y una necesidad de adaptación. Por primera vez, el concepto “secreto comercial” ha quedado definido legalmente. Este término abarca todos los secretos empresariales e informaciones que, de otra manera, no son objeto de protección (p.ej. patentes, modelos o similares). En particular, abarca el Know-How. Una diferencia muy significativa con respecto a la ley anterior es que sólo van a ser objeto de protección aquellos secretos para los que el titular también haya adoptado medidas de protección adecuadas (es decir, almacenar los secretos comerciales en un lugar seguro y con cerradura, en la medida en que estén incorporados; seguridad de acceso a los datos electrónicos, etc.). En otras palabras: Si el empresario trata los datos de la empresa de forma completamente descuidada y los deja al descubierto, no podrá afirmar que se trata de un secreto comercial.
Otra de las novedades que se incluyen en la ley es que la “ingeniería inversa” (la llamada “Reverse Engineering”), es decir, el examen de un objeto mediante el desmontaje de sus piezas, la descodificación, etc. está permitida. La ingeniería inversa se puede prohibir contractualmente. En este sentido, existe una candente necesidad de actuación y adaptación en muchas relaciones contractuales. Así, todos los acuerdos de confidencialidad („Non-Disclosure Agreements“) deben completarse con las formulaciones adecuadas.
