[value] => Das deutsche Geschäftsgeheimnisschutzgesetz (GeschGehG) ist zum 26.04.2019 in Kraft getreten und setzt eine europäische Richtlinie um. Für Klagen nach dem Gesetz (bspw. auf Unterlassung oder Zahlung von Abfindung bei Verletzung) sind zunächst ausschließlich die Landgerichte am Sitz des Beklagten zuständig. Wenn der Beklagte aber keinen allgemeinen inländischen Gerichtsstand hat, ist grundsätzlich das Landgericht am Ort der Handlung zuständig. Diese Regelungen sind erfreulich eindeutig. Fraglich ist aber, ob Parteien, die regelmäßig im Austausch von geschäftlichen Informationen stehen, z. B. in Non-Disclosure Agreements (NDAs), weiterhin einen anderen Gerichtsstand vereinbaren können oder ob diese durch die ausschließlichen Gerichtsstände des GeschGehG verboten werden. Hier sind drei Situationen zu unterscheiden:
- Bei rein nationalen Sachverhalten (zwei deutsche Parteien) verbietet der ausschließliche Gerichtsstand am Sitz des Beklagten eine alternative Vereinbarung.
- In „europäischen“ Fällen (Beklagter ist in einem EU-Staat ansässig) sind Gerichtsstandsvereinbarungen weiter zulässig. Denn die EuGVVO, die solche Vereinbarungen erlaubt, geht dem rein nationalen GeschGehG vor (Anwendungsvorrang des Europarechts). Dasselbe gilt für das Lugano-Übereinkommen, das im Verhältnis zu Schweiz, Norwegen und Island anwendbar ist.
- In Drittstaatsfällen (Beklagter sitzt in Drittstaat) gibt es keine vorrangigen Regelungen. Es gilt also die ausschließliche Zuständigkeit am Handlungsort (kein allgemeiner inländischer Gerichtsstand des Beklagten).
Besonderheiten können sich aus vorrangigen Staatsverträgen oder AGB-Regelungen ergeben. Wie immer sind daher die Umstände des Einzelfalls zu prüfen.

[value] => La Ley alemana de Protección de los Secretos Comerciales (Geschäftsgeheimnisschutzgesetz, de forma abreviada GeschGehG) entró en vigor el 26-04-2019 y transpone una Directiva europea. De acuerdo con la ley, en un principio serán exclusivamente competentes para conocer de las acciones (p.ej. de cesación o pago de una indemnización en supuestos de vulneración) los tribunales regionales del domicilio del demandado. Sin embargo, si el demandado no tiene una jurisdicción nacional general, será competente, en principio, el tribunal regional del lugar de la acción. Estas reglas son muy claras. No obstante, cabría plantearse si las partes que intercambian periódicamente informaciones comerciales podrían seguir acordando otro lugar de jurisdicción p.ej. en los Non-Disclosure Agreements (NDAs), o si esto estaría prohibido en base a la jurisdicción exclusiva de la GeschGehG. Aquí habría que tener en cuenta tres situaciones:
- En asuntos puramente nacionales (dos partes alemanas), el fuero exclusivo del domicilio del demandado prohíbe un acuerdo alternativo.
- En los casos “europeos” (el demandado está domiciliado en un Estado de la UE), los acuerdos de jurisdicción siguen estando permitidos, puesto que el Reglamento (UE) n° 1215/2012, que permite tales acuerdos, tiene prioridad sobre la puramente nacional GeschGehG (primacía de aplicación del Derecho de la UE). Lo anterior rige también para el Convenio de Lugano, que resulta aplicable en Suiza, Noruega e Islandia.
- En los casos de terceros países (demandado domiciliado en un tercer Estado), no existen reglas prioritarias. Por ello, se aplica la jurisdicción exclusiva del lugar de la acción (no la jurisdicción nacional general del demandado).
Pueden surgir particularidades de los prioritarios Tratados estatales o de las reglas de las CGC. Por lo tanto, como siempre, deben examinarse las circunstancias del asunto en cuestión.
