[value] => Die spanischen Provinzgerichte haben sich über die Gültigkeit von Exklusivitätsklauseln in Immobilienvermittlungsverträgen mit Verbrauchern geeinigt. Mit seinem Urteil vom 10. Mai hat der Oberste Gerichtshof schließlich seine Gültigkeit erklärt. Diese Klauseln sind in Verträgen enthalten, in denen die Verbraucher den Verkauf ihrer Immobilien an Professionelle übertragen. Darüber hinaus legen diese Klauseln nicht nur die Exklusivität des Vermittlers beim Verkauf solcher Immobilien fest, sondern sehen auch eine Entschädigung für die Fälle vor, in denen die Immobilie während der Laufzeit des Vertrages von einer anderen Person als dem Vermittler schließlich verkauft wird.
Nach Ansicht des Obersten Gerichtshofs ist es jedoch notwendig, dass sie bestimmte Anforderungen erfüllen, damit diese Art von Klauseln nicht als missbräuchlich angesehen werden. Dazu gehören die Notwendigkeit der Klarheit und Vollständigkeit der Klauseln über die Exklusivität der Bestellung sowie die Dauer und die Entschädigung, die der Verbraucher im Falle einer Vertragsverletzung bezahlen muss. Eine andere Problematik ist, ob die Entschädigung in einem proportionalen Verhältnis zu den erbrachten Leistungen steht oder nicht. Um diesen Aspekt zu bestimmen, müssen verschiedene Extreme analysiert werden, wie z.B. der Nutzen, den der Eigentümer der Immobilie durch die Tätigkeit des Vermittlers erhält, oder die von diesem verwendeten Werbemittel. Ausgehend von den Aussagen des Obersten Gerichtshofs ist klar, dass die Klauseln, die die Exklusivität des Vermittlers vorsehen, grundsätzlich gültig sind und dass sie im Falle einer Vertragsverletzung durch die Verbraucher eine Entschädigung für den Vermittler begründen.

[value] => Tras años de discrepancias entre las Audiencias Provinciales de España respecto a la validez de las cláusulas de exclusividad en los contratos de mediación inmobiliaria suscritos con quienes tienen condición de consumidores, el Tribunal Supremo, en su Sentencia del pasado 10 de Mayo, ha declarado, finalmente, su validez. Estas cláusulas, habitualmente incluidas en los contratos relativos al encargo de la venta de inmuebles entre consumidores y profesionales, no solo establecen la exclusividad del mediador en la venta de tales inmuebles, sino que en ellas también se contempla una indemnización para aquellos supuestos en los que el inmueble sea finalmente vendido durante la vigencia del contrato por persona distinta del mediador.
No obstante, según ha declarado el Tribunal Supremo, para que este tipo de cláusulas no sean consideradas abusivas, y por ende nulas, es necesario que cumplan unos requisitos. Cuestión distinta es si la indemnización es desproporcionada entre ellos, se encuentra la necesidad de claridad y compresión de las cláusulas que establecen la exclusividad del encargo, así como el plazo de duración y la indemnización a pagar por el consumidor en el supuesto de incumplimiento contractual en relación a los servicios prestados o no. Para determinar este aspecto, deberán ser analizados diversos extremos, como, por ejemplo, el beneficio obtenido por parte del titular del inmueble debido a la actuación del mediador o los medios de publicidad empleados por éste. En virtud de lo señalado por el Tribunal Supremo, queda claro que, por tanto, a priori, son válidas las cláusulas que contemplan la exclusividad del agente inmobiliario y que, a su vez, establecen la percepción a su favor de una indemnización en los supuestos de incumplimiento contractual por parte de los consumidores.
