[value] => Das UN-Kaufrecht gilt als vereinheitlichtes Kaufrecht bei grenzüberschreitenden Kaufverträgen in insgesamt 85 Staaten. Es geht damit dem nationalen Recht vor, beispielsweise dem deutschen Bürgerlichen Gesetzbuch (BGB) oder Handelsgesetzbuch (HGB). Dieses unterscheidet sich teilweise ganz gravierend vom UN-Kaufrecht. Nach UN-Kaufrecht ist beispielsweise der Anspruch auf Schadensersatz, einschließlich des entgangenen Gewinns, verschuldensunabhängig.
Den Standardvorrang des UN-Kaufrechts kennen viele Anwender aber nicht. Häufig verhandeln Parteien über Streitigkeiten und rekurrieren dabei fälschlicherweise auf BGB- oder HGB-Normen, die aber eigentlich nicht anwendbar sind. Das OLG Koblenz hat dieses Verhalten in einem schon etwas älteren Urteil vom 20. Januar 2016 (Az. 5 U 781/15) aufgegriffen und daraus einen konkludenten Ausschluss des UN-Kaufrechts gefolgert. Damit widerspricht es mehr als einem halben Dutzend obergerichtlicher Entscheidungen, die es genau anders sehen. Diese hat das hier besprochene Urteil aber nicht mal zitiert. In den anderen Urteilen hatten die Gerichte noch ein Erklärungsbewusstsein der Parteien verlangt. Wer nicht weiß, dass das UN-Kaufrecht anwendbar ist, kann es auch nicht ausschließen, argumentieren die anderen Gerichte und bewahrten die Parteien damit möglicherweise vor einem großen Fehler.
Denn jedem Unternehmer ist dieses Erklärungsbewusstsein zu wünschen. Es mag Fälle geben, in denen ein Ausschluss des UN-Kaufrechts sinnvoll ist, in ganz vielen Fällen ist dieser Ausschluss aber nicht gut überdacht und nur auf die Angst vor der unbekannten Materie des UN-Kaufrechts zurückzuführen. Das kann zu gravierendem Rechtsverlust führen, beispielsweise weil man dadurch Schadensersatzansprüche verliert oder sich der Mängelgewährleistung des BGB bzw. HGB aussetzt, die in Teilen viel schärfer ist.

Tienen prioridad sobre el Derecho nacional, por ejemplo, sobre el Código civil alemán (BGB) y el Código de comercio alemán (HGB). Éstos se diferencian en parte de manera drástica de la CISG. Por ejemplo, según éste el derecho a reclamación por daños, incluido el lucro cesante, es independiente de la culpa.
No obstante, muchos usuarios no conocen la prioridad estándar de la CISG. A menudo las partes negocian la regulación de los conflictos y recurren erróneamente a las normas del BGB o del HGB, que de hecho no son aplicables. El Tribunal Regional Superior (OLG) de Koblenz ha retomado esta forma de actuar en una sentencia ya algo vieja de 20 de enero de 2016 (Exp. 5 U 781/15) y ha inferido una exclusión concluyente de la CISG. Así contradice más de una media docena de sentencias de tribunales superiores que lo ven exactamente diferente. Éstas no fueron ni citadas en la sentencia comentada. En las otras sentencias, los tribunales exigieron a las partes la conciencia de hacer una declaración. Quien no sabe que la Convención sobre la compraventa internaional es aplicable, tampoco puede excluirlo, argumentaron los otros tribunales y posiblemente con ello libraron a las partes de cometer un gran error.
Todo empresario debería tener esta conciencia de hacer una declaración. Puede haber casos en los que la exclusión del CISG tenga sentido, en muchos otros esta exclusión no está meditada y sólo debido al miedo a lo desconocido del derecho internacional. Esto puede conducir a la seria pérdida de derechos, por ejemplo, porque con ello se menoscaba el derecho a indemnización o se suspende la garantía por defectos del BGB o del HGB, que en algunas partes es más estricta.
