[value] => Die Vereinbarkeit der deutschen Unternehmensmitbestimmung mit Europarecht beschäftigt nun auch den EuGH. Auf dem Prüfstand steht die Frage, ob die deutsche Unternehmensmitbestimmung mit Europarecht vereinbar ist. Die Mitbestimmung könnte nämlich gegen das Diskriminierungsverbot aufgrund der Staatsangehörigkeit und gegen die Arbeitnehmerfreizügigkeit verstoßen.
Dabei geht es um zwei unterschiedliche Aspekte: Zum einen ist zu klären, ob im Ausland beschäftigte Arbeitnehmer eines Konzerns bei den Schwellenwerten für das Eingreifen von Mitbestimmung (mehr als 2.000 Arbeitnehmer nach dem Mitbestimmungsgesetz und mehr als 500 Arbeitnehmer nach dem Gesetz über die Drittelbeteiligung der Arbeitnehmer im Aufsichtsrat) zu berücksichtigen sind. Zum anderen stellt sich die Frage, ob der Ausschluss von im Ausland beschäftigten Arbeitnehmern eines Konzerns vom aktiven und passiven Wahlrecht für den Aufsichtsrat des deutschen Unternehmens unionsrechtswidrig ist.
Der Ausgang dieser Verfahren ist für deutsche Unternehmen von gravierender Bedeutung. Würde sich herausstellen, dass die Begrenzung der deutschen Mitbestimmung auf das Inland unionsrechtswidrig wäre, hätte dies zur Folge, dass sich die Mitbestimmungslandschaft in Deutschland erheblich ändert. Wenn bei den Schwellenwerten auch Arbeitnehmer aus dem Ausland zu berücksichtigen sind, würden viele deutsche Unternehmen zukünftig der Drittelbeteiligung oder der paritätischen Mitbestimmung unterliegen, bei denen das bisher (noch) nicht der Fall ist. Hätten die ausländischen Arbeitnehmer zudem ein aktives und passives Wahlrecht, würde sich die Zusammensetzung der Aufsichtsräte ändern.
Betroffene Unternehmen sollten vor diesem Hintergrund prüfen, ob in ihrem Fall eine der in der Praxis verfügbaren Strategien zur Vermeidung von Mitbestimmung, insbesondere unter Einsatz einer Europäischen Aktiengesellschaft, ergriffen werden kann.

La cuestión es si la cogestión de los empleados en las empresas alemanas vulnera la prohibición de discriminación por nacionalidad y la libre circulación de los empleados.
Se trata de dos aspectos diferentes: Por un lado, si los empleados de un grupo de empresas que trabajan en el extranjero deben tenerse en cuenta para el cálculo de la cifra de empleados necesaria para la aplicación de su cogestión en la empresa (más de 2.000 empleados según la Ley alemana de cogestión de los empleados y más de 500 empleados según la Ley alemana de participación de un tercio de empleados en el Consejo de Control). Por otro lado, si la exclusión del derecho de elección activo y pasivo en el Consejo de Control para aquellos empleados de un grupo de empresas que trabajan en el extranjero vulnera el Derecho europeo.
El resultado de este procedimiento es de extrema importancia para las empresas alemanas. Si el resultado fuera que la limitación de la cogestión de los empleados a aquellos que trabajan en territorio nacional fuera contraria al Derecho europeo, la consecuencia sería un cambio drástico de la situación actual en las empresas alemanas. Si debieran tenerse en cuenta a los empleados en el extranjero para el cálculo de la cifra de empleados necesaria para la aplicación de su cogestión en la empresa, muchas empresas alemanas, que hoy (todavía) no están sujetas a esta regulación, quedarían sujetas a ella. Además, si los empleados en el extranjero tuvieran un derecho de elección activo y pasivo, cambiaría la composición de los Consejos de Control.
Ante esto, las empresas afectadas deberían comprobar si, en su caso, existen estrategias para evitar una cogestión de los empleados, especialmente mediante el uso de una Sociedad Anónima Europea.
