[value] => In der Ausgabe März 2012 hatten wir bereits über die Neufassung von § 50 d Abs. 3 EStG berichtet, wodurch mit Wirkung ab 01.01.2012 die Regelungen zur Vermeidung unberechtigter Erstattung bzw. Abstandnahme von der Einbehaltung deutscher Quellensteuern auf Dividenden, Zinsen, Lizenzen etc. an im Ausland ansässige und nicht an einer Börse notierten Gesellschaften geändert wurden. Die Regelungen zielen auf eine Vermeidung missbräuchlicher Gestaltungen durch die Zwischenschaltung ausländischer Gesellschaften ab (sog. treaty shopping).
Das Finanzgericht Köln hat in einem jüngst veröffentlichten Beschluss vom 08.08.2016 (2 K 2995/12) Zweifel daran geäußert, ob § 50 d Abs. 3 EStG in der Fassung des Jahressteuergesetzes 2007 - also vor der vorgenannten Änderung - mit der europäischen Niederlassungsfreiheit und mit der Mutter-Tochter-Richtlinie vereinbar ist und die Frage daher dem Europäischen Gerichtshof (EuGH) zur Entscheidung vorgelegt. Im Streitfall war eine in Deutschland ansässige natürliche Person über eine in den Niederlanden ansässige Kapitalgesellschaft an einer deutschen Gesellschaft mit beschränkter Haftung beteiligt.
Das Bundeszentralamt für Steuern lehnte den Antrag auf Erstattung der von der GmbH einbehaltenen Quellensteuer auf die Dividende an die niederländische Muttergesellschaft mit der Begründung ab, dass diese zwar über Büroräume und eigenes Personal verfüge, aber als reine Holdinggesellschaft keine eigene Wirtschaftstätigkeit im Sinne von § 50 d Abs. 3 Satz 3 EStG 2007 ausübe.
Auch die Europäische Kommission hatte § 50 d Abs. 3 EStG 2007 bereits beanstandet (vgl. Pressemitteilung vom 18.03.2010, IP\10\298; Aktenzeichen der Kommission 2007/4435), das Gericht stützt seine europarechtlichen Zweifel insbesondere auf die Rechtsprechung des EuGH in der Rechtssache Cadbury Schweppes (Urteil vom 12.09.2006 – C-196/04).

[value] => En la edición de marzo 2012 de este boletín informamos sobre la nueva redacción del Art. 50 d (3) LIRPF alemana (EStG), mediante la cual, con efectos a partir de 01/01/2012, se modificaron las regulaciones para evitar la devolución indebida, así como la renuncia a la retención en la fuente de impuestos alemanes sobre dividendos, intereses, cánones, etc. para empresas no residentes en Alemania que no están cotizadas en bolsa. Dichas regulaciones tienen por objeto evitar la utilización de una planificación fiscal abusiva a través de la intermediación de sociedades no residentes (“treaty shopping”).
El Tribunal de lo Fiscal de Colonia, en una decisión recién publicada el 08/08/2016 (2 K 2995/12), ha manifestado sus dudas sobre si el Art. 50 d (3) EStG 2007 – es decir, antes de la mencionada modificación – sería conforme con la libertad de establecimiento y con la Directiva de Matrices y Filiales de la UE y ha planteado la cuestión al Tribunal de Justicia de la Unión Europea (TJUE) para que decida al respecto. En este objeto de litigio, una persona física residente en Alemania era partícipe de una sociedad limitada alemana a través de una sociedad de capital establecida en los Países Bajos.
La Oficina Tributaria Federal Central denegó la solicitud de devolución de las retenciones por dividendos practicadas en la fuente de la sociedad limitada alemana (GmbH) a la sociedad matriz holandesa con la argumentación de que esta última, si bien disponía de oficinas y personal propio, como mera sociedad holding no realizaba ninguna actividad económica propia en el sentido del Art. 50 d (3) EStG de 2007.
La Comisión Europea ya había manifestado sus objeciones con respecto a la redacción de 2007 del Art. 50 d (3) EStG (véase la comunicación de prensa de 18/03/2010, IP\10\298; referencia de la Comisión 2007/4435), el Tribunal basa sus dudas en relación al derecho europeo especialmente en la jurisprudencia del TJUE en el asunto Cadbury Schweppes (Sentencia de 12.09.2006 – C-196/04).
