[value] => Geschäftsgeheimnisse sind in Deutschland und in der Europäischen Union bisher unzulänglich geschützt. Deshalb hat die Europäische Union im Juli 2016 eine Richtlinie in Kraft gesetzt, welche einheitliche Definitionen, Standards und einen Mindestschutz von Geschäftsgeheimnissen herbeiführen soll. Und obwohl die Richtlinie noch kein unmittelbar geltendes Recht setzt (sie muss von den nationalen Gesetzgebern innerhalb von 24 Monaten umgesetzt werden), sind ihre Grundsätze und Neuerungen bereits jetzt zu berücksichtigen. Denn die Richtlinie setzt Mindeststandards, die bei der Umsetzung in nationales Recht nicht mehr unterschritten werden dürfen.
Es ist zu begrüßen, dass ein “Geschäftsgeheimnis“ erstmals ausdrücklich definiert wird. Als solches gelten Informationen, wenn sie (i) geheim sind in dem Sinne, dass sie denjenigen, die üblicherweise mit solchen Informationen umgehen, nicht allgemein bekannt oder ohne Weiteres zugänglich sind; (ii) sie von kommerziellen Wert sind, weil sie geheim sind; (iii) sie Gegenstand von angemessenen Geheimhaltungsmaßnahmen durch ihren Inhaber sind. Das Erfordernis von angemessenen Geheimhaltungsmaßnahmen ist im deutschen Recht neu. Der Unternehmer muss in einem Rechtsstreit nachweisen, dass und welche Maßnahmen er zum Schutz seiner Geschäftsgeheimnisse unternommen hat (z.B. Zugangs-und Zutrittskontrollen, sichere Schließanlagen, Passwörter für Computer, Firewalls, etc.). Die Richtlinie sagt nicht, wie die Geheimhaltungsmaßnahmen konkret aussehen müssen. Dies werden später die Gerichte beurteilen müssen. In Zukunft soll auch das „reverse engineering“ zulässig sein, was in Deutschland ebenfalls neu ist. Das einzige Gegenmittel sind Geheimhaltungsvereinbarungen, die so etwas ausdrücklich verbieten. Handlungsbedarf gibt es also für Unternehmen sowohl im Hinblick auf die Überprüfung der aktuellen Geheimhaltungsmaßnahmen als auch bei der Aktualisierung oder dem Neuabschluss von Geheimhaltungsvereinbarungen.

[value] => Hasta ahora los secretos comerciales se han protegido escasamente tanto en Alemania como en la Unión Europea. Por ello, la Unión Europea ha puesto en vigor en julio de 2016 una Directiva que debe proporcionar definiciones, estándares y una protección mínima de los secretos comerciales. Y aunque la Directiva aún no fija un derecho válido directo (ésta debe ser transpuesta por los legisladores nacionales en el plazo de 24 meses), deben tenerse en cuenta sus principios e innovaciones, pues fija estándares mínimos que en su transposición al derecho nacional no pueden ser reducidos.
Debe celebrarse que se haya definido por primera vez de manera expresa el concepto de “secreto comercial”. Se entenderán por “secreto comercial” las informaciones (i) que sean secretas en el sentido de que los que tratan tal información no les es conocida o no les es fácilmente accesible de manera general; (ii) que tengan un valor comercial por su carácter secreto (iii); que son objeto de medidas de confidencialidad razonables por parte de su titular.
El requisito de la adopción de medidas razonables para mantener la confidencialidad es nuevo para el Derecho alemán. El empresario debe probar en caso de litigio que ha adoptado medidas para proteger sus secretos comerciales y cuáles han sido estas medidas (p.ej. controles de la entrada y de acceso, dispositivos de cierres seguros, contraseñas para ordenadores, cortafuegos, etc.). La Directiva no concreta cómo deben ser estas medidas de protección. Esto deberá ser determinado más adelante por los tribunales.
En el futuro también la “ingeniería inversa” deberá ser permitida, lo que en Alemania es igualmente algo novedoso. La única vía para evitarla son los acuerdos de confidencialidad que la prohíban expresamente. La necesidad de adopción de medidas lo es para empresas tanto en cuanto a la revisión de las medidas actuales así como en relación con la actualización de los acuerdos de confidencialidad existentes o conclusión de unos nuevos.
