[value] => Ein Rechtsstreit zwischen den deutschen Unternehmen AVM und Woog könnte Aufschluss darüber geben, unter welchen Umständen der Hersteller den Wiederverkauf seiner gebrauchten Waren verbieten darf.
AVM (vollständig: AVM Computersysteme Vertriebs GmbH) stellt unter anderem die in Deutschland bekannte Fritzbox her, ein integriertes Modem und Router. AVM produziert diese insbesondere auch in hoher Stückzahl für Internetanbieter wie Unitymedia. Dabei wird die Software des Geräts so voreingestellt, dass sie den Kunden eine möglichst schnelle Inbetriebnahme im Netz des Anbieters ermöglicht. Der Händler Woog (vollständig: Woog UG) hat sich darauf spezialisiert, Retouren solcher Geräte bei den Internetanbietern aufzukaufen und für den Wiederverkauf aufzubereiten.
Woog musste für den Wiederverkauf die Geräte so einstellen, dass sie in allen Netzen funktionieren. Dabei muss Woog darauf achten, dass auch zukünftige Software-Updates der Geräte einwandfrei zu installieren sind. AVM versuchte, Woog den Wiederverkauf gerichtlich zu unterbreiten und hatte zunächst mit einer einstweiligen Verfügung vor dem Landgericht München I (Az. 33 O 1703/20) auch Erfolg. Über den Bestand der Verfügung verhandeln die Parteien nun.
AVM argumentiert mit dem Recht an der Marke „Fritzbox“. Zwar darf ein Hersteller grundsätzlich den Gebrauch der Marke nicht verbieten, wenn er Waren unter der Marke in den Verkehr gebracht hat, allerdings gilt das nicht, wenn berechtigte Gründe vorliegen, die es rechtfertigen, den weiteren Vertrieb zu untersagen. Das ist insbesondere der Fall, „wenn der Zustand der Waren nach ihrem Inverkehrbringen verändert oder verschlechtert ist“. Das besagt Art. 15 der Unionsmarkenverordnung (UMV).
Welche der Parteien sich durchsetzt, ist noch unklar. Woog gibt zu, Änderungen an der Software vorgenommen zu haben, ob das aber eine Veränderung im Sinne der Regelung ist, muss das Gericht entscheiden. Auch könnte die vertragliche Gestaltung zwischen AVM und Unitymedia Einfluss auf die Frage haben, ob AVM die Geräte tatsächlich „in den Verkehr gebracht“ hat. Das Urteil soll am 14.05.2020 verkündet werden.
Neben den rechtlichen Fragen haben Hersteller und Wiederverkäufer grundsätzlich auch widerstreitende wirtschaftliche Interessen. Die neue Fritzbox von AVM kostet 155 Euro, die aufbereitete von Woog nur 70. Und so kann der Hersteller auch – oder vor allem – ein wirtschaftliches Interesse haben, Konkurrenz zu unterbinden. Mobiltelefonherstellern gelang das bereits, als Drittanbieter Geräte aufkauften und den SIM-Lock – also die Beschränkung der Nutzung auf eine bestimmte SIM-Karte – decodierten. Die Entscheidung könnte aber auch für Hersteller zum Schutz selektiver Vertriebssysteme interessant sein. In welchem Umfang darf ein nicht lizenzierter Händler Autos aufkaufen und z. B. andere Motoren verbauen? Diese Fragen sind handelsrechtlich relevant und geben Herstellern über den Markenschutz eine Möglichkeit, den Wiederverkauf zu unterbinden.

AVM (AVM Computersysteme Vertriebs GmbH) produce, entre otras cosas, el en Alemania conocido “Fritzbox”, un módem y enrutador integrados. AVM los produce en grandes cantidades también para proveedores de Internet como Unitymedia. El software del dispositivo viene configurado de tal manera que permite a los clientes una puesta en funcionamiento muy rápida en la red del proveedor. El distribuidor Woog (Woog UG) está especializado en comprar devoluciones de dichos dispositivos a proveedores de Internet y prepararlos para la reventa.
Para la reventa, Woog tenía que configurar los dispositivos para que funcionaran en todas las redes. Woog debe asegurarse además de que las futuras actualizaciones de software de los dispositivos también puedan instalarse correctamente. AVM presentó una demanda judicial contra Woog por estas reventas y consiguió inicialmente una orden judicial del Tribunal Regional de Munich I (Exp. 33 O 1703/20). Las partes están ahora negociando la continuidad de esta orden.
AVM lo argumentó con el derecho que ostenta sobre la marca "Fritzbox". En principio, un fabricante no puede prohibir el uso de la marca si ha introducido productos con esta marca en el mercado, no obstante, esto no es de aplicación si hay motivos legítimos que justifiquen la prohibición de una comercialización ulterior. Este es en particular el caso, "si el estado de los productos se ha modificado o alterado tras su comercialización". Así lo establece el artículo 15 del Reglamento de Marcas de la UE.
Todavía no está claro cuál de las partes se impondrá. Woog admite que ha realizado cambios en el software, pero el Tribunal debe decidir si se trata de una modificación en el sentido que establece la normativa. El acuerdo contractual entre AVM y Unitymedia también podría tener un impacto en la cuestión de si AVM realmente “puso los dispositivos en el mercado”. El veredicto se anunciará el 14 de mayo de 2020.
Además de las cuestiones jurídicas, fabricante y revendedor también tienen intereses económicos contrapuestos. El nuevo Fritzbox de AVM cuesta 155 euros, el preparado por Woog solo 70. Por lo tanto, el fabricante puede tener también, o especialmente, un interés económico en evitar la competencia. Los fabricantes de teléfonos móviles ya lograron hacer esto cuando proveedores externos compraron dispositivos y decodificaron el bloqueo de la SIM, es decir, la restricción del uso de una determinada tarjeta SIM. La decisión también podría ser interesante para los fabricantes para proteger los sistemas de distribución selectiva. ¿En qué medida puede un distribuidor sin licencia comprar automóviles y por ejemplo instalar otros motores? Estas preguntas son relevantes en el ámbito del derecho mercantil y brindan a los fabricantes una forma de prevenir la reventa a través de la protección de la marca.
