[value] => Die Incoterms 2020 sind in Kraft. Die Änderungen sind überschaubar, zukünftige Verträge sollten dennoch angepasst werden. Außerdem sollte jeder Ex- und Importeur die Einführung nutzen, um die korrekte Verwendung zu überprüfen. Erfahrungsgemäß führt die Falschverwendung häufig zu langwierigen und kostspieligen Rechtsstreiten.
Kurze Wiederholung
Die Incoterms (kurz für „International Commercial Terms”) werden von der International Chamber of Commerce (ICC), einer nichtstaatlichen Organisation, herausgegeben. Sie sind eine Sammlung von Klauseln, die zum Ziel haben, auf jeweils drei Buchstaben komprimiert, die wichtigsten Parameter einer Warenlieferung zu regeln (Verantwortlichkeit für Transport und Kosten, Zoll sowie Beschädigung der Sache). Jede der Klauseln wird durch den Bestimmungsort ergänzt. „EXW Madrid“ bedeutet, dass der Verkäufer die Ware an der Pforte seiner Fabrik oder seines Warenlagers in Madrid bereitzustellen hat (EXW = Ex Works). Die Incoterms entfalten Wirkung alleine durch die Bezugnahme im Vertrag und haben keinen staatlichen Charakter.
Was ist neu?
Die Incoterms 2020 bestehen nach wie vor aus 11 Klauseln. Die Klausel „DAT (Delivered at Terminal)“ ist gestrichen worden, hinzugekommen ist die Klausel „DPU (Delivered at Place Unloaded)“. Die Klausel DAT wurde häufig falsch verwendet, da angenommen wurde, dass an ein Hafenterminal geliefert werden muss. Tatsächlich sollte schon mit der alten Klausel der Verkäufer nur zur Lieferung an irgendein Entladeterminal verpflichtet werden. Um das klarzustellen und die korrekte Verwendung der Klausel zu fördern, wurde diese umbenannt und inhaltlich leicht angepasst.
Die weiteren Änderungen beschränken sich größtenteils auf Anpassungen und Klarstellungen. Gerüchte kursierten vor der Veröffentlichung der Incoterms 2020, dass die Klauseln „EXW (Ex Works)“ oder „DDP (Delivered Duty Paid)“ gestrichen werden sollten. Beides ist trotz häufiger Anwendungsprobleme nicht geschehen. Die Klausel DDP verpflichtet den Verkäufer, die Ware verzollt zu liefern, was ihm aber häufig gar nicht möglich ist, da die zollrechtlichen Regeln vieler Länder die Verzollung durch einen dort Ansässigen fordern. Bei richtiger Anwendung erfüllen die Klauseln aber dennoch ihren Zweck, denn nicht alle Länder regeln die Verzollung so.
Was ist zu tun?
Bestehende Verträge müssen nicht angepasst werden. Da Incoterms nur durch Bezugnahme Vertragsbestandteil werden, werden Gerichte grundsätzlich auch die älteren Fassungen der Incoterms zur Auslegung heranziehen. Neuabschlüsse sollten aber – aus diversen Gründen – auf Grundlage der Incoterms 2020 geschehen. Zudem sollte die Neuerung zum Anlass genommen werden, die korrekte Verwendung der Incoterms zu überprüfen. Die Incoterms erleichtern die Vertragsgestaltung enorm, aber ihre korrekte Verwendung erfordert Fachwissen und Prüfung im Einzelfall. Eine unbedachte Verwendung der Incoterms birgt das Risiko von Rechtsunsicherheiten, teurer und langwieriger Prozesse.

Una pequeña repetición
Los Incoterms (abreviatura de “International Commercial Terms”) son emitidos por la Chamber of Commerce (ICC), una organización no gubernamental. Son un conjunto de términos que, comprimidos en tres letras, tienen como objetivo regular los parámetros más importantes de una entrega de mercancías (responsabilidad por el transporte y costes, aduanas y deterioro del artículo). Cada uno de los términos está acompañado del lugar de destino. Por ejemplo, “EXW Madrid Incoterms 2020” (EXW = Ex Works) quiere decir que el vendedor debe poner la mercancía a disposición en la puerta de su fábrica o almacén en Madrid. Los Incoterms surten efecto únicamente si se hace referencia a ellos en el contrato y no tienen carácter estatal.
¿Qué novedades hay?
Los Incoterms 2020 siguen constando de 11 términos. Se ha eliminado el término “DAT (Delivered at Terminal)” y se ha añadido el término “DPU (Delivered at Place Unloaded)”. El término DAT fue utilizado a menudo de forma incorrecta, ya que se supuso que la entrega debía hacerse en una terminal portuaria. En realidad, con la anterior cláusula el vendedor ya quedaba obligado a la entrega en cualquier terminal de descarga. Con el fin de aclarar esto y favorecer la correcta utilización del término, se le ha cambiado el nombre y se ha adecuado su contenido ligeramente.
Las demás modificaciones se limitan principalmente a ajustes y aclara-ciones. Antes de la publicación de los Incoterms 2020 circulaban rumores de que debían suprimirse los términos “EXW (Ex Works)” o “DDP (Delivered Duty Paid)”. Sin embargo, y a pesar de los frecuentes problemas de aplicación, ninguna de las dos cosas ha sucedido. El término DDP obliga al vendedor a entregar la mercancía tras el pago de los derechos, lo que con frecuencia no es posible, ya que las reglas jurídico-aduaneras de muchos países exigen el despacho aduanero por un residente en dicho Estado. Sin embargo, cuando se aplican correctamente, los términos siguen cumpliendo su propósito, ya que no todos los países regulan el despacho aduanero de esta forma.
¿Qué debe hacerse?
Los contratos vigentes no deben ser adaptados. Dado que los Incoterms sólo pasan a formar parte de un contrato por referencia a los mismos, los tribunales también recurrirán, en principio, a las antiguas versiones de los Incoterms para su interpretación. Sin embargo, los nuevos contratos deberán –por diferentes motivos– celebrarse sobre la base de los Incoterms 2020. Los Incoterms facilitan enormemente la configuración del contrato, pero su correcta utilización requiere de conocimientos técnicos y un examen de cada caso en particular. Un uso imprudente de los Incoterms entraña el riesgo de incertidumbres jurídicas, procedimientos costosos y largos.
