[value] => In den Ausgaben April 2013, März 2014 und März 2016 dieses Newsletters hatten wir über die Entwicklung der Rechtsprechung zu Fragen des Vorsteuerabzugs bei Holdinggesellschaften berichtet. Hiernach ist der bloße Erwerb und die Verwaltung von Beteiligungen an anderen Unternehmen keine unternehmerische Tätigkeit im umsatzsteuerlichen Sinne, die zum Vorsteuerabzug berechtigt.
Die Erbringung von steuerpflichtigen Leistungen gegenüber den Tochtergesellschaften, wie z.B. Dienstleistungen, ist allerdings eine solche wirtschaftliche Aktivität, sodass die damit zusammenhängenden Vorsteuerbeträge aus Rechnungen für von der Holdinggesellschaft bezogenen Leistungen anderer Unternehmer abzugsfähig sind, soweit diese direkt und unmittelbar mit diesen Leistungen zusammenhängen.
In einem jüngst veröffentlichten Urteil vom 05.07.2018 (C-320/17) hat der Europäische Gerichtshof (EuGH) klargestellt, dass auch die Vermietung eines Gebäudes an Tochtergesellschaften als wirtschaftliche Aktivität zu qualifizieren ist, die zum Vorsteuerabzug berechtigt, wenn diese steuerpflichtig erfolgt. Nach deutschem Umsatzsteuerrecht ist dies der Fall, wenn die Holdinggesellschaft unter den Voraussetzungen von § 9 UStG auf gesetzlich vorgesehene Steuerfreiheit der Vermietung von Immobilien verzichtet, da dann der ansonsten geltende Ausschluss des Rechts auf Vorsteuerabzug entfällt.
Hieraus lässt sich schließen, dass auch die steuerpflichtige Überlassung von anderen materiellen (z.B. Kfz) und immateriellen (z.B. Know-How) Wirtschaftsgütern an Tochtergesellschaften zum Vorsteuerabzug berechtigt. In einem weiteren Urteil vom 17.10.2018 (C-249/17 – Ryanair) bestätigt der EuGH, dass eine Berechtigung zum Vorsteuerabzug nach den vorstehenden Grundsätzen selbst dann bestehen kann, wenn ursprünglich geplante steuerpflichtige Leistungen an eine Tochtergesellschaft niemals erbracht werden, weil es zu einem ursprünglich geplanten Beteiligungserwerb nicht kommt. Denn die relevante wirtschaftliche Tätigkeit beginne bereits mit Vorbereitungshandlungen.

[value] => En abril 2013, marzo 2014 y 2016 de este boletín tratamos sobre el desarrollo de la doctrina de los Tribunales de lo Fiscal en cuanto a la deducción del IVA soportado en manos de empresas holding.
De aquí se deduce que no es una actividad económica en razón del Impuesto sobre el Valor Añadido (IVA) que permite una deducción de IVA soportado si solamente dicha actividad consta de mera adquisición, tenencia y administración de participaciones en otras sociedades. Sí se considera actividad económica al realizar operaciones no exentas (ej. servicios) destinadas a filiales, por lo que se deben considerar los importes de IVA soportado provenientes de facturas de otras empresas emitidas a la empresa holding como deducibles cuando estén afectadas con estas operaciones realizadas directa o indirectamente.
En una sentencia, recién publicada el 5/7/2018 del Tribunal de la Justicia de la UE (C-320/17 TJUE), se aclaró que el alquiler de un edificio a una filial es una actividad económica, que facilita la deducción de IVA soportado correspondiente, si la misma está sujeta a tributación. Según el derecho alemán en materia de IVA sería cuando una empresa holding renuncia de la exención del IVA relativo al alquiler de objetos inmobiliarios bajo las condiciones del art. § 9 UStG (LIVA alemana), ya que le llevaría a la no-exclusión del derecho de deducción del IVA soportado. De lo anterior se entiende que el poner a disposición otro tipo de bienes materiales (ej. coche empresarial) o inmateriales (ej. know-how) a filiales se considera como operación sujeta que permite la deducción del IVA soportado.
En una sentencia relacionada del 17/10/2018 afirma el TJUE (C-249/17 – Ryanair) que el derecho a la deducción de IVA soportado puede mantenerse bajo lo antes citado, si la operación no exenta planeada a su filial no se ha realizado por deshacerse la adquisición de las participaciones, pues la actividad económica relevante comenzaría con la preparación de acciones con dicha finalidad.
