[value] => Fast immer werden bei der Anbahnung oder Durchführung von Geschäften sensible Informationen oder Geschäftsgeheimnisse zwischen Unternehmen ausgetauscht. Der Abschluss von Geheimhaltungsvereinbarungen („Non-Disclosure Agreements“) ist dringend anzuraten. Dies gilt aktuell umso mehr, weil es gegenwärtig zu Rechtsunsicherheit kommen kann.
Denn die Europäische Union hat im Juli 2016 eine Richtlinie zum Schutz von Geschäftsgeheimnissen verabschiedet, mit der dieses Rechtsgebiet europaweit einen einheitlichen Standard erhalten soll. Die Richtlinie hätte bis zum 09.06.2018 in Deutschland in nationales Recht umgesetzt werden müssen. Dies ist bisher nicht geschehen. Es gibt zwar einen Gesetzentwurf. Wann dieser verabschiedet und in Kraft treten wird, ist aber ungewiss. Eine EU-Richtlinie gilt – wenn sie nicht in nationales Recht überführt wird - nach Ablauf der Umsetzungsfrist unmittelbar. Allerdings gelten auch die bisherigen Vorschriften des deutschen Rechts weiter; sie sind jedoch nach Maßgabe der EU-Richtlinie auszulegen. Hierdurch ist die Rechtslage vorübergehend unübersichtlich.
Vor diesem Hintergrund sind vertragliche Geheimhaltungsvereinbarungen wichtiger denn je. Anders als im bisherigen deutschen Recht ist nach der Richtlinie beispielsweise das „reverse engineering“ zulässig. Es geht dabei um das Beobachten, Testen, Untersuchen oder den Rückbau (und anschl. erneuten Zusammenbau) von Produkten des Wettbewerbs. Das „reverse engineering“ kann aber vertraglich ausgeschlossen werden. Neu ist auch, dass ein Geschäftsgeheimnis nun erstmals einheitlich definiert wird. Ein wesentlicher neuer Aspekt dabei ist, dass ein Unternehmen nun in einem Rechtsstreit nachweisen muss, dass und welche Maßnahmen es zum Schutz seiner Geschäftsgeheimnisse unternommen hat (z.B. Zugangs- und Zutrittskontrollen, sichere Schließanlagen, Passwörter für Computer, Firewalls, etc.). Der Geheimnisschutz gehört deshalb auf den Prüfstand.

La celebración de acuerdos de confidencialidad (“Non-Disclosure Agreements”) se recomienda encarecidamente. Esto resulta de especial importancia actualmente, ya que en este momento puede haber incertidumbre jurídica.
La UE adoptó en julio de 2016 una Directiva relativa a la protección de los secretos comerciales, con el fin de establecer en este ámbito jurídico una normativa comunitaria uniforme. La Directiva debería haber sido transpuesta en la legislación alemana antes del 09-06-2018. Esto aún no ha sucedido. Existe un proyecto de ley. Sin embargo, resulta incierto cuándo será aprobada y entrará en vigor. Es un principio de Derecho comunitario, que una Directiva, a menos que se transponga a la legislación nacional, sea directamente aplicable después de la fecha límite de transposición. No obstante, la normativa anterior alemana sigue siendo aplicable, aunque debe interpretarse de acuerdo con la Directiva de la UE. Por ello, la situación legal actual resulta confusa.
En este contexto, los acuerdos de confidencialidad contractual son más importantes que nunca. Para ello, deben observarse las disposiciones de la Directiva. A diferencia de la legislación alemana anterior, se permite, p.ej. la “reverse engineering”. En resumen, se trata de observar, probar, analizar, desmontar (y luego volver a montar) los productos de la competencia. Quien quiera evitar esto, debe excluir expresamente la “reverse engineering” mediante contrato. Otra novedad importante de la Directiva de la UE, es que el secreto comercial se define por primera vez uniformemente. Constituye un nuevo aspecto esencial el hecho de que las empresas deben ahora demostar las medidas adoptadas para proteger sus derechos comerciales (p.ej. controles de acceso, sistemas de bloqueo de seguros, contraseñas para los ordenadores, servidores de seguridad, etc.). Por lo tanto, las empresas deben de analizar si han llevado a cabo las medidas de protección pertinentes.
