[value] => Die ICOs (engl. Initial Coin Offering, geregelt im Kapitalmarktgesetz) sind das „Tech“-Pendant zum IPO und werden zur Unternehmensfinanzierung von Technologie-Start-ups eingesetzt, ohne dass es dazu einer Kapitalgesellschaft bedarf. Emittenten bieten anstelle Aktien sog. „Token“ an.
Funktion von Token
Wie auch bei klassischen Aktien, die Renditen durch Realisierung von Handelsgewinnen, Dividenden und Stimmrechten ermöglichen, variiert die Funktion von Token je nach ICO. Häufig dienen sie als Währung für ein Kryptowährungsprojekt und versprechen Veräußerungsgewinne, ähnlich wie der Wertpapierhandel.
Chancen und Risiken
ICOs ermöglichen aufstrebenden Technologieunternehmen Wege, sich selbst zu finanzieren. Dennoch bergen ICOs erhebliche Risiken. Aufgrund des Fehlens an Transparenz und Regulierungen für das neue Modell besteht für ICO-Anleger wenig Rechtssicherheit. Daher treten auch vermehrt Betrugsfälle auf.
Regulierung
Token fallen je nach ihrer Funktion unter verschiedene Regulierungsmechanismen, die das Ziel verfolgen, angemessenen Anleger- und Verbraucherschutz sicherzustellen:
- Abhängig vom Volumen und an wen das ICO gerichtet ist, wird es grundsätzlich als öffentliches Angebot mit seinen rechtlichen Besonderheiten oder als Anlagedienstleistung geregelt.
- Crowdfunding-Plattformen, die Dienstleistungen gegen Investitionen anbieten, sind vom entsprechenden Gesetz 5/2015 vom 27. April befreit mit Ausnahme von Emittenten (deren Tokens Aktien ähnlich sind), wenn sie gesetzlichen Beschränkungen unterliegen.
- Wertpapiere, die durch ICOs ausgegeben werden und als handelbare Wertpapiere angesehen werden können, unterliegen dem Securities Market Law und anderen Vorschriften wie der MiFID II und der Prospektrichtlinie.
Las ICOs (en inglés, “Initial Coin Offering” y reguladas por la Ley de Mercado de Capitales) son el símil de las IPV tecnológicas y, normalmente, se destinan a la financiación de start-ups tecnológicas. En lugar de capital, los emisores ofrecen un “token”, que los inversores utilizan con el fin de obtener un beneficio por su incremento de valor.
Objeto de los tokens
Así como las acciones tradicionales ofrecen beneficios de venta, dividendos y derechos de voto, el objetivo de los tokens varía según la ICO. En su mayoría, los tokens se usan como moneda del proyecto correspondiente de criptodivisa y prometen beneficios de venta si el emisor consigue alcanzar o superar las expectativas del mercado.
Oportunidades y Riesgos
Las ICOs constituyen una forma de autofinanciación para las empresas tecnológicas emergentes, pero entrañan riesgos por la ausencia de una regulación específica que provoca inseguridad jurídica. Se han dado ya varios casos de estafa y la creciente especulación podría llegar a crear una nueva burbuja financiera.
Regulación de los tokens
A pesar de la ausencia de regulación específica para las ICOs en España y, en función de su propósito, los tokens pueden estar sujetos a regulaciones diferentes con el objeto de salvaguardar la protección de inversores y consumidores:
- Según el volumen y a quién se dirija la ICO, ésta se regulará como oferta pública, con sus particularidades legales, o bien, como servicio de inversión.
- Las plataformas de crowdfunding que ofrecen servicios exclusivos a cambio de una inversión, están exentas del alcance de la ley española 5/2015 del 27 de abril, salvo los emisores (cuyos tokens son similares a las acciones) que sí podrían estar sujetos a restricciones legales.
- Los valores emitidos a través de ICOs que puedan considerarse valores negociables, quedan sujetos a la Ley del Mercado de Valores y demás normas, como las MiFID II y la Directiva de Folletos.
