[value] => In den Ausgaben März 2012 und November 2016 hatte der Verfasser bereits über Zweifelsfragen im Zusammenhang mit der 2007 eingeführten und 2012 teilweise entschärften Missbrauchsregelung von § 50 d Abs. 3 EStG berichtet. Zweck der Vorschrift ist es, eine unberechtigte Erstattung bzw. Abstandnahme von der Einbehaltung deutscher Quellensteuern auf Dividenden, Zinsen, Lizenzen etc. an im Ausland ansässige und nicht an einer Börse notierte Gesellschaften durch missbräuchliche Gestaltungen, insbesondere durch die Zwischenschaltung ausländischer Gesellschaften ohne wirtschaftliche Substanz, zu vermeiden.
Auf Vorlage des Finanzgerichts Köln hat der Europäische Gerichtshof (EuGH) nun in zwei jüngst veröffentlichten Urteilen vom 20.12.2017 (C-504/16 und C-613/16) entschieden, dass § 50 d Abs. 3 EStG in der ursprünglichen Fassung des sog. Jahressteuergesetzes 2007 mit der europäischen Niederlassungsfreiheit und mit der Mutter-Tochter-Richtlinie unvereinbar ist. Denn die Vorschrift typisiere bestimmte Konstellationen als Missbrauch, ohne dass die deutschen Steuerbehörden einen Anfangsbeweis für das Fehlen wirtschaftlicher Gründe für die Einschaltung der ausländischen Gesellschaft oder ein Indiz für eine Steuerhinterziehung bzw. einen Missbrauch beizubringen hätten. Darüber hinaus sei der ausländischen Antragstellerin auch nicht der Nachweis möglich, dass im konkreten Einzelfall wirtschaftliche oder sonst beachtliche Gründe für ihre Einschaltung als ausländischer Muttergesellschaft vorlägen, was nach ständiger Rechtsprechung des EuGH jedoch erforderlich sei.
Auch hinsichtlich der ab 2012 geltenden Fassung hat das Finanzgericht Köln Zweifel an der Vereinbarkeit des § 50 d Abs. 3 EStG mit dem Europarecht, insbesondere dem Grundsatz der Verhältnismäßigkeit, und daher mit Beschluss vom 17. Mai 2017 (Az. 2K 773/16) dem EuGH ein weiteres Verfahren zur Vorabentscheidung vorgelegt. Eine Reaktion der deutschen Finanzverwaltung liegt bislang nicht vor, laufende steuerliche Veranlagungen sollten daher gegebenenfalls durch Einlegung von Rechtsbehelfen offen gehalten werden.

[value] => En las ediciones de marzo 2012 y noviembre 2016 de este boletín el autor trató dudas planteadas con respecto a la regulación anti-abuso según § 50d (3) de la LIRPF alemana (“EStG”), introducida en 2007 y algo suavizada en 2012. Su objetivo es evitar una devolución o renuncia injustificada de la retención de impuestos alemanes en la fuente, provenientes de dividendos, intereses, licencias, etc. a sociedades residentes en el extranjero y que no coticen en bolsa por medio de la utilización de estructuras abusivas, especialmente mediante la intercalación de una sociedad extranjera sin sustancia económica.
A petición del Tribunal de lo Fiscal de Colonia, el TJUE ha decidido en dos sentencias de fecha 20/12/2017 (C-504/16 y C-613/16), recién publicadas, que el § 50d (3) EStG es incompatible en la regulación originaria (2007) con la libertad de establecimiento europea y con la Directiva sobre matrices y filiales. La razón es que esta disposición normativa tipifica determinadas constelaciones como abusivas sin que las autoridades fiscales alemanas tengan que aportar prueba alguna de la falta de motivos económicos para la intercalación de una sociedad extranjera o de un indicio de evasión fiscal o abuso. Además, tampoco se permitía al solicitante extranjero presentar pruebas si concretamente existían motivos económicos u otros motivos de importancia para la intercalación de una sociedad matriz extranjera, lo que de conformidad con la reiterada jurisprudencia del TJUE, sería sin embargo necesario.
También con respecto a la versión vigente a partir de 2012, el Tribunal de lo Fiscal de Colonia manifestó dudas sobre la compatibilidad del § 50d (3) EStG con el derecho europeo, especialmente con el principio de proporcionalidad, y por ello por medio de auto de fecha 17/05/2017 (2K 773/16) planteó nuevamente una cuestión prejudicial ante el TJUE. Hasta la fecha no consta ninguna reacción del fisco alemán, por este motivo las liquidaciones de impuestos actuales deberán, en su caso, mantenerse abiertas con la interposición de recursos.
