[value] => Überlässt ein im Ausland ansässiger Anbieter an einen inländischen Kunden Software oder Datenbanken zur zeitlich begrenzten Nutzung ohne im Inland über eine Betriebstätte oder einen ständiger Vertreter zu verfügen, so unterliegt die Vergütung der beschränkten Steuerpflicht nach § 49 Abs. 1 Nr. 2 f EStG. In diesem Fall hat der inländische Kunde die Steuer im Wege des Steuerabzugs einzubehalten und für Rechnung des ausländischen Gläubigers an das Finanzamt abzuführen (50a Abs. 1 EStG), unterbleibt der Steuerabzug, haftet der inländische Kunde für diese Steuer (§ 50a Abs. 5 EStG).
Nicht zuletzt aufgrund der zunehmenden Bedeutung des sog. Cloud-Computing stellt sich die Frage, welche Konstellationen einer grenzüberschreitenden Überlassung von Software und Datenbanken dem inländischen Steuerabzug unterliegen. In einem Schreiben vom 27.10.2017 (BMF IV C 5 – S 2300/12/10003:004, 2017/0894289) hat das Bundesfinanzministerium zu Zweifelsfragen in diesem Zusammenhang Stellung genommen. Hervorzuheben sind insbesondere folgende Punkte:
(1) Abzugssteuerpflichtig ist lediglich die umfassende Einräumung von Nutzungsrechten zur wirtschaftlichen Weiterverwertung (Vervielfältigung, Bearbeitung, Verbreitung, Veröffentlichung etc.), nicht die Einräumung des schlichten Rechts zum Vertrieb einzelner Programmkopien.
(2) Die steuerrechtliche Beurteilung ist unabhängig davon ob die Softwareüberlassung auf Datenträgern oder per Internet erfolgt (z.B. als Download,NutzungauffremdemServerwiebeiASPundSaaS).
(3) Nicht erfasst werden Leistungen, bei welchen die Überlassung der Funktionalität einer Software im Vordergrund steht (z.B. Softwareinstallation, Herunterladen in den Arbeitsspeicher, Anwendung der Software und Vervielfältigung zur Ermöglichung der Anwendung).
(4) Nicht abzugssteuerpflichtig ist die zeitlich unbegrenzte Überlassung von Software, wann hier von einem Übergang des wirtschaftlichen Eigentums auszugehen ist, ist ebenso im Einzelfall zu prüfen wie die Frage, wie Dienstleistungen im Zusammenhang mit der Überlassung von Rechten zu behandeln sind.

[value] => Si un proveedor residente en el extranjero sin establecimiento permanente que tampoco dispone de un representante permanente en Alemania cediera por tiempo limitado el uso de software o bases de datos a un cliente residente en Alemania, deberá tributar la retribución correspondiente en Alemania de conformidad con el § 49 (1) núm. 2 f LIRPF alemana (EStG). En este caso, el cliente alemán deberá retener el impuesto e ingresarlo en la Agencia Tributaria alemana por cuenta del contribuyente extranjero (§ 50a (1) EStG), y si no realizase tal retención, el cliente residente en Alemania deberá responder por este impuesto (§ 50a (5) EStG).
En vista a la creciente importancia del denominado Cloud-Computing se plantea la cuestión de cuáles serían las situaciones de cesión transfronteriza del uso de software y bases de datos que están sujetas a retención fiscal en Alemania. El Ministerio Federal de Finanzas manifestó su postura sobre este contexto en una circular del 27/10/2017 (BMF IV C 5 – S 2300/12/10003:004, 2017/0894289). En la misma se destaca:
(1) Únicamente está sujeta a retención fiscal la concesión amplia de derechos de uso para su posterior comercialización (reproducción, procesamiento, difusión, publicación, etc.), no la concesión del mero derecho a la distribución comercial de copias de programas.
(2) La calificación fiscal es independiente de si la cesión del software se realiza en soportes de datos o vía internet (p.ej. como descarga, uso de un servidor ajeno como en el caso de ASP y SaaS).
(3) No se incluyen las prestaciones en las cuales la cesión de la operatividad de software ocupa un primer plano (p.ej. instalación de software, descarga en la memoria RAM, utilización del software y reproducción para posibilitar su utilización).
(4) No está sujeta a retención la cesión por tiempo ilimitado de software, cuando deba tomarse como transmisión de titularidad económica, igualmente debe comprobarse individualmente cómo deben tratarse las prestaciones de servicios en relación a la cesión de derechos.
