März hat der spanische Staatsanzeiger zwei Verordnungen veröffentlicht, mit denen die neuen Vorlagen für die Offenlegung der Einzelabschlüsse und der konsolidierten Jahresabschlüsse im Handelsregister genehmigt werden. Beide Verordnungen, JUS/319/2018 für die Einzelabschlüsse und JUS/318/2018 für die konsolidierten Abschlüsse, enthalten die Änderungen, die bereits im Jahr 2017 mit den Verordnungen JUS/470/2017 und JUS/471/2017 eingeführt wurden sowie eine Aktualisierung der technischen Spezifikationen für den elektronischen Datenträger in Anhang II und der Fehlerprüfungen in Anhang III der Verordnungen als Folge der gesetzlichen Änderungen seit der Veröffentlichung der genannten Verordnungen.
Im Rahmen dieser Änderungen nimmt die Richtlinie 2014/95/EU des Europäischen Parlaments und des Rates vom 22. Oktober 2014 zur Änderung der Richtlinie 2013/34/EU in Bezug auf die Offenlegung von nichtfinanziellen Informationen und Informationen über Diversität bestimmter grosser Unternehmen und bestimmter Gruppen eine wesentliche Rolle ein, mit dem Ziel, Risiken zur Verbesserung der Nachhaltigkeit zu ermitteln und das Vertrauen von Anlegern, Verbrauchern und der Gesellschaft im Allgemeinen zu stärken, weshalb hierfür die Offenlegung von nichtfinanziellen Informationen erweitert wird, wie z.B. soziale und umweltbedingte Faktoren.
Hinsichtlich der Verordnung JUS/319/2018 betrifft die wichtigste Neuerung bei den offenzulegenden Informationen die Richtlinie (EU) 2015/849 des Europäischen Parlaments und des Rates vom 20. Mai 2015 in Bezug auf Geldwäsche oder Terrorismusfinanzierung. In einem neuen Vordruck muss nun die Identität des wirtschaftlichen Eigentümers der Gesellschaft offengelegt werden.
Beide Verordnungen traten am Tag nach ihrer Veröffentlichung im Staatsanzeiger in Kraft.

[value] => El pasado 27 de marzo, el Boletín Oficial del Estado publicó sendas Órdenes por las que se aprueban los nuevos modelos para la presentación en el Registro Mercantil de las cuentas anuales individuales y consolidadas, respectivamente.
Ambas órdenes, JUS/319/2018 para las cuentas individuales y JUS/318/2018 para las cuentas consolidadas, recogen las novedades introducidas en los modelos de depósito de cuentas establecidos en las órdenes JUS/470/2017 y JUS/471/2017, de 19 de mayo, así como la actualización de las especificaciones técnicas del soporte electrónico recogidas en el anexo II y la de los test de errores recogidos en el anexo III de las mencionadas órdenes como consecuencia de los cambios registrados en la normativa en el tiempo transcurrido desde la publicación de las mencionadas órdenes.
Dentro de esos cambios, ocupa un papel fundamental la Directiva 2014/95/ UE del Parlamento Europeo y del Consejo, de 22 de octubre de 2014, por la que se modifica la Directiva 2013/34/UE en lo que respecta a la divulgación de información no financiera e información sobre diversidad por parte de determinadas grandes empresas y determinados grupos, que tiene como objetivo identificar riesgos para mejorar la sostenibilidad y aumentar la confianza de los inversores, los consumidores y la sociedad en general y para ello incrementan la divulgación de información no financiera, como pueden ser los factores sociales y medioambientales.
Respecto a la orden JUS/319/2018, la principal novedad que se contiene en la información que se debe presentar en el Registro Mercantil está motivada por la Directiva (UE) 2015/849 del Parlamento Europeo y del Consejo de 20 de mayo de 2015, relativa a la prevención de la utilización del sistema financiero para el blanqueo de capitales o la financiación del terrorismo, y se centran en un nuevo formulario en el que debe manifestarse la llamada «identificación del titular real de la sociedad».
Ambas órdenes entraron en vigor el día siguiente al de su publicación en el BOE.
