[value] => Häufig hängt die Wirksamkeit eines Vertrages von der Einhaltung einer bestimmten Form ab. Grundstücksgeschäfte bedürfen beispielsweise im deutschen Recht der notariellen Beurkundung,sonst sind sie nichtig. Daneben gibt es eine Reihe von Rechtshandlungen, die kraft Gesetzes der Schriftform bedürfen. In den meisten Verträgen finden sich aber sog. gewillkürte Schriftformklauseln, z.B. für Vertragsergänzungen.
Aber was bedeutet eigentlich Schriftform in Zeiten moderner Telekommunikationsmittel? Nach der gesetzlichen Definition muss die Urkunde von dem Aussteller eigenhändig durch Namensunterschrift gezeichnet werden, wenn Schriftform vorgesehen ist (§ 126 Abs. 1 BGB). Bei vertraglich vereinbarter Schriftform gibt es aber auch Erleichterungen, so genügt „im Zweifel“ auch die Übermittlung einer rechtsgeschäftlichen Erklärung auf elektronischem Wege, z.B. per Fax oder E-Mail, obwohl letztere gerade nicht die eigenhändige Unterschrift enthält. Davon zu unterscheiden ist die vereinbarte elektronische Unterschrift, bei der unter anderem auch eine elektronische Signatur als zwingend vereinbart werden kann.
Aus dem Vorstehenden folgt, dass auch die elektronische Übermittlung eines eingescannten Dokuments mit Unterschrift die vertraglich vereinbarte Schriftform erfüllt. Dies hat das OLG Frankfurt ausdrücklich für die Kündigung eines Werkvertrages angenommen (Beschluss vom 16.3.2015 – 4 U 265/14). Achtung! Dies gilt nicht für die Kündigung von Arbeitsverträgen. Diese müssen stets schriftlich auf einem Dokument mit Unterschrift erfolgen (§ 623 BGB).

[value] => Con frecuencia, la eficacia de un contrato depende de la observancia de una determinada forma. En la legislación alemana, p. ej., las transacciones inmobiliarias requieren protocolización notarial, en caso contrario, serán nulas. Existen, asimismo, una serie de actos jurídicos que requieren por ley la forma escrita. Sin embargo, en la mayoría de los contratos se incluyen las denominadas cláusulas de forma escrita convenida, p. ej., para las adiciones contractuales.
Pero, ¿qué significa en realidad la forma escrita en los tiempos de los modernos medios de telecomunicaciones? De acuerdo con la definición legal, el documento debe ser firmado en forma autógrafa con el nombre de quien lo otorga, si la ley establece la forma escrita (art. 126.1 del Código Civil alemán). Sin embargo, en el caso de que la forma escrita sea acordada contractualmente, existen facilidades, bastará también “en caso de duda” el envío de una declaración jurídico-negocial por medios electrónicos, p. ej., por fax o por correo electrónico, aunque este último no contenga la firma manuscrita. Esto debe diferenciarse de la firma electrónica convenida, en la que, entre otras cosas, puede ser acordada una firma digital como obligatoria.
De lo anterior se desprende que también el envío electrónico de un documento escaneado firmado cumple el requisito de forma escrita acordada contractualmente. Esto ha sido admitido expresamente por el Tribunal Regional Superior de Francfort para la rescisión de un contrato de obra (Auto de 16-03-2015 – 4 U 265/14). ¡Ojo! Esto no es aplicable para la rescisión de contratos laborales, que exige para su eficacia la forma escrita en un documento firmado (art. 623 del Código Civil alemán).
