[value] => Gem. dem spanischen GmbH-Gesetz hat jeder Gesellschafter, der die Übertragung seiner Anteile an einen Dritten (weder Gesellschafter noch Mitglied seiner unmittelbaren Familiengruppe) beabsichtigt, die Gesellschaft schriftlich davon in Kenntnis zu setzen, damit diese mit entsprechender Genehmigung der Hauptversammlung die Übertragung durch Vorstellung eines alternativen Käufers (entweder ein oder mehrere Gesellschafter oder die Gesellschaft selbst) genehmigt. Finden die gesetzlichen Beschränkungen Anwendung, hat die Mitteilung zwingen im Vorhinein zu erfolgen (die Gültigkeit der Übertragung kann nicht durch eine „nachträgliche“ Mitteilung geheilt werden). Der Inhalt der Mitteilung hat sich dabei auf einen konkreten Sachverhalt zu beziehen, mit Angabe der tatsächlich geplanten Vorgänge sowie deren Bedingungen, wobei eine abstrakte, unvollständige bzw. unrichtige Mitteilung nicht ausreichend ist.
Was geschieht, wenn diese Regelung nicht eingehalten wird und eine Übertragung erfolgt? Ist diese in jeder Hinsicht nichtig? Entfaltet die Übertragung Wirkungen zwischen den Parteien, aber nicht gegenüber der Gesellschaft? Gem. dem Urteil des Landgerichts Toledo vom 24. April 2018 ist die ohne Vornahme der gesetzlich vorgeschriebenen Mitteilung erfolgte Übertragung gegenüber der Gesellschaft unwirksam. Auch wenn das Urteil diesen Aspekt nicht ausdrücklich behandelt, kann der Verkäufer vom Käufer die Befolgung seiner Anweisungen bezüglich der Ausübung der Gesellschafterrechte fordern, wobei der Käufer jedoch nicht als Gesellschafter anerkannt wird und seine Rechte in der Gesellschaft nicht direkt wahrnehmen kann.
Bei Unwissenheit des Käufers bzgl. der mangelnden Einhaltung des Genehmigungsverfahrens, kann dieser in jedem Fall die Auflösung der Übertragung verlangen.

[value] => La Ley española de sociedades de responsabilidad limitada establece que todo socio que pretenda transmitir sus participaciones a un tercero (no socio ni miembro de su grupo familiar cercano) debe comunicarlo por escrito a la sociedad para que ésta, con el correspondiente acuerdo de la junta general, autorice la transmisión mediante la presentación de un adquirente alternativo (sea uno o varios socios o sea la propia sociedad).
La comunicación debe realizarse en todo caso (sin excepción alguna cuando resulten aplicables las limitaciones legales) con carácter previo (no puede salvarse la validez de la transmisión mediante una comunicación “a posteriori”) y con un contenido concreto, referido a operaciones realmente proyectadas y completo en cuanto a las condiciones de éstas (no cabe entender cumplido este requisito mediante comunicaciones abstractas, incompletas o incorrectas).
¿Qué ocurre cuando ese régimen no se respeta y se produce la transmisión? ¿Es nula a todos los efectos? ¿Produce efectos entre las partes, pero no frente a la sociedad? La SAP Toledo de 24 de abril de 2018 considera que es ineficaz frente a la sociedad la transmisión efectuada sin haberse producido la preceptiva comunicación en los términos legalmente previstos. Aunque la sentencia no aborda ese aspecto, eso quiere decir que el vendedor podrá exigir al comprador que siga sus instrucciones en lo que se refiere al ejercicio de los derechos de socio, pero el comprador no será reconocido como socio y no se le permitirá ejercer directamente sus derechos en la sociedad.
En cualquier caso, el comprador, si desconocía que no se respetó el proceso de autorización, podrá exigir también la resolución de la compraventa.
