[value] => Das Landgericht Madrid hat kürzlich erklärt, dass sich das Informations-recht des Minderheitsgesellschafters einer Holding auf ihre hundert-prozentigen Tochtergesellschaften erstreckt, wenn diese die Geschäfte des Konzerns führen und somit mittels Beschlusses vom 19. Juli die Hauptversammlung der Muttergesellschaft für nichtig erklärt.
In diesem Fall handelte es sich um eine Gesellschaft, die sich der Haltung und Verwaltung anderer Gesellschaften widmet und ihre Geschäfte 100% über Tochtergesellschaften abwickelt, von denen eine davon 97% des Umsatzes der gesamten Gruppe erwirtschaftet.
Die Tätigkeit des Konzerns ist die administrative, notarielle und steuerliche Abwicklung von Kauf- und Verkaufstransaktionen und Hypotheken, die auf nationaler Ebene abgeschlossen werden und deren Ausführung zwischen den verschiedenen, in ganz Spanien verteilten Verwaltungszentren erfolgt, wobei diese Verwaltungszentren in den meisten Fällen Gesellschafter der verklagten Gesellschaft sind, und in ihrem jeweiligen Gebiet durch einen mit der vorgenannten Tochtergesellschaft abgeschlossenen Vertrag über die Erbringung von Hypothekenverwaltungsdienstleistungen handeln.
Unter Berücksichtigung der Struktur dieses Konzerns beschloss das Landgericht, dass die Verweigerung von Informationen an einen Gesellschafter über die Tochtergesellschaften, in denen die beklagte Gesellschaft alleiniger Gesellschafter ist, die Minderheitsgesellschafter der Muttergesellschaft von allen Informationen über das von der Tochtergesellschaft betriebene Geschäft isoliert, ohne die Kontrollmöglichkeit durch diese.
Das Landgericht stützte sich unter anderem auf einem Urteil des Obersten Gerichtshofs, welches feststellte, dass die vorherrschende Tatsache nicht die Beteiligung des Minderheitsgesellschafters an der Muttergesellschaft sei, sondern der Umstand, dass die dominierende Gesellschaft die Kontrolle über 100% die Tochtergesellschaft hat, in der die Geschäftstätigkeit ausgeübt wird.

[value] => La Audiencia Provincial de Madrid estableció recientemente que el derecho a la información del socio minoritario de un holding se extiende a sus filiales íntegramente participadas, cuando éstas son las que desarrollan el negocio del grupo. A partir de ello, en su sentencia del pasado 19 de julio, declaró nulos los acuerdos adoptados en la junta general de la matriz por infracción de dicho derecho.
En este supuesto, la sociedad demandada era una sociedad dedicada a la tenencia y administración de otras sociedades y compañías, que desarrolla el negocio a través de sus filiales, de las cuales una, participada al 100%, es la que genera el 97% de la cifra de negocio del conjunto del grupo.
El negocio de este holding es la gestión y tramitación administrativa, notarial y de impuestos de operaciones de compraventa e hipotecarias, celebrando contratos a nivel nacional cuya ejecución canaliza entre los distintos centros gestores repartidos por el territorio nacional, según su ubicación geográfica, siendo estos centros gestores, en la mayoría de los casos, socios de la demandada, que actúan en su correspondiente territorio a través de un contrato de prestación de servicios de gestión hipotecaria suscrito con la filial mencionada.
Teniendo en cuenta la estructura del grupo societario del que es matriz la demandada, la Audiencia Provincial entendió que denegar la información a un socio sobre las filiales, de las que la sociedad demandada es socio único, aísla a los socios minoritarios de la dominante de cualquier información sobre el negocio que desarrolla la filial, sin posibilidad de fiscalización o control alguno por parte de los minoritarios.
La Audiencia Provincial se basó, entre otros, en la aplicación de la doctrina del Tribunal Supremo, que determina que el hecho predominante no es la participación del socio minoritario en la matriz, sino la circunstancia de que la sociedad dominante tenga el control sobre el 100% de la filial en la que se desarrolla el negocio.
