[value] => In der Vertragspraxis werden in Geschäftsführeranstellungsverträgen oftmals nachvertragliche Wettbewerbsverbote vereinbart. Das gilt insbesondere für den Fremdgeschäftsführer, also den Geschäftsführer, der selbst nicht als Gesellschafter an der GmbH beteiligt ist. Dieser wird nach seinem Ausscheiden aus dem Unternehmen an einer anderweitigen Tätigkeit als Geschäftsleiter interessiert sein. Dabei ist aufgrund der Fachkunde des Geschäftsführers die Leitung eines Konkurrenzunternehmens naheliegend. Eine solche Tätigkeit wird regelmäßig nicht im Interesse des bisherigen Unternehmens sein, denn davon würde die Konkurrenz im Markt profitieren. Vermieden werden kann eine solche Tätigkeit durch Vereinbarung eines Wettbewerbsverbots im Anstellungsvertrag des Geschäftsführers, das explizit für die Zeit nach seinem Ausscheiden aus dem Unternehmen greift. Bei der vertraglichen Ausgestaltung eines derartigen nachvertraglichen Wettbewerbsverbots ist Vorsicht geboten. Denn dieses kann nach der höchstrichterlichen Rechtsprechung nur in einem eingeschränkten Umfang rechtswirksam vereinbart werden. Rechtlicher Hintergrund hierfür ist, dass ein solches Verbot in die Grundrechtsposition der Berufsfreiheit des Geschäftsführers eingreift. Abgesehen davon, dass ein nachvertragliches Wettbewerbsverbot einer zeitlichen Limitierung unterliegt, kann nicht jede Art der beruflichen Tätigkeit des ausgeschiedenen Geschäftsführers für die Zukunft untersagt werden.
Das Oberlandesgericht München hat hierzu in seinem Hinweisbeschluss vom 2.8.2018 – 7 U 2107/18 – festgestellt, dass ein nachvertragliches Wettbewerbsverbot nichtig sei, wenn damit einem Fremdgeschäftsführer jede Art von Tätigkeit für ein Konkurrenzunternehmen untersagt werden soll. Dem Geschäftsführer muss also die Tätigkeit für einen Wettbewerber im Markt erlaubt sein, wenn sie keinen Bezug zur früheren Tätigkeit des Geschäftsführers aufweist. Vorsicht: Eine geltungserhaltende Reduktion der Vertragsklausel kommt nicht in Betracht. Diese kann also nicht umgedeutet werden, um ihre Rechtswirksamkeit zu retten.

[value] => En la práctica contractual de las sociedades de responsabilidad limitada (GmbH), en muchas ocasiones se acuerdan cláusulas de no competencia postcontractual en los contratos de prestación de servicios con los administradores, lo cual se aplica en particular a los administradores que no son socios de la GmbH. Tras su salida de la empresa estarán interesados en ejercer funciones de gestión en otras compañías. Debido a su experiencia, la gestión de una empresa competidora será obvia. Tal actividad, evidentemente, no redundará en interés de la empresa actual, ya que beneficiaría a la competencia de forma directa. Dicha situación puede evitarse acordando una cláusula de no competencia en el contrato con el administrador para el período posterior a su salida de la empresa. Se requiere mucha precaución en la redacción de dicha cláusula de no competencia postcontractual, ya que – de acuerdo con la jurisprudencia alemana – sólo cabe acordar la restricción de la actividad profesional futura del administrador en unos términos limitados, dado que tal limitación interviene en los derechos fundamentales de la libertad profesional que corresponde a cualquier administrador. Aparte del hecho de que una cláusula de no competencia postcontractual está sujeta a un límite de tiempo, no se puede prohibir en el futuro todo tipo de actividad profesional del administrador saliente.
El Tribunal Regional Superior de Múnich, en su decisión del 2.08.2018 (7 U 2107/18), dictaminó que una cláusula de no competencia postcontractual es nula de pleno derecho si tiene por objeto prohibir a un administrador realizar cualquier tipo de actividad para una empresa competidora. Por lo tanto, se le debe permitir que trabaje para una empresa competidora si el trabajo en la misma no está relacionado con la actividad anterior del administrador. Tampoco cabe salvar una cláusula de no competencia postcontractual nula mediante interpretación, reduciendo su alcance de aplicación de acuerdo con la Ley. Una cláusula de este tipo ilícita es nula de pleno derecho en su totalidad.
