[value] => Der Kommunikationskanal dient in einem Unternehmen sowohl Angestellten wie auch Dritten dazu, interne Missstände vertraulich oder anonym zu melden. Jeder Angestellte muss die Existenz des Kommunikationskanals kennen.
Die Hinweisbearbeitung erfolgt durch den Compliance-Beauftragten oder Compliance Officer und muss folgende grundlegende Prinzipien garantieren: (i) Vertraulichkeit: der Inhalt des Hinweises ist nicht bekannt zu machen. (ii) Keine Repressalien: Es muss garantiert werden, dass keine negativen Folgen für den Hinweisgeber entstehen, sofern er den Kommunikationskanal nicht mißbräuchlich genutzt hat. (iii) Beachtung des kontradiktorischen Verfahrens und der Verteidigungsrechte: Der Angezeigte muss die Möglichkeit haben, die gemeldeten Tatbestände zu widerlegen und entsprechende Beweise zu liefern, (iv) Schriftform: Der Bearbeitungsprozess ist schriftlich festzuhalten.
Nach Abschluss der Ermittlungen ist festzustellen, ob der Hinweis begründet ist oder nicht und welche Maßnahmen zu ergreifen sind und ein Bericht zu erstellen mit folgendem Inhalt: (i) Prozesse, die bei der Hinweisbearbeitung angewendet worden sind, sowie dabei erhaltene Resultate. (ii) Ggf. zu ergreifende Korrektur- und/oder Disziplinarmaßnahmen. (iii) Empfehlung oder Vorschläge zur Vorbeugung oder zur Verbesserung der Kontrolle, Aufsicht und erforderlichen Auswertung, um eine Wiederholung in der Zukunft zu vermeiden.
Wird bei der Hinweisbearbeitung festgestellt, dass ein gesetzeswidriger Missstand vorliegt, sind die zuständigen Behörden zu benachrichtigen. Wenn die Benachrichtigung aus dem Compliance System hervorgeht, ist sie zugleich ein Beweis dafür, dass das Compliance Programm effektiv und effizient ist und die zu diesem Zweck in Art. 31 des spanischen Strafgesetzbuches vorgesehenen Bedingungen erfüllt.

[value] => Los canales de comunicación son un mecanismo implementado en la empresa con la finalidad de que sus trabajadores y, en ocasiones terceros, puedan comunicar de forma confidencial o anónima irregularidades cometidas dentro de la empresa. Todos los empleados deberán conocer la existencia de estos canales.
La investigación la dirigirá el Responsable de Cumplimiento o Compliance Officer y deberá garantizar unos principios básicos: (i) Confidencialidad: no se divulgará el contenido de la denuncia. (ii) Inexistencia de represalias, garantizando que no se penalizará al denunciante siempre que la denuncia se haya realizado de buena fe. (iii) Principio de contradicción y defensa: el denunciado siempre podrá contradecir los hechos por los que ha sido denunciado y presentar pruebas que refuten los hechos denunciados. (iv) Fehaciencia: debe documentarse por escrito.
Finalizada la fase de investigación, habrá de determinarse si la denuncia es procedente o no y las medidas a adoptar mediante la emisión del informe de investigación, que recoge los siguientes aspectos: (i) los procedimientos empleados para la investigación de la denuncia y sus resultados; (ii) las medidas correctivas que, en su caso, se deban establecer, así como las sanciones disciplinarias que pudieran corresponder; (iii) las recomendaciones o propuestas preventivas o de mejora en el control, supervisión, y evaluación necesaria para evitar su repetición en el futuro.
Por supuesto, si resultado de la investigación realizada se acreditara la comisión de un ilícito deberá darse curso a las autoridades competentes. Si se hace, además, desde el seno del programa de Compliance, esta comunicación será una prueba de que dicho programa es eficaz y eficiente cumpliendo con los requisitos previstos al efecto en el artículo 31 bis del Código Penal.
