[value] => Die Annahme eines Betriebsübergangs i.S.d. Richtlinie 2001/23/EG kommt nach der Entscheidung des EuGH in der Rs. Dodič selbst dann in Betracht, wenn der Erwerber eines Finanzdienstleisters keine Betriebsmittel, sondern lediglich den Kundenstamm übernimmt (EuGH, 8.5.2019 – C-194/18).
Die Prüfung des Vorliegens eines Betriebsübergangs mit dem daraus resultierenden Arbeitnehmerschutz erfolgte im Folgenden Fall: Die Parteien des slowenischen Ausgangsverfahrens stritten über die Wirksamkeit einer Kündigung. Der Kläger war bei der beklagten Bank in der Abteilung für Investitionsdienstleistungen tätig. Die Beklagte entschied, diese Abteilung zu schließen und ihre Finanzinstrumente inkl. des verwalteten Kundenvermögens an eine andere Gesellschaft zu veräußern. Die Arbeitnehmer der Beklagten und weitere Betriebsmittel wurden nicht übertragen, weshalb dem Kläger gekündigt wurde. Damit waren auch die Erfolgsaussichten der Kündigungsschutzklage zweifelhaft, die sich auf die Annahme eines Betriebsübergangs stützte. Die Kunden der Beklagten erhielten das Angebot, zukünftig von der Erwerberin betreut zu werden, welches zu 91% angenommen wurde. So stellte sich dem EuGH die Frage, ob die Übertragung des Kundenstamms einen Betriebsübergang darstellen kann, wenn der Übergang des Kundenstamms letztlich von der Entschei-dung der Kunden abhängt.
Der EuGH bejahte die Frage, weil ein identitätswahrender Übergang im Einzelfall auch von der konkret verfolgten wirtschaftlichen Tätigkeit des Betriebs abhängt. Da die streitgegenständliche Abteilung für Investitionsdienstleistungen nicht von materiellen Aktiva geprägt werde, komme den immateriellen Betriebsmitteln bei der Abwägung besondere Bedeutung zu. Der Gerichtshof erachtete daher die Übertragung der Finanzinstrumente und weiterer kundenbezogener Aktiva als ausreichenden Anknüpfungspunkt für einen Betriebsübergang inkl. des daraus resultierenden Arbeitnehmerschutzes. Dass die Kundenübertragung von der Zustimmung der Kunden abhänge, sei unschädlich, da der Übergang tatsächlich weit überwiegend erfolgt sei.

[value] => Según el TJUE (asunto Dodič), se considera traspaso de empresa en el sentido de la Directiva 2001/23/CE cuando el comprador de una empresa de servicios financieros no adquiere activos materiales, sino únicamente la clientela del vendedor (TJUE, 8/5/2019 – C-194/18).
La existencia de un traspaso de empresa con la consiguiente protección de los trabajadores se evaluó en el siguiente caso. Las partes en el procedimiento en Eslovenia impugnaron la validez de un despido. El demandante trabajaba para el banco demandado en el departamento de servicios de inversión. El demandado decidió cerrar este departamento, despedir el personal y vender sus instrumentos financieros, incluidos los activos de los clientes, a otra empresa. No hubo traspaso de personal. Por lo tanto, el éxito de la demanda en contra del despido, motivada en la presunción de un traspaso, era dudoso. Los clientes de la demandada recibieron una oferta para ser atendidos por el adquirente en el futuro, que fue aceptada por el 91% de la clientela. Debido a esto surgió la cuestión ante el TJUE, si la transferencia de instrumentos financieros y otros activos inmateriales podría constituir una sucesión de empresa si la transferencia depende del consentimiento de los clientes.
El TJUE respondió afirmativamente, porque la identificación de unidades económicas transferidas preservando su identidad depende de la actividad específica que lleve a cabo la empresa. Dado que el departamento en este caso no se caracterizaba principalmente por los activos materiales, el TJUE le dio mayor importancia a los activos inmateriales. Por eso, el Tribunal consideró que la transferencia de instrumentos financieros y otros activos relacionados con los clientes era un factor suficiente para la transferencia de una empresa y la protección de los trabajadores. El hecho que la transferencia de clientes dependa del consentimiento de los clientes no cambia el resultado, ya que la transferencia ya se efectuó en gran medida.
