[value] => Vertragshändler wie Handelsvertreter sind wichtige Figuren im Vertriebsrecht. Beide sind Vertriebsmittler eines Herstellers. Während aber der Handelsvertreter auf fremde Rechnung arbeitet, also Geschäfte für den Unternehmer vermittelt, kauft der Vertragshändler die Produkte eines Herstellers und verkauft sie im eigenen Namen weiter. Er übernimmt aber dabei auch noch weitere Aufgaben für den Unternehmer – dies kann Marketing wie Garantieabwicklung betreffen.
Der Vertragshändler ist im deutschen Recht nicht kodifiziert und so bedienen sich die Gerichte häufig der analogen Anwendung von Handelsvertretervorschriften oder entwickeln ansonsten eigene Grundsätze. Das Oberlandesgericht (OLG) Frankfurt hatte bereits im Jahr 2016 eine Frage zu entscheiden, die auch heute noch große Relevanz hat (Urteil vom 09.02.2016, Az. 11 U 136/14). Ein Vertragshändler und der Hersteller stritten um Schadensersatzansprüche, die sich nach Meinung des Vertragshändlers daraus ergaben, dass der Hersteller Bestellungen gegen Ende des Vertragsverhältnisses grundlos abgelehnt hatte. Der beklagte Hersteller wehrte sich dagegen, indem er darauf verwies, dass der Vertragshändler doch einen ausreichenden Bestand an Waren hatte bevorraten können.
Das OLG Frankfurt gab dem Vertragshändler Recht. Der Hersteller, so das OLG, sei nach Treu und Glauben verpflichtet, den Vertragshändler zu beliefern, sofern keine schwerwiegenden Gründe entgegenstünden. Willkürlich dürfte der Vertragshändler die Lieferung jedenfalls nicht verweigern. Häufig besteht ein Interesse seitens des Herstellers gegen Ende der Vertragsbeziehungen, die Lieferungen zurückzuhalten, um sie einem möglichen Nachfolger zu überlassen, der nicht auf einen übersättigten Markt treffen soll. Eine ausreichende Legitimation im juristischen Sinne stellt diese Interessenslage aber nicht dar – insbesondere dann nicht, wenn der Vertragshändler zur Exklusivität verpflichtet ist, was ihn insbesondere abhängig macht.

[value] => Los distribuidores autorizados y los agentes comerciales son figuras importantes en el Derecho de distribución. Ambos son intermediarios de ventas de un fabricante. Pero, mientras que el agente comercial trabaja por cuenta de un tercero, es decir, realiza transacciones para el empresario, el distribuidor autorizado compra los productos a un fabricante y los revende en su propio nombre. No obstante, también asume otras tareas para el empresario – esto puede incluir tanto marketing como tramitación de la garantía.
El distribuidor autorizado no está codificado en la legislación alemana, por lo que los tribunales a menudo recurren a la aplicación analógica de la normativa para los agentes comerciales o desarrollan sus propios principios. El Tribunal Regional Superior (OLG) de Fráncfort tuvo ya que decidir en 2016 sobre una cuestión que aún hoy tiene una gran relevancia (Sentencia de 09-02-2016, N° Proced. 11 U 136/14). Un distribuidor autorizado y el fabricante litigaron por daños y perjuicios, que en opinión del distribuidor autorizado se derivaban de que el fabricante había rechazado en la parte final de la relación contractual los pedidos injustificadamente. El fabricante demandado se opuso a ello señalando que el distribuidor autorizado había podido almacenar una cantidad suficiente de mercancías en stock.
El OLG de Fráncfort dio la razón al distribuidor autorizado. Según este tribunal, el fabricante está obligado de buena fe a suministrar al distribuidor autorizado siempre que no exista una causa grave que lo impida. En cualquier caso, el distribuidor autorizado no debe rechazar el suministro arbitrariamente. A menudo, en la parte final de la relación contractual, el fabricante está interesado en retener los suministros para entregarlos a un posible sucesor, que no debería encontrarse con un mercado saturado. Pero este interés no constituye una legitimación suficiente en el sentido jurídico – más aún si el administrador autorizado está obligado a la exclusividad, lo que lo hace especialmente dependiente.
