[value] => Seit einiger Zeit gehört es zu den rechtlichen Anliegen, die langfristige Beteiligung von Aktionären an börsennotierten Unternehmen zu fördern. Diesem Anliegen wird mit der Richtlinie (EU) 2017/828 des Europäischen Parlaments und des Rates vom 17. Mai 2017 zur Änderung der Richtlinie 2007/36/EG im Hinblick auf die Förderung der langfristigen Einbeziehung von Aktionären an börsennotierten Unternehmen Rechnung getragen.
Durch einen Gesetzesentwurf hat die spanische Regierung am 24. Mai die Umsetzung dieser Richtlinie in Gang gebracht, mit welchem der konsolidierte Text des Gesetzes über Kapitalgesellschaften geändert wird. Zu den Maßnahmen gehört die Einführung von sogenannten Loyalty Shares oder Treueaktien.
Mit dieser besonderen Art von Aktien wird langfristiges Engagement belohnt und ein größeres politisches Gewicht für diejenigen geboten, die eine gewisse Stabilität in ihrer Teilhaberschaft nachweisen. Die im Kapitalgesellschaftsgesetz vorgesehene Änderung ermöglicht es, das Verhältnis zwischen dem Nennwert und dem Stimmrecht in börsennotierten Unternehmen zu ändern (derzeit verboten), um denjenigen Aktien, die der Eigentümer seit mindestens zwei aufeinanderfolgenden Jahren und ohne Unterbrechung hält, eine zusätzliche Stimme zu verleihen. Natürlich geht dieser Vorteil, außer in Erbfällen, mit der Übertragung der Aktien verloren.
Die Erfahrung in anderen Rechtssystemen, in denen Treueaktien bereits vorgesehen sind (z. B. Frankreich oder Italien), zeigt, dass diese besondere Art von Maßnahmen von Nutzen ist, auch wenn sie nicht frei von praktischen und technischen Problemen sind. Die Reform bietet börsennotierten Unternehmen ein Instrument, mit dem Aktionäre, die sich langfristig engagieren, bevorzugt werden können. Derzeit und ohne Studien, die dies belegen, kann davon ausgegangen werden, dass ihre freiwillige Aufnahme durch eine börsennotierte Gesellschaft eine rein kurzfristige finanzielle Investition verhindern kann.

[value] => Desde hace un tiempo, forma parte de las preocupaciones de política jurídica favorecer la implicación a largo plazo de los accionistas en las sociedades cotizadas. A esa preocupación responde la Directiva (UE) 2017/828 del Parlamento Europeo y del Consejo de 17 de mayo de 2017 por la que se modifica la Directiva 2007/36/CE en lo que respecta al fomento de la implicación a largo plazo de los accionistas en las sociedades cotizadas.
Con fecha de 24 de mayo, el Gobierno español puso en marcha la transposición de esa Directiva a través del Anteproyecto de Ley por la que se modifica el texto refundido de la Ley de Sociedades de Capital. Entre sus medidas se contempla la introducción de las llamadas acciones de lealtad, o loyalty shares.
Con este tipo especial de acciones se premia el compromiso a largo plazo ofreciendo un mayor peso político para quienes demuestren una cierta estabilidad en su condición de socios. La modificación que se prevé de la LSC permitirá alterar la proporción entre el valor nominal y el derecho de voto en las sociedades cotizadas (ahora prohibido), para dotar de un voto adicional a aquellas acciones que se hayan mantenido por su titular al menos durante dos años consecutivos sin interrupción. Como es natural, este beneficio se pierde con la transmisión de la acción, salvo en los casos de sucesión mortis causa.
La experiencia de otros ordenamientos en los que las loyalty shares ya están presentes (como Francia o Italia) evidencia una cierta utilidad de este tipo especial de acciones, aunque también refleja que no están exentas de problemas prácticos y técnicos. La reforma ofrece a las sociedades cotizadas una herramienta que podría ser útil para favorecer a los socios que demostraran una apuesta por el largo plazo. De momento, y sin contar con estudios que lo evidencien, puede suponerse que su incorporación voluntaria por una sociedad cotizada podrá desincentivar la inversión financiera de carácter estrictamente cortoplacista.
