[value] => In der Geschäftspraxis steht bei grenzüberschreitenden Vertragsbeziehungen die Regelung zum Gerichtsstand ganz am Ende und ihr wird von den Beteiligten meistens wenig Aufmerksamkeit geschenkt. Dies ist ein Fehler. Denn häufig ist es nicht nur entscheidend, welche Partei das bessere Recht auf seiner Seite hat, sondern vor welcher Gerichtsbarkeit Ansprüche durchgesetzt werden können. Es kommt nicht selten vor, dass sich Vertragsparteien nicht auf einen Gerichtsstand einigen können. Als Ausweg wird dann häufig eine Schiedsgerichtsklausel in Erwägung gezogen. Schiedsgerichte sind private Gerichte, sie werden beispielsweise von Handelskammern organisiert. Die Schiedsrichter sind in aller Regel Rechtsanwälte. Die Verfahrensregelungen finden sich in eigenen Schiedsordnungen.
Schiedsverfahren werden stets in einer einzigen Instanz abgeschlossen. Hierdurch wird eine Beschleunigung des Rechtstreits erreicht. Es gibt nach einzelnen Schiedsordnungen, z.B. der Internationalen Handelskammer in Paris (ICC) auch besondere Verfahrensarten für kleinere und damit schneller abzuwickelnde Verfahren. Die Kosten eines Schiedsverfahrens liegen auf den ersten Blick höher als bei staatlichen Gerichten. Allerdings wird ein Schiedsverfahren eben auch in einer einzigen Instanz zu Ende gebracht, während es vor staatlichen Gerichten bis zu drei Instanzen geben kann, wodurch die Kosten auch ein beträchtliches Ausmaß annehmen können. Zu den Vorteilen von Schiedsverfahren gehört sicherlich, dass sowohl die Schiedsorganisation wie der Schiedsort und die Sprache des Verfahrens von den Parteien frei gewählt werden können. Letzteres ist insbesondere dann von Bedeutung, wenn die Vertragsparteien den Vertrag z.B. in englischer Sprache abschließen. Dann liegt es nahe, als Verfahrenssprache Englisch zu wählen. Es ist stets den Schiedsort frei zu wählen. Außerdem kann nach eigenen Verfahrensordnungen die Anzahl der Schiedsrichter (ein oder drei Schiedsrichter) gewählt werden. Wegen der zahlreichen Besonderheiten sollten Schiedsgerichtsklauseln stets mit anwaltlicher Beratung formuliert werden.

Esto es un error, pues, a menudo, no sólo resulta decisivo qué parte tiene el mejor Derecho de su lado, sino ante qué jurisdicción pueden interponerse las reclamaciones. No es extraño que las partes no se pongan de acuerdo sobre el lugar de jurisdicción. Con frecuencia, se recurre entonces a una cláusula de arbitraje. Los tribunales arbitrales son tribunales privados que están organizados, p.ej., por cámaras de comercio. Los árbitros son, generalmente, abogados. Las reglas de procedimiento se encuentran en sus propias normas de arbitraje.
Los procedimientos arbitrales concluyen siempre en una sola instancia. Así se consigue una agilización del litigio. De acuerdo a las reglas de arbitraje individuales, p. ej. las de la Cámara de Comercio Internacional de París (ICC), existen también procedimientos especiales para aquellos que son más breves y, por lo tanto, más rápidos. A primera vista, los costes de los procedimientos de arbitraje parecen ser más elevados que los de los tribunales estatales. Sin embargo, los procedimientos de arbitraje siempre se concluyen en una sola instancia, mientras que los procedimientos ante los tribunales estatales podrán tener hasta tres instancias, con lo cual los costes también pueden ser considerables. Una de las ventajas del arbitraje es que tanto la organización del arbitraje como el lugar y el idioma del mismo pueden ser libremente elegidos por las partes. Esto último tiene especial relevancia si las partes contratantes celebran el contrato, p.ej., en inglés. Entonces tiene sentido elegir el inglés como idioma del procedimiento. Además, podrá elegirse el número de árbitros (uno o tres árbitros) de conformidad a las propias normas de arbitraje. Debido a las numerosas particularidades deben ser formuladas las cláusulas de arbitraje siempre con asesoramiento jurídico.
