[value] => Überlässt ein in Spanien ansässiges Unternehmen seiner deutschen Tochtergesellschaft nicht nur auf gesellschaftsrechtlicher sondern entgeltlich auf schuldrechtlicher Basis (vgl. zu dieser Abgrenzung unseren Beitrag zur Ausgabe April 2017 dieses Newsletters) das Recht zur Nutzung von Marken, Logos, Siegel und Namen etc., so unterliegen die Vergütungen zwar nach § 49 Abs. 1 Nr. 2 Buchst. a bzw. f, Nr. 6 oder Nr. 9 EStG der beschränkten Steuerpflicht in Deutschland, nach den Vorschriften der EU-Lizenzrichtlinie und Art. 12 des DBA wird diese jedoch unter den Voraussetzungen von § 50g EStG auf Antrag beim deutschen Fiskus nicht erhoben. Beim zahlenden deutschen Unternehmen sind mit Wirkung ab 2018 gegebenenfalls die steuerlichen Abzugsbeschränkungen der sog. Lizenzschranke (§ 4j EStG) zu beachten, die für alle Ertragsteuern der deutschen Tochtergesellschaft (Körperschaftsteuer und Solidaritätszuschlag sowie Gewerbesteuer) relevant ist, wenn die spanische Muttergesellschaft nicht nachweislich bestimmte Voraussetzungen erfüllt.
Unabhängig davon sind jedoch nach § 8 Nr. 1 Buchst. F GewStG ganz allgemein ein Viertel der Aufwendungen für die zeitlich befristete Überlassung von Rechten (insbesondere Konzessionen und Lizenzen, mit Ausnahme von Lizenzen, die ausschließlich dazu berechtigen, daraus abgeleitete Rechte Dritten zu überlassen) für Zwecke der Gewerbesteuer nicht abzugsfähig. Dies gilt zum einem für Aufwendungen für die Überlassung von Marken und Markenrechten (vgl. gleichlautender Erlass der obersten Finanzbehörden der Länder von 02.07.2012), nach einer Verfügung des Landesamts für Steuern von Niedersachsen vom 04.03.2019 (G 1422-193-St 251) jedoch auch etwa für Zahlungen an den „TransFair – Verein zur Förderung des Fairen Handels in der Einen Welt (TransFair e.V.)” für die Nutzung des sog. Fair-Trade-Siegels sowie vergleichbare Aufwendungen für die Nutzung von Wort-Bild-Marken, Logos und Namen. Erfolgt die Rechteüberlassung zusammen mit anderen Vereinbarungen im Rahmen eines Gesamtpakets, so ist die Vergütung gegebenenfalls aufzuteilen.

[value] => Al ceder una sociedad con residencia fiscal en España a su filial alemana el uso de marca, logo, signos, nombre, etc., no solamente a base de su relación como socio sino a título obligatorio y a cambio de una remuneración (véase dicha diferenciación en el boletín de abril 2017), entonces ésta está sujeta a tributación en Alemania por obligación real según art. (§) 49 (1) nr. 2 a y f, nr. 6 ó 9 EStG (LIRPF alemana) como renta obtenida en Alemania, aunque exenta por el Reglamento Europeo sobre Licencias y el art. 12 del CDI si se cumple con el art. (§) 50g EStG y se solicita al fisco alemán. Las empresas alemanas contribuyentes deben observar desde 2018 asimismo la limitación a la deducción de regalías impuesta por el art. (§) 4j EStG, que tiene efecto en todos los impuestos sobre la renta de la filial alemana (Impuesto sobre Sociedades, Recargo de Solidaridad, Impuesto sobre Actividades Económicas), cuando la matriz española no puede demostrar el cumplimiento de determinados requerimientos.
Además, en general y sin depender de lo anterior, la cuarta parte de los gastos no son deducibles de la base imponible del IAE según el art. (§) 8 nr. 1 f GewStG (Ley alemana del IAE) en el caso de la cesión temporal de derechos (en especial concesiones y licencias con excepción de estas que permiten una derivación exclusiva a disposición de terceros). Lo expuesto se aplica a gastos por cesión de marca y derechos sobre marcas (según la circular de las autoridades fiscales de los Estados Federados del 02/07/2012) y se refuerza con otra circular de la Oficina Regional de Fiscalidad de Baja Sajonia del 04/03/2019 (G 1422-193-St 251) en el caso de pagos a una asociación para el fomento del comercio justo con el nombre de „TransFair – Verein zur Förderung des Fairen Handels in der Einen Welt (TransFair e.V.)” por el uso del respectivo sello Fair-Trade como de marcas denominativas y figurativas, logos y nombres. Si la cesión de derechos se hace como paquete en conjunto con otros acuerdos también se debe diferenciar por ítem de cuenta la correspondiente remuneración.
