[value] => Noch ist zwar nicht sicher, ob es am 01. Oktober 2017 überhaupt zu der Abstimmung über die Unabhängigkeit Kataloniens kommen wird. Das spanische Verfassungsgericht hat das entsprechende Gesetz bereits für verfassungswidrig erklärt. Der Zentralstaat überzieht Politiker aus Katalonien wegen der Diskussion und Abstimmung über das Referendumsgesetz mit Strafanzeigen. Für den Fall einer Abstimmungsmehrheit für die Unabhängigkeit will sich Katalonien innerhalb von Stunden einseitig zu einer Republik erklären. Es soll hier nicht erörtert werden, welche rechtliche Qualität eine solche Unabhängigkeitserklärung hätte und welche Maßnahmen der spanische Staat hat, die bisherige Ordnung wieder herzustellen. Bemerkenswert ist vielmehr, dass der Entwurf des Übergangsgesetzes wie selbstverständlich davon ausgeht, dass die Außenbeziehungen Kataloniens wie bisher als Teil Spaniens fortbestehen würden, insbesondere eine Mitgliedschaft in der Europäischen Union.
Die EU hat bereits verlautbaren lassen, dass die Abspaltung eines Teils eines Mitgliedsstaates dazu führt, dass der abgespaltete Teil aus der EU ausscheidet. Damit treten im Verhältnis zwischen Katalonien und den EU-Staaten sofort die geltenden EU-Normen außer Kraft. Dies hätte nicht zuletzt auf Verträge zwischen katalanischen und EU-Unternehmen schwerwiegende Auswirkungen. Weder die Verordnungen zur Bestimmung des anwendbaren Rechts bei grenzüberschreitenden Verträgen noch die Vorschriften über die Zuständigkeit von Gerichten wären anwendbar. Katalonien – vorausgesetzt es würde überhaupt als Staat anerkannt - fiele insofern auf den Status eines Drittlandes ohne jede völkerrechtliche Anbindung zurück. Auch das UN-Kaufrecht träte sofort außer Kraft, denn auch dies hat Spanien als Staat abgeschlossen. Erhebliche Rechtsunsicherheit im Geschäftsleben wäre die Folge. Was die katalanische Regionalregierung vorhat, ähnelt dem „harten Brexit“, allerdings ohne jede Bedenkzeit oder Verhandlungsphase.

[value] => Existe incertidumbre sobre la celebración del referéndum de independencia de Cataluña anunciado para el 1 de octubre de 2017. El TC ha declarado inconstitucional la ley en base a la cual el Gobierno de la Generalitat pretende convocar a los catalanes para decidir sobre la independencia. El Estado ha denunciado a los políticos catalanes con motivo de la discusión y aprobación de la ley del referéndum independentista. En el supuesto de que los catalanes voten mayoritariamente a favor de la independencia, Cataluña se declarará unilateralmente como una República independiente. No se pretende entrar a valorar el valor jurídico de la declaración independentista, ni tampoco las medidas que están a disposición del Estado. Resulta interesante que el borrador de la ley de secesión catalana asume que Cataluña seguirá en la misma posición internacional que si continuara siendo parte de España y presupone la permanencia en la UE.
La UE ya ha anunciado que si un territorio de un Estado miembro deja de ser parte de ese estado porque se convierte en independiente, esto da lugar a que dicha región dejará de ser miembro de la UE. Y, por consiguiente, en las relaciones entre Cataluña y los Estados miembros dejará de aplicarse la normativa comunitaria. Esto tendrá un grave impacto en las relaciones contractuales entre las empresas catalanas y europeas. Así, no resultarán de aplicación ni los reglamentos que determinan la legislación aplicable para los contratos transfronterizos ni las disposiciones sobre la competencia jurisdiccional. Cataluña –en el caso de que sea reconocida como Estado- se retrotraería al estatus de un país tercero carente de vínculos internacionales. Además, la normativa regulada en la CISG dejará de ser aplicable, dado que a dicha Convención se adhirió España como Estado. Esto conduciría a una gran inseguridad jurídica en el marco de las transacciones comerciales. El planteamiento del Gobierno de la Generalitat se asemeja a un “Brexit duro”, en el que se ha obviado el período de reflexión y la fase de negociación.
