[value] => Die Satzung spanischer Kapitalgesellschaften kann einzig ein Gesellschafterbeschluss ändern, mit der Ausnahme bzgl. der Sitzverlegung innerhalb Spaniens, bei der ein Geschäftsführungsorganbeschluss ausreicht, sofern die Satzung keinen Gesellschafterbeschluss verlangt. Die Reform von 2015 des Kapitalgesellschaftsgesetzes („LSC“), mit der Befugnisse der Geschäftsführung für die Sitzverlegung innerhalb der Gemeinde nun für innerhalb Spaniens erweitert wurde, löste Debatten über Satzungsbestimmungen aus, die noch der alten Gesetzeslage entsprechen. Die Generaldirektion für Register und Notariat („DGRN“) entschied hierzu einen Fall, bei dem ein Registerführer eine Sitzverlegung außerhalb der Gemeinde verweigert hatte. Die umstrittene Bestimmung lautete folgend: „Die Sitzänderung innerhalb der Gemeinde wurd durch Beschluss des Verwaltungsrats vollzogen.“ Der Registerführer war der Ansicht, dass diese Satzung nur die Verlegung innerhalb der Gemeinde erlaubt.
Der Notar argumentierte hingegen, die Bestimmung sei eine Wiederholung des Art. 285.2 LSC in der zum Zeitpunkt der Satzungsverabschiedung geltenden Fassung und beabsichtige keinesfalls die Zuständigkeit der Hauptversammlung. Eine restriktive Auslegung sei daher abzulehnen. Die Gesellschafter haben hier die im Moment der Satzungsverabschiedung geltende Bestimmung wiedergegeben. Obwohl die Satzung ihrer Rechtsnatur eher einer Norm als einem Vertrag entspricht, muss die Interpretation dieser dem Gesellschafterwillen entsprechen, wobei der Wille dem Wortlaut vorgeht. Der Verweis in der Satzung auf eine Gesetzesbestimmung ist als Verweis auf die jeweils geltende Fassung zu verstehen, die nicht unbedingt mit der beim Satzungserlass geltenden übereinstimmen muss. Ungeklärt war aber, wie eine Satzung den Gesetzeswortlaut wiedergibt. Die DGRN legte fest, dass der Bezug auf das Gesetz, egal ob durch Verweis oder durch deren inhaltliche Wiedergabe, als Willensausdruck der Gesellschafter zu verstehen ist, die Gesellschaft der gesetzlichen Regelung in der jeweils geltenden Fassung zu unterwerfen.

[value] => Los estatutos (“EESS”) en sociedades españolas solo pueden ser modificados por la Junta, con la excepción del traslado del domicilio social dentro de España, para lo que basta un acuerdo del órgano de administración, siempre que los EESS no exijan lo contrario. La reforma de 2015 de la Ley de Sociedades de Capital (“LSC”), que amplió la competencia del órgano de administración para que pudiera cambiar el domicilio dentro de España, en lugar de limitarla al término municipal, provocó debates sobre las previsiones estatutarias previas a la reforma. En este asunto, la DGRN ha resuelto sobre la negativa de un Registrador a inscribir el traslado de domicilio de una sociedad fuera de su término municipal. La previsión que dio lugar al desacuerdo, era la siguiente: “Los cambios de sede dentro del mismo municipio se realizarán por acuerdo del Consejo.” El Registrador entendía la previsión descrita como “facultad para cambiar el domicilio únicamente dentro del mismo municipio”.
Sin embargo, el Notario alegó que la previsión no hacía más que replicar el artículo 285.2 de la LSC vigente en el momento de aprobación de los EESS y que, de ninguna manera, reservaba el traslado de domicilio a la Junta, por lo que no podía interpretarse restrictivamente. Esta sociedad reproducía la disposición legal vigente a la aprobación de los EESS. A pesar de que la naturaleza de los EESS es más normativa que contractual, su interpretación debe estar presidida por la búsqueda de la voluntad de los socios, que siempre debe prevalecer sobre el tenor literal. Si los EESS se remiten, sin más, a la ley, se puede aceptar que lo hacen a la que resulte de aplicación cuando sea necesario (y no a la norma vigente al redactarse), pero cuando se reproduce el contenido esta conclusión no está tan clara. A este respecto, la DGRN establece que la referencia que se hace en los EESS a la ley, tanto por medio de remisión como reproducción, debe interpretarse como la voluntad de los socios de someter la sociedad al correspondiente régimen legal supletorio establecido en cada momento.
