[value] => Bei einem Immobilienkauf ist es üblich vor Unterzeichnung des notariellen Kaufvertrages zunächst einen privaten Vorvertrag abzuschließen, durch welchen sich die Vertragsparteien dazu verpflichten, den Kauf innerhalb einer von ihnen bestimmten Frist vor dem Notar zum Abschluss zu bringen. Zwischen dem Abschluss des privaten Vertrages und dem notariellen Kaufvertrag können je nach Vereinbarung zwischen den Parteien, mehrere Monate oder gar Jahre liegen, eine Zeitspanne, in der sich einschneidende, unvorhergesehene Veränderungen der Ausgangssituation, wie sie zum Zeitpunkt des privaten Vertragsabschlusses bestand, ergeben können. Genannt sei hier beispielsweise einer der häufigsten Fälle, nämlich, dass sich beim Käufer unvorhergesehener Weise gravierende Verschlechterungen in seiner wirtschaftlichen Situation ergeben oder ein erwartetes Darlehen nicht gewährt wird.
Auf diese Situation kann mit zwei juristischen Grundsätzen reagiert werden, die jedoch in ihrer Wirkung vollkommen unterschiedlich sind. Zum einen kann der Grundsatz „pacta sunt servanda“ („Verträge sind einzuhalten“) zur Anwendung kommen, zum anderen kann auch die Möglichkeit bestehen, diesen Grundsatz anhand der Lehre der „rebus sic stantibus“-Klausel („unter diesen Umständen“) abzuschwächen, wonach eine der Parteien sich von ihren vertraglichen Verpflichtungen lösen kann, wenn sich wesentliche unvorhergesehene Veränderungen der Umstände, die bei Vertragsschluss vorlagen, ergeben. Der spanische Oberste Gerichtshof hat sich mit dieser interessanten Frage mit zweifellos alltäglicher Praxisrelevanz für Bauträgerunternehmen in seinem Urteil vom 13. Juli 2017 befasst und entschieden, dass die Situation der Wirtschaftskrise dem Verkäufer nicht erlaube, im Falle eines Vertragsrücktritts oder einer Pflichtverletzung den vertraglich vorgesehenen Folgen zu entgehen, da das Risiko des Scheiterns der Finanzierung zu Lasten des Käufers gehe und nicht zu Lasten des Verkäufers.

[value] => En la compraventa de bienes inmuebles es muy habitual firmar un contrato privado con anterioridad al otorgamiento de la escritura pública, por medio del cual, el vendedor se obliga a vender al comprador, obligándose este último a comprar el inmueble objeto de dicho contrato en un plazo determinado. Entre la firma del contrato y la formalización de la compraventa en escritura pública pueden transcurrir varios meses, incluso años, dependiendo de aquello pactado entre las partes, tiempo durante el cual, las circunstancias de las partes puedan verse alteradas significativamente. Así, y por citar el supuesto que con mayor frecuencia se ha producido en los últimos años, puede suceder que el comprador sufra un empeoramiento de su situación económica o bien, que se frustren sus expectativas y posibilidades de financiación de forma imprevisible. Ante tales situaciones, puede reaccionarse mediante dos principios jurídicos pero con efectos muy dispares entre ellos.
Por un lado, podría aplicarse el principio „pacta sunt servanda“ („los contratos hay que cumplirlos“) y, por otro, cabría la posibilidad de flexibilizar dicho precepto aplicando la doctrina de la cláusula „rebus sic stantibus“ („estando así las cosas“), otorgándose por tanto a una de las partes la posibilidad de desligarse del contrato, exonerándole de toda responsabilidad, como consecuencia de la aparición de hechos sobrevenidos imprevisibles. El Tribunal Supremo ha analizado esta interesante cuestión con indudable relevancia en la práctica diaria de las empresas promotoras, en su Sentencia de fecha 13 de julio de 2017, y ha concluido que la mera invocación de la situación de crisis económica no permite al comprador eludir las consecuencias previstas en el contrato para el caso de desistimiento o incumplimiento, pues la falta de obtención de financiación es un riesgo que corre de su cuenta, no de la del vendedor.
