[value] => Die Europäische Kommission hat am 22. November 2016 den schon lange erwarteten Vorschlag für eine Richtlinie des Europäischen Parlaments und des Rates über präventive Restrukturierungsrahmen, die zweite Chance und Maßnahmen zur Steigerung der Effizienz von Restrukturierungs-, Insolvenz- und Entschuldungsverfahren und zur Änderung der Richtlinie 2012/30/EU“ (Com (2016) 723) vorgelegt.
Der Richtlinienentwurf soll für Unternehmen einen weitgehend einheitlichen Rechtsrahmen für vorinsolvenzliche Sanierungsverfahren sicherstellen, insolvenzbedingte Wertverluste vermeiden und die Entschuldung redlicher insolventer Unternehmer vorsehen. Allerdings sind bestimmte Schuldner wie Kreditinstitute von der Richtlinie ausgenommen.
In ihrem Richtlinienentwurf greift die Kommission die wesentlichen Punkte ihrer Empfehlung vom 12. März 2014 zur Kapitalmarktunion auf. Die EU ist der Auffassung, dass zu unterschiedliche Regelungen in den Mitgliedstaaten die rechtzeitige Sanierung von Unternehmen behindern und ausländische Geldgeber aufgrund der Unsicherheit über die jeweilige nationale Sanierungsmöglichkeit wünschenswerte Investitionen nicht tätigen.
Die entscheidende Neuerung soll darin liegen, dass einzelne Gläubiger keine Möglichkeit mehr haben sollen, eine sinnvolle Sanierung aus eigennützigen Gründen zu blockieren. Hierzu kann ein Restrukturierungsplan erstellt werden, der auch gegen eine ablehnende Minderheit von Gläubigern durchgesetzt werden kann. Für die Abstimmung über den Restrukturierungsplan werden die Gläubiger in Interessengruppen eingeteilt.
Dem Richtlinienentwurf müssen noch der Rat und das Europäische Parlament zustimmen. Es ist zu erwarten, dass noch einige Änderungen im Gesetzgebungsverfahren vorgenommen werden, auch wenn einige Staaten – so Spanien, nicht jedoch Deutschland – schon mit der Umsetzung von Maßnahmen aus der Empfehlung der Europäischen Kommission aus dem Jahr 2014 begonnen haben, die sich im Richtlinienvorschlag wiederfinden.

[value] => El pasado 22 de noviembre de 2016 la Comisión Europea ha publicado la nueva Propuesta de Directiva del Parlamento Europeo y del Consejo sobre marcos de reestructuración preventiva, segunda oportunidad y medidas para aumentar la eficacia de los procedimientos de condonación, insolvencia y reestructuración, y por la que se modifica la Directiva 2012/30/UE (Com (2016) 723.
Mediante la Propuesta se pretende una armonización normativa en los Estados Miembros en los procedimientos de reestructuración empresarial en la fase pre-concursal, además de reducir posibles pérdidas de activos durante el procedimiento concursal y finalmente prever unos estándares mínimos para que los empresarios en quiebra tengan acceso a una descarga de responsabilidad. Sin embargo, hay ciertos deudores que no se podrán acoger a esta Directiva como son las entidades financieras.
La Propuesta busca armonizar en parte la legislación concursal y preconcursal de los Estados miembros tras constatar, que las profundas diferencias de régimen jurídico en materia de insolvencia actualmente existentes constituyen un serio obstáculo al correcto funcionamiento del mercado único y, en especial, a la libre circulación de capitales, dada la inseguridad jurídica que la implica para los inversores internacionales y, por otro lado, la escasa eficacia que ha tenido hasta la fecha la Recomendación de la Comisión sobre reestructuración y segunda oportunidad de 12 de marzo de 2014, asumida sólo parcialmente por algunos Estados miembros, de forma que las diferencias regulatorias siguen siendo muy significativas.
La Propuesta prevé la adopción del acuerdo de reestructuración por mayoría, no por unanimidad, lo que reduce el riesgo de comportamientos estratégicos por acreedores minoritarios. No obstante, establece ciertas garantías o salvaguardas para evitar que este procedimiento sea utilizado para redistribuir riqueza desde los acreedores minoritarios hacia los acreedores mayoritarios y/o a favor del deudor.
