[value] => Eine GmbH legte zur Eintragung folgende Änderung einer einstimmig beschlossenen Satzungsklausel beim Handelsregister vor: “Beim Vorkaufsrecht der Gesellschaftsanteile muss für den angemessenen Wert der betreffenden Anteile der niedrigere der beiden folgenden zugrunde gelegt werden: der seitens des veräußernden Gesellschafters an die Gesellschaft mitgeteilte Preis oder der sich aus der letzten, durch die Gesellschafterversammlung verabschiedeten Bilanz ergebende Buchwert“. Das Handelsregister wies die Eintragung mit der Begründung ab, die Klausel widerspreche Art. 107 des Kapitalgesellschaftsgesetzes (LSC). Demnach könnte die Bestimmung des angemessenen Wertes der Gesellschaftsanteile durch den Buchwert, das Recht des veräußernden Gesellschafters verletzen, den angemessenen Wert für seine Anteile zu erhalten.
Die Generaldirektion für Register und Notare (DGRN) hob diese Beurteilung im Wesentlichen wegen folgender Gründe auf:
(i) Art. 107 LSC hat einen subsidiären Charakter und findet lediglich bei fehlender bzw. unzureichender Satzungsregelung Anwendung;
(ii) Art. 108 LSC untersagt nicht, den Preis oder Wert der Gesellschaftsanteile über den sich aus der letzten Bilanz ergebenden Buchwert zu vereinbaren;
(iii) Gemäß der Rechtsprechung handelt es sich bei dem realen oder angemessenen Wert um den Marktwert, wenngleich dieser in Ermangelung eines Marktes für Gesellschaftsanteile durch einen Annäherungswert festzulegen ist.
Da der Buchwert nicht automatisch mit dem realen Wert gleichgestellt werden kann, ließe sich daraus für die übrigen Gesellschafter eine ungerechtfertigte Bereicherung ableiten. Die DGRN verneint allerdings solch eine ungerechtfertigte Bereicherung zugunsten der restlichen Gesellschafter oder der Gesellschaft, da die betreffende Klausel seitens aller Gesellschafter einvernehmlich vereinbart bzw. akzeptiert worden sei.

[value] => Una sociedad limitada presentó a inscripción en el Registro Mercantil la siguiente modificación estatutaria, acordada por unanimidad: “El derecho de adquisición preferente se ejercitará por el valor razonable de las participaciones de cuya transmisión se trate, que será el menor de los dos siguientes: el precio comunicado a la sociedad por el socio transmitente, o el valor contable que resulte del último balance aprobado por la Junta”. La Registradora Mercantil denegó la inscripción por considerar que la cláusula es contraria al artículo 107 de la Ley de Sociedades de Capital (LSC), esto es, que la determinación del valor razonable de las participaciones sociales por el valor contable que resulte del último balance, puede vulnerar el derecho del socio transmitente a obtener el valor razonable de sus participaciones.
La Dirección General de los Registros y del Notariado (DGRN) revocó la calificación principalmente por los siguientes motivos:
(i) Lo previsto en el art. 107 LSC tiene carácter subsidiario y sólo es aplicable a falta o por insuficiencia de un régimen estatutario;
(ii) El art. 108 LSC no prohíbe pactar como precio o valor de las participaciones el valor contable que resulte del último balance;
(iii) Según la jurisprudencia, el valor real o razonable sería el valor de mercado, si bien, al no existir un mercado de participaciones sociales, debe determinarse por aproximación.
Dado que el valor contable no puede equipararse automáticamente al valor real, el uso de aquél puede suponer que los demás socios obtengan un enriquecimiento injusto o sin causa. Sin embargo, la DGRN entiende que no existe enriquecimiento injusto o sin causa en favor de los restantes socios o de la sociedad, en tanto que la cláusula discutida responde a lo pactado y aceptado por todos los socios.
