[value] => Was auch immer aus den Verhandlungen über den BREXIT herauskommen wird, es ist absehbar, dass die Rechtsbeziehungen zwischen der EU und Großbritannien im März 2019 deutlich anders aussehen werden als heute. Nicht nur die englische Limited ist betroffen, die irgendwann als Alternative zur deutschen GmbH gegründet worden, aber in Großbritannien nur eine Briefkastenanschrift hat – sie wird in Deutschland nicht mehr als juristische Person angesehen, wenn Großbritannien die EU verlässt. Manager sollten rechtzeitig eine Alternative wählen, wenn sie nicht das Risiko der persönlichen Haftung für Schulden der Ltd. eingehen wollen.
Vor allem Lieferverträge, Handelsvertreter- und Vertragshändlerverträge, aber auch Franchiseverträge – um nur einige zu nennen – sind auf die BREXIT-Auswirkungen schon jetzt zu prüfen. Zu klären ist, wie Formulierungen in langfristigen Verträgen auszulegen sind, wenn beispielsweise das Vertragsgebiet als „die Europäische Union“ definiert ist – gehört Großbritannien nach dem BREXIT dann noch dazu? Eine Vertragsauslegung und gegebenenfalls -anpassung ist erforderlich.
Vereinbarte INCOTERMS sind anzupassen, wenn zwischen der EU und Großbritannien Einfuhrzölle und sonstige Abgaben eingeführt werden. Vertragsklauseln, die wettbewerbsrelevanten Inhalt haben (zum Beispiel das Verbot nach außerhalb des Vertragsgebiets zu liefern) müssen überprüft werden; die heute geltenden EU-Gruppenfreistellungsverordnungen werden nach dem BREXIT nicht mehr anwendbar sein. Es gilt dann im Zweifel neben dem EU-Kartellrecht auch das nationale Kartellrecht in Großbritannien. Rechtswahl- und Gerichtsstandklauseln, welche die Anwendbarkeit des englischen Rechts oder einen Gerichtsstand im Vereinigten Königreich vorsehen, müssen schon jetzt auf den Prüfstand. In vielen Fällen wird es vertragliche Kündigungsmöglichkeiten geben, so dass auf diesem Wege Vertragsanpassungen erzielt werden können. Deshalb ist es wichtig, bestehende Verträge so frühzeitig wie möglich auf Anpassungsbedarf zu überprüfen.

[value] => Como resultado de las negociaciones sobre el BREXIT es previsible que se modifiquen en marzo de 2019 las relaciones jurídicas entre la UE y el Reino Unido. No sólo se verá afectada la Limited inglesa que se ha constituido en ocasiones como alternativa a la GmbH alemana - aunque en GB únicamente tenga una dirección de correo postal - y que carecerá de personalidad jurídica en Alemania, desde el momento en que GB abandone la UE. De modo que, los directores de estas empresas deberán buscar una alternativa a tiempo si no quieren correr el riesgo de asumir una responsabilidad personal por las deudas de la Ltd.
Principalmente, los contratos de suministro, de agencia comercial y de distribución, entre otros, deberán ser examinados para verificar los impactos del BREXIT. Debe clarificarse cómo deberán interpretarse las cláusulas en contratos a largo plazo, cuando por ejemplo el territorio del contrato esté definido como “la Unión Europea”- ¿estaría incluido bajo esta delimitación territorial GB tras el BREXIT? Por ello, será necesaria una interpretación de los contratos y, cuando proceda, una adecuación de los mismos.
Los INCOTERMS deberán ser adaptados en aquellos casos en los que se hubiera introducido aranceles de importación u otras cargas. Las cláusulas contractuales limitando la competencia (p. ej. la prohibición de suministrar fuera del territorio del contrato) tendrán que ser revisadas. Los Reglamentos de exención por categorías hoy vigentes dejarán de ser aplicables tras el BREXIT. Al contrato se aplicará entonces, en caso de duda, tanto la legislación europea antimonopolio, como la legislación de GB en esta materia. Las cláusulas sobre el derecho aplicable y el lugar de jurisdicción, que estipulan la aplicabilidad del derecho inglés o determinan el fuero jurídico en GB deben ser ahora objeto de análisis. En muchos casos se darán posibles rescisiones contractuales, de manera que así se consiga la adaptación del contrato. Por ello, es importante adaptar los contratos vigentes lo antes posible.
