[value] => Aufgrund ernsthafter Liquiditätsprobleme der Banco Popular wurde in der Nacht vom 6. und 7. Juni 2017 erstmals die neue europäische Bankabwicklung gemäß der Verordnung (EU) Nr. 806/2014 angewandt, um damit zu verhindern, diese Bank mit Steuergeldern retten zu müssen. Dabei lagen die drei Voraussetzungen der Verordnung vor: (i) dass das Unternehmen wahrscheinlich oder bereits ausfällt, (ii) keine Aussicht besteht, den Ausfall durch alternative Maßnahmen des privaten Sektors abzuwenden und (iii) die Abwicklungsmaßnahme für das öffentliche Interesse erforderlich ist.
Die EZB und das Abwicklungsgremium (SRB) haben den Ausfall bestätigt und somit den Abwicklungsverlauf, den die spanische Abwicklungsbehörde (FROB) umsetzen würde, bestimmt.
Gemäß dem spanischen Gesetz 11/2015, kann die FROB die Voraussetzungen des spanischen Kapitalgesellschaftsgesetzes bei der Abwicklung umgehen, wobei zuerst alle sich im Umlauf befindlichen Aktien getilgt und das Grundkapital auf null reduziert wurden. Daraufhin wurden alle zusätzlichen Kapitalinstrumente der ersten Stufe, unter denen sich auch die sogenannten Coco-Bonds (Contingent Convertible Bonds) befanden, in Aktien umgewandelt. Die Aktien wurden erneut getilgt und das Kapital auf null reduziert. Die Kapitalinstrumente der zweiten Stufe, vor allem nachrangige Verbindlichkeiten, wurden dann in Aktien umgewandelt. Zuletzt wurden diese Aktien für einen Euro von der Santander Bank übernommen, ohne dabei das Einverständnis der Aktionäre einholen zu müssen.
Nun muss Santander sein Grundkapital auf über 7 Milliarden Euro erhöhen, um die obligatorischen Bankrücklagen wieder herzustellen. Aktionäre und viele Anleihegläubiger gehen somit leer aus, aber ein unabhängiger Experte der SRB wird entscheiden, ob ein Insolvenzverfahren geringere Schäden verursacht hätte und diese entschädigt werden müssen. Kleinanleger von Aktien und Anleihen stellen sich jetzt die Frage, ob die Probleme die zum Bankia Fall führten, sich wiederholen könnten.

[value] => En la noche del 6 al 7 de junio de 2017, debido a los graves problemas de liquidez, se aplicó por primera vez al Banco Popular el nuevo Mecanismo Único de Resolución previsto en el Reglamento (UE) 806/2014 y con el que se trató de evitar el rescate del banco con dinero público. Concurrían los tres requisitos del Reglamento, es decir, que el banco esté en graves dificultades o probablemente vaya a estarlo; que no existan perspectivas de que otras medidas alternativas del sector privado puedan impedir su inviabilidad en un plazo de tiempo razonable y que la medida de resolución sea necesaria para el interés público.
La grave dificultad fue determinada por el BCE y la Junta Única de Resolución (JUR) que establecieron el proceso de disolución que ejecutaría el FROB.
La Ley 11/2015 establece que el FROB puede eludir las exigencias de la Ley de Sociedades de Capital en un procedimiento de reestructuración, que comenzó con la amortización de todas las acciones en circulación y la reducción del capital social a cero. El segundo paso fue capitalizar los instrumentos de capital adicionales de primer nivel, entre los que se encuentran los CoCos (bonos contingentes convertibles). Posteriormente las nuevas acciones se amortizaron y el capital se redujo de nuevo a cero. Como siguiente paso se convirtió en capital la deuda subordinada, vendiendo por último estas acciones por un euro al Banco Santander, sin que fuera necesario para ello requerir el consentimiento de los accionistas.
Ahora el Santander deberá ampliar su capital social en unos 7.000 millones de euros para restaurar las reservas regulatorias del Banco Popular. Accionistas y titulares de deuda subordinada y CoCos perderán sus inversiones, aunque un experto independiente contratado por la JUR tendrá que determinar si un procedimiento concursal hubiera sido menos oneroso para ellos, en cuyo caso serían indemnizados con la diferencia. La comercialización de las acciones y bonos entre pequeños inversores plantea la duda de si volverán a producirse los problemas que se produjeron en el caso Bankia.
