[value] => Oftmals fragt man sich bei Gesetzesänderungen, inwiefern diese dazu geeignet sind, das mit ihnen verfolgte Ziel auch tatsächlich zu erreichen. Ein praktisch tatsächlich schönes Beispiel für eine Änderung, bei welcher der Erfolg sich unmittelbar bemerkbar machen dürfte, ist die durch die aktuelle GBW-Novelle in Kraft getretene Haftbarkeit von (Mutter) Gesellschaften für Tochter-/ Konzerngesellschaften: Der Wurstfabrikant Clemens Tönnies – sowie ihn imitierende Unternehmen - hatten in der Vergangenheit Tochtergesellschaften, welche an Preisabsprachen für Wurstwaren teilgenommen hatten, und an die ein Kartell-Bußgeld verhängt worden war, einfach aufgelöst, womit die Geldbuße ins Leere ging, da die Konzern-Muttergesellschaft nicht für Verfehlungen ihrer Töchter haftete. Dieser als „Wurstlücke“ bekannt gewordene Trick dürfte nach den Neuerungen der GWB-Novelle – wir berichteten in der vorletzten Ausgabe – nicht mehr funktionieren, denn es gibt nun die Möglichkeit der Konzernhaftung/ Haftung des Rechtsnachfolgers. Damit dürfte die bislang bestehende Rechtslücke, durch die Unternehmen Kartellstrafen durch Umstrukturierungen einfach entgehen konnten, geschlossen sein.
Auf europäischer Ebene und in vielen anderen EU-Ländern werden Kartellverstöße bereits bei den Muttergesellschaften geahndet, das deutsche Recht setzte bislang lediglich bei der handelnden Konzerntochter an. Es soll wohl auch schon darüber nachgedacht worden sein, besonders auffällige Verfahren an die EU-Kommission weiterzugeben, die sie dann nach dem seit jeher strengerem europäischen Wettbewerbsrecht führen könnte. Sofern andere Rechtslücken, die – in letzten Endes legaler, wenn auch moralisch vielleicht verwerflicher – Weise von Unternehmen ausgenutzt werden, nicht geschlossen werden können, so könnte ein künftiger Ansatz ja auch darin bestehen, dass sich EU-Kommissarin Margrethe Vestager Anreize holt bei ihrem Amtskollegen Pierre Moscovici zur Abwälzung von Pflichten des Gesetzgebers auf andere Beteiligte, vgl. hierzu unser Beitrag in der gleichen Ausgabe zum Öffentlichen Recht/ EU-Recht.

[value] => Cuando se produce un cambio legislativo, cabe preguntarse en qué medida es realmente adecuado para los fines perseguidos. Un buen ejemplo de cambio, que seguramente será eficaz, es la responsabilidad subsidiaria de las empresas vinculadas y los sucesores jurídicos tras la última modificación de la ley de competencia desleal. El fabricante de salchichas Clemens Tönnies, al igual que algunos de sus imitadores, ha liquidado empresas vinculadas, que han sido multadas por infracciones del derecho de la competencia. Al no existir una responsabilidad del grupo para las empresas vinculadas, ha podido evitar de esta forma el pago de una multa. Este truco, que se ha hecho popular con el nombre “Wurstlücke”, “escondrijo de la salchicha” – o también, según su inventor, como “Tönnies–Trick” - ya no debería funcionar, después de los cambios legislativos de la enmienda de la ley de competencia desleal – véase nuestro artículo en la newsletter de abril 2017 - que ahora prevé una responsabilidad subsidiaria de las sociedades matrices/ vinculadas. De esta forma debería solventarse la hasta ahora existente laguna jurídica.
A nivel europeo, y en muchos países europeos, ya existía la responsabilidad subsidiaria dentro de un grupo de empresas, el derecho alemán, en cambio, buscaba la responsabilidad en cada empresa individual. Ha sido objeto de discusión la posibilidad de encomendar casos especialmente llamativos a la Comisión Europea al disponer de un sistema más restrictivo en materia de competencia desleal del que hasta ahora disponía el sistema alemán. De existir otras lagunas jurídicas de las que se aprovechan legalmente las empresas - aunque éticamente quizás reprobable– se podría pensar en la posibilidad que la comisaria actual de competencia, Margrethe Vestager, se inspira en su homólogo, Pierre Moscovici, respecto a las posibilidades de encargar a terceras partes obligaciones propias del legislador, véase nuestro artículo sobre Derecho Administrativo / Unión Europea en esta edición.
