[value] => Das im Unternehmen eingeführte Compliance-Modell muss zur Verhinderung von Straftaten und der Erkennung krimineller Verhaltensweisen führen und gleichzeitig die Formeln bzw. Protokolle beinhalten, mithilfe derer auf diese kriminellen Verhaltensweisen eingegangen werden kann.
Zudem ist das Verwaltungsorgan der juristischen Person dafür verantwortlich, den Compliance Officer sorgfältig und verantwortungsbewusst auszuwählen. Diesem sollen angemessene Ressourcen, Eigenständigkeit bzw. Berechtigungen und ein direkter Kontakt zum Leitungsorgan der juristischen Person ermöglicht werden, damit er die ihm zustehenden Aufgaben mit einer Mindestgarantie für Effizienz und Effektivität ausführen kann.
Die Aufgaben des Compliance Officer sind im Allgemeinen folgende:
- Leitung des eingeführten Modells, darunter die Überwachung der Funktionsweise und Einhaltung des Modells und die Überwachung und Kontrolle des diesem unterstehenden Personals.
- Aufklärung und Schulung der Führungskräfte, Arbeiter und Arbeitnehmer.
- Überprüfung und Aktualisierung des Modells.
Aufgaben im Zusammenhang mit der Verwaltung der Erkennung krimineller Verhaltensweisen – sowohl in Form von Beschwerden als auch in Form von internen Untersuchungen, die als Folge der über den Beschwerdekanal eingegangenen Informationen durchgeführt werden können – gehören zwar nicht zum spezifischen Aufgabenbereich des Compliance Officer, können diesem jedoch zugewiesen werden.
Da die Modelle zur Vorbeugung von Verstößen laut dem spanischen Staatsgesetz 1/2015 mit der Verpflichtung einhergehen müssen, den mit der Funktionsweise und Überwachung betrauten Organismus über mögliche Risiken und Verstöße in Kenntnis zu setzen, muss das Unternehmen die Bearbeitung dieser Beschwerden erleichtern, die in jedem Fall den Compliance Officer erreichen muss.

[value] => El modelo que en materia de cumplimiento normativo penal se instaure en la empresa debe cumplir con los objetivos de prevención de delitos, la detección de las conductas delictivas, debiendo incorporar igualmente las fórmulas o protocolos para poder reaccionar frente a esas conductas delictivas.
Además, el órgano de administración de la persona jurídica será el responsable de seleccionar cuidadosa y responsablemente al encargado de cumplimiento normativo, a quien para poder desempeñar con mínimas garantías de eficiencia y eficacia las tareas que le competen, se le deben facilitar los recursos adecuados, autonomía o autoridad propia y acceso directo al órgano de gobierno de la persona jurídica.
Las tareas del responsable de cumplimiento normativo son, básicamente, las siguientes:
- La gestión del modelo implantado, lo cual implica la supervisión del funcionamiento y cumplimiento del modelo y la vigilancia y control del personal sometido al mismo.
- La información y formación a los directivos, trabajadores y empleados.
- La revisión y la actualización del modelo.
Respecto de la función relacionada con la gestión de la detección de los comportamientos delictivos, tanto a través del canal de denuncias como a través de las investigaciones internas que se pueden poner en marcha como consecuencia de las informaciones que se reciban a través del canal de denuncias, se considera que si bien no es una función específica del responsable de cumplimiento normativo, nada impide también le sea encomendada.
Dado que la LO 1/2015 establece que los modelos de prevención tienen que imponer la obligación de informar de posibles riesgos e incumplimientos al organismo encargado de vigilar el funcionamiento y observancia del modelo de prevención, la empresa tiene que facilitar la canalización de esas denuncias, que, en todo caso, tiene que llegar al responsable de cumplimiento.
