[value] => Anknüpfend an unseren Beitrag in unserer Newsletter-Ausgabe Januar 2017 wollen wir mitteilen, dass inzwischen die 9. GWB-Novelle beschlossen ist: Nach dem Bundestag am 9.3. hat nun auch der Bundesrat am 31.3.2017 der 9. GWB-Novelle zugestimmt.
Um die wesentlichen nun beschlossenen Änderungen kurz zu resümieren:
Die Fusionskontrolle ist, wie vorgesehen, verschärft worden. Ungeachtet der bereits bestehenden maßgeblichen hierfür relevanten Schwellen ist eine Fusionskontrolle nun auch möglich, wenn im Inland ein beteiligtes Unternehmen Umsatzerlöse von mehr als 25 Mio. € erzielt hat, weder das zu erwerbende noch ein anderes beteiligte Unternehmen Umsatzerlöse von jeweils mehr als 5 Mio. € erzielt hat, der Wert der Gegenleistung für den Zusammenschluss mehr als 400 Mio. € beträgt und das zu erwerbende Unternehmen in erheblichem Umfang im Inland tätig ist. Hierdurch können auch marktrelevante Unternehmen, deren Bedeutung sich (noch) nicht in hohen Umsatzzahlen widerspiegelt, nun einer Fusionskontrolle unterzogen werden, und der zunehmenden Digitalisierung wird insoweit Rechnung getragen.
Bezüglich der Schadensersatzpflicht wird diese in Umsetzung der EU-Richtlinie 2014/104/EU ausgeweitet. Dabei wird nach dem neu einzufügen-den § 33a II GWB „widerleglich vermutet, dass ein Kartell einen Schaden verursacht“. Auch wenn die Höhe eines hypothetischen Schadens wohl von einem Wirtschaftsökonomen festgestellt werden muss – der Kartellamt muss nun beweisen, dass sein Verhalten nicht schadensursächlich war. Explizit ist in § 33e GWB die Haftung des Kronzeugen geregelt, welche sich prinzipiell beschränkt auf den Schaden seiner unmittelbaren und mittelbaren Abnehmer (es sei denn: subsidiäre Haftung).
Der Beseitigungs- und Unterlassungsanspruch (§ 33 GWB) sowie der Schadensersatzanspruch (§ 33a GWB) verjähren gemäß § 33h grundsätzlich in fünf Jahren.
Hinsichtlich der Bußgelder kommt es, wie geplant, zur Möglichkeit der Konzernhaftung bzw. Haftung des Rechtsnachfolgers.

[value] => Tras el artículo que publicamos en la newsletter de enero 2017 queremos comunicar que el Parlamento (el 9.3.) y el Senado (el 31.3.) alemanes han aprobado finalmente la novena enmienda de la ley de competencia desleal (9. GWB-Novelle).
A continuación resumimos brevemente los cambios más significativos:
El control de fusiones va a ser más restrictivo: con independencia de las normas al respecto ya existentes, el control de fusión ahora es posible, cuando una empresa implicada tenga una cifra de negocios superior a 25 mill. €, la empresa adquirida u otra empresa implicada tengan ventas inferiores a 5 mill. €, el valor de la contraprestación sea superior a 400 mill. €, y la empresa adquirida realice actividades considerables en el territorio nacional. De esta forma será posible realizar un control de fusión en empresas con gran importancia y gran potencial, aunque su poder de mercado aún no se refleje en un elevado volumen de ventas y, además, se tendrá en consideración la creciente importancia de la digitalización.
La trasposición de la Directiva 2014/104/UE amplía el derecho a indemnizaciones por infracción de normas de competencia. Según el nuevo Art. 33a ap. 2 se presume la causalidad entre infracción y daño. La carga de la prueba recaerá sobre las empresas que hayan infringido las normas en cuyo caso, tendrán que demostrar que de la infracción no se deriva daño. El nuevo Art. 33e, que regula explícitamente la responsabilidad de los solicitantes de clemencia, que estará limitada, en un principio, a los daños causados a sus clientes, directos e indirectos (excepción: responsabilidad subsidiaria).
La acción de cesación de la conducta desleal o de prohibición de su reiteración futura (Art. 33 GWB), y el derecho al pago de daños y perjuicios (Art. 33a GWB) tienen un plazo de prescripción de 5 años.
Respecto a las multas cabrá la posibilidad de una responsabilidad subsidiaria de empresas vinculadas y de sucesores jurídicos.
