[value] => Der Bundestag hat am 16. Februar 2017 die Reform des Insolvenzanfechtungsrechts verabschiedet. Das Reformgesetz ist am 5. April 2017 in Kraft getreten.
Die Reform beschränkt die Rechte des Insolvenzverwalters gegen frühere Geschäftspartner des Insolvenzschuldners vorzugehen und begünstigt vor allem solche Vertragspartner, die von der bevorstehenden Insolvenz des Schuldners nichts wussten.
Für Insolvenzverfahren, die nach dem 5. April in Deutschland eröffnet werden, gelten folgende Änderungen:
- Der Anfechtungszeitraum für Deckungshandlungen (Bezahlung von erbrachten Lieferungen und Leistungen) ist von zehn auf vier Jahre reduziert.
- Die Beweishürde für den Insolvenzverwalter bei Vorsatzanfechtung wird in den meisten Fällen erheblich heraufgesetzt.
- Insbesondere für die Fälle, in denen dem Schuldner eine Ratenzahlung eingeräumt wurde wird vermutet, dass der andere Vertragsteil die Zahlungsunfähigkeit gerade nicht kannte. Dies war bisher von den Gerichten genau entgegengesetzt beurteilt worden.
- Bargeschäfte im Sinne des § 142 InsO, können nur noch angefochten werden, wenn der spätere Insolvenzschuldner unlauter handelte und dies dem Vertragspartner bekannt war.
- Bei Arbeitnehmern wird die sonst übliche 30-Tages-Frist des Bargeschäfts zwischen Leistung und Gegenleistung auf drei Monate ausgedehnt.
- Anfechtungsansprüche werden nur noch ab Verzugseintritt verzinst.
Für Altfälle bleiben die bisherigen, deutlich schärferen Anfechtungsregelungen gültig mit Einschränkung für die Verzinsung von Anfechtungsansprüchen.
Die Reform ist für Vertragspartner insolventer Unternehmen und Privatpersonen eine deutliche Verbesserung im Hinblick auf die Planungssicherheit im Zahlungsverkehr. Auch stellt sie einen echten Meilenstein zur Wiederherstellung des Vertrauens im Rahmen der Gewährung von Lieferantenkrediten dar. Insbesondere redliche Vertragspartner, welche die Krise ihres Kunden oder Auftraggebers oder Arbeitgebers nicht erkannt hatten, werden nun besser geschützt.

La reforma limita los derechos del administrador concursal (AC) para emprender acciones legales contra los anteriores socios comerciales del deudor insolvente y favorece, sobre todo, a los socios contractuales que no tenían conocimiento de la inminente insolvencia del deudor.
Para los procedimientos de insolvencia que se abran en Alemania después del 5 de abril se aplicarán las siguientes modificaciones:
- El período de impugnación para los denominados pagos corrientes (abono de suministros y servicios prestados) se reduce a cuatro años.
- El requisito de la prueba para el AC a la hora de ejercitar acciones rescisorias dolosas aumenta considerablemente en la mayoría de casos. Especialmente en los casos en los que se haya concedido al deudor un pago a plazos se supone que la otra parte contratante no tenía conocimiento de la insolvencia en ese momento, algo que hasta ahora había sido juzgado por los tribunales de un modo completamente opuesto.
- Las operaciones al contado (art. 142 InsO) ya sólo se podrán impugnar si el posterior deudor insolvente actuó de un modo desleal, siendo la otra parte conocedora de ello.
- Los empleados resultan especialmente beneficiados. Se amplía a tres meses el plazo habitual de 30 días para operaciones al contado.
- Se aplicarán intereses a las acciones rescisorias a partir del inicio de la mora.
Para los socios contractuales de empresas insolventes y particulares la reforma es una clara mejora en relación a la seguridad de planificación en los pagos y constituye un auténtico hito para el restablecimiento de la confianza en el marco de la concesión de créditos de proveedor. En especial los socios contractuales honrados que no se hayan percatado de la crisis de su cliente, ordenante o empleador, se beneficiarán ahora de una mejor protección.
