[value] => Der Anspruch der Öffentlichkeit auf Informationen über z.T. schon als historisch zu betrachtende gesellschaftsrechtliche Vorgänge hat Vorrang vor dem Interesse eines Geschäftsführers daran, dass personenbezogene Daten irgendwann nicht mehr aus dem Gesellschaftsregister (so der Begriff des Handelsregisters in Italien) ersichtlich sind. Ein früherer Geschäftsführer einer italienischen GmbH (s.r.l.) hatte dagegen geklagt, dass die Insolvenz der von ihm geführten GmbH noch mehr als 15 Jahre später im Gesellschaftsregister für jedermann erkennbar war. Er meinte, dadurch in seinem aktuellen geschäftlichen Vorankommen beeinträchtigt zu sein.
Der EuGH hat nun entschieden, dass grundsätzlich dem Interesse der Unternehmenswelt, auch über lange zurückliegende Vorgänge öffentlich zugängliche Informationen zu erhalten, der Vorrang vor dem Schutz personenbezogener Daten gebührt. Wer sich am Wirtschaftsleben aktiv beteiligt und damit bestimmte personenbezogene Daten bewusst preisgibt, müsse damit rechnen, dass diese auch noch Jahre später nachgeforscht werden können. Es bestehe ein legitimes Interesse von Dritten, sich über rechtliche Verhältnisse an Gesellschaften auch aus der Vergangenheit durch öffentliche Register informieren zu können, z.B. um Haftungsfragen zu klären. Diese Konsequenz wird damit begründet, dass ein Gesellschafter einer GmbH mit dem Privileg der Haftungsbeschränkung auf das eingezahlte Kapital am Wirtschaftsleben teilnehmen kann und Dritte im Gegenzug zumindest über seine Rolle in einer Gesellschaft Auskunft erhalten können sollen. Allerdings lässt der EuGH eine Türe offen und überlässt es dem nationalen Gesetzgeber, Vorschriften zur Verjährung aufzustellen, innerhalb derer auch personenbezogenen Daten aus dem Gesellschaftsregister gelöscht werden können. Da sich die Entscheidung des EuGH auf eine italienische GmbH bezieht, ist sie beispielsweise auf Eintragungen eines eingetragenen Einzelkaufmanns nicht übertragbar.

Un antiguo gerente de una sociedad limitada italiana (s.r.l) había denunciado que cualquier persona aún podía obtener información en el Registro 15 años después de un procedimiento de insolvencia de una sociedad dirigida por él. Decía que ello perjudicaba el progreso de su negocio actual.
El Tribunal Supremo italiano sometió la pregunta al TJUE. Éste se ha pronunciado ahora diciendo que básicamente hay un interés del sector empresarial en que esa información pública de operaciones antiguas esté disponible y prevalece sobre la protección de datos personales. Porque quien participa activamente en el mundo económico y revela conscientemente determinados datos personales, debe saber que éstos años después aún podrán ser consultados. Hay un interés legítimo de terceros en poder obtener información de circunstancias legales de sociedades, incluso del pasado, a través de registros públicos, por ejemplo, para dilucidar cuestiones de responsabilidad. Esta consecuencia se justifica con el hecho de que un socio de una sociedad limitada puede hacer uso del privilegio de la limitación de responsabilidad según el capital desembolsado durante la vida económica y los terceros, en contrapartida, deben poder por lo menos obtener información sobre su papel en la sociedad. Sin embargo, el TJUE deja una puertecita abierta y deja que el legislador nacional dicte normativa sobre prescripción mediante la cual también puedan ser eliminados del Registro los datos personales. Puesto que la decisión del TJUE se refiere a una sociedad limitada italiana, no es aplicable, p.ej., a la inscripción de un empresario individual registrado.
