[value] => Das spanische Kapitalgesellschaftsgesetz legt die gesamtschuldnerische Haftung der Geschäftsführer hinsichtlich der Gesellschaftsschulden fest, die nach Auftreten eines gesetzlichen Grundes für die Auflösung der Gesellschaft (vor allem in Fällen von Verlusten) entstehen. Die Haftung tritt immer dann ein, wenn die Geschäftsführer folgende Verpflichtungen nicht erfüllen: (i) die Generalversammlung der Gesellschaft innerhalb einer Frist von zwei Monaten nach dem Auftreten eines gesetzlichen Grundes für die Auflösung einzuberufen, damit der Beschluss zur Auflösung der Gesellschaft angenommen wird; oder (ii) die gerichtliche Auflösung der Gesellschaft zu beantragen, oder ggf. ein Insolvenzverfahren, falls die Gesellschafterversammlung dem Auflösungsbeschluss nicht zustimmt.
Die größte Schwierigkeit jedoch bei der praktischen Anwendung dieser Rechtsnorm ist das Konzept der Gesellschaftsschulden, die „nach Auftreten“ eines gesetzlichen Grundes für die Auflösung entstanden sind. Der oberste Gerichtshof besagt, dass das Ziel dieser Norm die Vermeidung von Insolvenzen sei und dabei die Auflösung der Gesellschaft fördern würde, wenn diese unter Verlusten leidet bzw. andere Auflösungsgründe vorliegen. Falls die Gesellschaft weiterhin ihre Tätigkeit fortsetzt, so haften die Geschäftsführer gesamtschuldnerisch für die Gesellschaftsschulden, wobei sie aber nur für die Schulden haften, die nach dem Auftreten des gesetzlichen Grundes entstanden sind. Die Rechtsprechung wendet folgendes Kriterium zur Festlegung des Auftretens der Gesellschaftsschulden vor oder nach dem gesetzlichen Auflösungsgrund an: der Zeitpunkt der Entstehung der Gesellschaftsverpflichtung.
Bei einem kürzlich ergangenen Urteil gibt es, laut dem obersten Gerichtshof, zwei verschiedene Kriterien zur Festlegung des Auftretens der Gesellschaftsschulden vor oder nach dem gesetzlichen Auflösungsgrund: (i) der Zeitpunkt der Entstehung der Gesellschaftsverpflichtung, d.h. bei Vertragsabschluss, oder (ii) wenn die Dienstleistungen erbracht werden, bei deren Ausführung die Gesellschaftsschulden entstehen.

[value] => La Ley de Sociedades de Capital española establece la responsabilidad solidaria de los administradores respecto de las deudas sociales posteriores al acaecimiento de una causa que obliga a la disolución (en particular en los casos de pérdidas). Esa responsabilidad nace siempre que los administradores incumplan su obligación de: (i) convocar la junta general en el plazo de dos meses desde que aparece esa causa para que ésta adopte, en su caso, el acuerdo de disolver la sociedad; o (ii) solicitar la disolución judicial de la sociedad o, en su caso, el concurso de acreedores, si la Junta no adopta el acuerdo de disolver.
La principal dificultad en la aplicación práctica de la norma es determinar el concepto de “deudas sociales posteriores” a la aparición de la causa legal de disolución. El Tribunal Supremo ha precisado que la finalidad de la norma es preventiva de una situación de insolvencia, incentivando la disolución de las sociedades cuando están incursas en pérdidas o en otra causa de disolución. Si la sociedad sigue desenvolviendo su actividad, los administradores devienen solidariamente responsables de las deudas, pero solo de las originadas después de que acaeciera la referida causa. El criterio empleado por la jurisprudencia para concretar si la obligación social debe considerarse anterior o posterior a la causa de disolución era el momento en que la obligación nació. No obstante, en una sentencia reciente, el Tribunal Supremo se plantea la posibilidad de diferenciar ese momento de nacimiento de la obligación, que se produce cuando se perfecciona el contrato, del momento en el que se prestan los servicios contemplados en ese contrato y surge, por tanto, la obligación de pago
