[value] => Unter dem Begriff der „Mobilität von Kapitalgesellschaften innerhalb der EU“ ist bisher in erster Linie die Verlegung des Verwaltungssitzes von Gesellschaften behandelt worden. Während also der in der Satzung angegebene Sitz der Gesellschaft am Ort ihrer Gründung verbleibt, übt sie ihre Geschäftstätigkeit in einem anderen Land aus.
Mit seinem Urteil vom 12. Juli 2012 in der Rechtssache Vale nahm der Europäische Gerichtshof (EuGH) erstmals zur grenzüberschreitenden Verlegung des Satzungssitzes von Gesellschaften Stellung. Er stellte fest, dass eine solche „grenzüberschreitende Umwandlung“ innerhalb der EU aufgrund der Niederlassungsfreiheit möglich sein muss. Dabei führt der Satzungssitzwechsel zwingend zu einem Wechsel des auf die Gesellschaft anwendbaren Rechts. Verlässt die Gesellschaft die Rechtsordnung, nach der sie gegründet worden ist, und unterstellt sich aufgrund eines Sitzwechsels einer fremden Rechtsordnung, so erfordert dies die sukzessive Anwendung von zwei nationalen Rechtsordnungen.
Dem deutschen Recht ist jedoch der Tatbestand eines grenzüberschreitenden Satzungssitzwechsels fremd. Insoweit stellt sich die Frage, welche nationalen Vorschriften bei einer Hereinsitzverlegung vom europäischen Ausland nach Deutschland zur Anwendung kommen. Hierzu hat das Kammergericht in Berlin mit Beschluss vom 21. März 2016 – 22 W 64/15 – entschieden, dass die Zulässigkeit des grenzüberschreitenden Satzungssitzwechsels einer französischen GmbH nach Deutschland gemäß den Vorschriften über den Formwechsel einer Kapitalgesellschaft zu beurteilen ist. Das Kammergericht spricht nicht von einem grenzüberschreitenden Satzungssitzwechsel, sondern von einem grenzüberschreitenden Formwechsel, meint aber inhaltlich das Gleiche. Die Entscheidung schafft also etwas mehr Klarheit über die anwendbaren Vorschriften aus deutscher Perspektive. Mangels einer europarechtlichen oder nationalen Regelung ist für die Durchführung eines solchen Satzungssitzwechsels eine enge Abstimmung mit den Registergerichten des Herkunfts- und Aufnahmestaates unerlässlich.

[value] => El concepto de la “movilidad de sociedades de capital dentro de la UE” describe en primer término el traslado de sus operaciones comerciales a otro país de la UE. Por ello, y si bien como el domicilio social de una sociedad que permanece será aquél que así se determina en sus estatutos sociales, las actividades empresariales pueden desarrollarse en otro Estado Miembro.
Mediante su sentencia de 12 de julio de 2012 el Tribunal de Justicia de la Unión Europea (TJCE) en el asunto Vale se declaraba por primera vez respecto del traslado internacional del domicilio social de una sociedad de capital, apuntando que una tal “transformación transfronteriza” debe ser posible dentro de la UE gracias a la libertad de establecimiento. Ahora bien, un cambio de domicilio social conlleva obligatoriamente un cambio en el ordenamiento jurídico al que debe someterse la sociedad afectada. De hecho, el traslado de un ordenamiento jurídico a otro requiere una aplicación consecutiva de ambas legislaciones.
El ordenamiento jurídico alemán, sin embargo, no prevé el traslado internacional de domicilio social, lo que lleva a uno a plantearse la interrogante de cuál sería la normativa nacional aplicable en caso de trasladar una sociedad su domicilio social desde otro Estado Miembro a Alemania. A este respecto, el Tribunal Superior de Justicia de Berlín iluminaba la cuestión, aclarando con su sentencia de 21 de marzo de 2016 –22 W 64/15– que en caso de traslado internacional de una sociedad de responsabilidad limitada francesa a Alemania deben aplicarse las disposiciones jurídicas alemanas sobre la transformación de sociedades de capital. Si bien el Tribunal habla aquí acerca de una transformación societaria transfronteriza y no sobre un traslado internacional del domicilio social, se refiere sin embargo a lo mismo. Esta sentencia ayuda a aclarar cuáles normas son las aplicables en estos casos. Finalmente, a falta de una normativa europea o nacional concreta, se hace indispensable asegurar una buena colaboración e intercambio entre los respectivos Registros Mercantiles de los países implicados.
