[value] => Sale-and-lease-back-Transaktionen, also der Verkauf und die erneute Anmietung von Vermögensgegenständen (z.B. von Grundstücken, Gebäuden und Anlagen eines produzierenden Unternehmens), bezwecken oft nicht nur die Verbesserung der Liquidität, sondern auch die Verbesserung von Kennzahlen, die für das Rating im Rahmen von Unternehmensfinanzierungen sowie an den Kapitalmärkten von Bedeutung sind. Leasinggeber und Leasingnehmer sind sich bei Sale-and-lease-back-Transaktionen darüber einig, dass das zivilrechtliche Eigentum an dem Leasinggegenstand nach Ablauf der Pacht- bzw. Mietzeit an den Verkäufer und Leasingnehmer wieder zurückfällt.
Während sich in ertragssteuerlicher Hinsicht die Frage stellt, wem im Sinne von § 39 Abs. 2 Nr. 1 Satz 1 AO das wirtschaftliche Eigentum zuzurechnen ist (vgl. hierzu insbesondere das jüngst veröffentlichte Urteil des Bundesfinanzhofs vom 13.10.2016 – BFH IV R 33/13) ist in umsatzsteuerlicher Hinsicht die Frage, ob Sale-and-lease-back-Transaktionen ausnahmsweise auch zu einer steuerpflichtigen sonstigen Leistung des Käufers und Leasinggebers führen können. Das Bundesfinanzministerium geht in einem Schreiben vom 03.02.2017 (III C 2 – S7100/07/10031 : 006, 2017/0071257) im Anschluss an ein Urteil des Bundesfinanzhofs vom 06.04.2016 (BFH V R 12/15) davon aus, dass die sich an die umsatzsteuerbare Lieferung des Verkäufers und Leasingnehmer anschließende Rückvermietung bzw. -verpachtung durch den Käufer und Leasinggeber dann nicht lediglich als umsatzsteuerfreie Gewährung eines Kredits im Sinne von § 4 Nr. 8 UStG anzusehen ist, wenn die Anschaffung des Leasinggegenstandes überwiegend durch ein Darlehen des Verkäufers und Leasingnehmers finanziert wird, was in Abschnitt 3.5 Abs. 7 UStAE in einem neuen Satz 6 klargestellt wird. Ist eine Immobilie Gegenstand der Sale-and-lease-back-Transaktion, ist darüber darauf zu achten, durch geeignete Gestaltungen das Anfallen von Grunderwerbsteuer zu vermeiden bzw. weitest möglich zu reduzieren.

Arrendador y arrendatario financiero están de acuerdo en las operaciones de sale-and-lease-back en que la propiedad civil del objeto de arrendamiento, una vez transcurrido el tiempo del contrato de arrendamiento o alquiler, vuelve a recaer sobre el vendedor y arrendatario financiero.
Mientras que desde la perspectiva de los impuestos sobre la renta se plantea la cuestión de a quién debe imputarse la propiedad económica en el sentido del § 39 (2) Núm. 1 Frase 1 de la LGT alemana (véase la sentencia recientemente publicada del Tribunal Federal Supremo de lo Fiscal alemán de fecha 13/10/16 – BFH IV R 33/13), desde el punto de vista del IVA, se plantea la cuestión de si las operaciones de sale-and-lease-back también podrían conducir excepcionalmente a otras prestaciones del comprador y arrendador financiero sujetas al impuesto. El Ministerio Federal de Finanzas, en una circular de fecha 03/02/17 a raíz de una sentencia del BFH de 06/04/16 (BFH V R 12/15), parte de la base de que la entrega del vendedor y el posterior arrendamiento o alquiler por parte del comprador no debe considerarse simplemente como una concesión de un crédito no sujeta al IVA en el sentido de la § 4 Núm. 8 LIVA alemana cuando la adquisición del objeto sujeto al arrendamiento financiero fundamentalmente se financie a través de un crédito del vendedor, lo cual se aclara en el apartado 3.5 (7) del RIVA alemán en una nueva frase 6. En caso de que un inmueble sea objeto de una operación de sale-and-lease-back, se ha de prestar atención a la planificación fiscal adecuada para evitar el ITP o reducir dicho impuesto lo máximo posible.
