[value] => Seit 12.10.2017 steht es fest: Lufthansa kauft die Tochtergesellschaften Niki und Luftfahrtgesellschaft Walter mit zusammen 1300 Beschäftigten sowie 20 weitere Flugzeuge der Air Berlin. Damit möchte Lufthansa ihre Billig-Airline Eurowings stärken.
Ein (Teil-) Zusammenschluss ist jedoch gem. Art. 2 Abs. 3 FKVO als mit dem Gemeinsamen Markt für unvereinbar zu erklären, wenn dadurch wirksamer Wettbewerb erheblich behindert wird. Dies ist insbesondere der Fall, wenn zu erwarten ist, dass durch den Zusammenschluss eine marktbeherrschende Stellung erlangt oder verstärkt wird.
Bereits in der Vergangenheit hat der Lufthansa Konzern den Flugmarkt in Deutschland dominiert. Auf den Strecken, auf denen Lufthansa nur mit Air Berlin konkurrierte (bspw. München – Köln), kommt der Wettbewerb nunmehr zum Erliegen. Durch den Zukauf weiterer Flugzeuge und Start- und Landerechte baut Lufthansa ihre Stellung auf dem Markt für Luftverkehr aus und erlangt auf manchen Strecken sogar eine Monopolstellung. Dies zieht kartellrechtliche Bedenken nach sich. Diese können auch nicht mit dem Argument ausgeräumt werden, dass jedoch eine konzerninterne Konkurrenz zwischen Lufthansa und Eurowings beabsichtigt wird. Denn Konzerne iSv § 18 AktG sind weder der Anwendung des GWB noch der FKVO von vornherein entzogen; sie sind vielmehr als Unternehmen iSd kartellrechtlichen Vorschriften anzusehen.
Die Wiederherstellung des Wettbewerbs – nicht nur unter Konzerntöchtern – und damit verbunden die Genehmigung der Teilfusion könnte bspw. unter der Auflage, Slots an andere Fluggesellschaften abzugeben, erfolgen.
Es bleibt also abzuwarten, wie die EU Kommission die Vereinbarung zwischen Lufthansa und Air Berlin bewerten wird. Die Verhandlungen mit dem britischen Anbieter Easyjet sind beendet und geben Anlass zur Hoffnung auf einen neuen Konkurrenten im Inlandgeschäft. Die Thematik bleibt auch Monate nach der Insolvenzanmeldung aktuell und spannend.

Sin embargo, una fusión (parcial) se considera incompatible con el mercado común si es susceptible de obstaculizar de forma significativa la competencia efectiva en éste, en particular como consecuencia de la creación o refuerzo de Caterina Hanke una posición dominante, así lo estima el art. 2.3 del Reglamento comunitario de concentraciones (Reglamento (CE) 139/2004).
El grupo Lufthansa ya ha dominado en el pasado el mercado aéreo en Alemania. En los trayectos en los que Lufthansa únicamente competía con Air Berlin, como p.ej. Múnich – Cologna, la competencia cesará. Tras la compra de aviones y derechos de despegue y aterrizaje adicionales, Lufthansa refuerza su posición en el mercado aéreo hasta obtener una posición dominante en algunos trayectos, lo que puede parecer problemático respecto al derecho de la competencia. Para despejar estas dudas, no sirve el argumento de Lufthansa que está planificado una competencia interna entre Lufthansa y Eurowings. Grupos en el sentido del art. 18 de la ley de sociedades anónimas alemana no están exentos de la aplicación de ley alemana de competencia desleal, y del reglamento comunitario de concentraciones. Más bien han de ser considerados como empresas en materia de competencia desleal.
El restablecimiento de una competencia leal – no sólo entre filiales de la misma sociedad matriz – y con esto la autorización de la fusión parcial se podría realizar tras imponer ciertas obligaciones a Lufthansa, como puede ser por ejemplo la transferencia de slots (derechos de vuelo) a otras compañías aéreas.
Queda por esperar cómo la Comisión Europea valorará el acuerdo entre Lufthansa y Air Berlin. Las negociaciones con la línea aérea británica Easyjet han terminado y dan motivos para esperar un nuevo competidor en el mercado aéreo interior. La temática sigue siendo actual y interesante, aún meses después de la declaración de insolvencia.
