[value] => Der in der letzten Ausgabe bereits vorgestellte Vorschlag der EU-Kommission vom 22. November 2016 enthält konkrete Empfehlungen an die Mitgliedstaaten, entsprechende Neuregelungen zu schaffen und die bestehenden Regelungen im Lichte der Ziele der EU-Kommission zu überprüfen. Im Folgenden stellen wir die Wichtigsten vor:
Debtor in possession
Der Schuldner soll die Kontrolle über sein Vermögen und die Geschäftsführung behalten. Im Einzelfall kann ein Mediator oder ein Restrukturierungsexperte als Sachwalter beigeordnet werden und eine teilweise Verwaltungs- und Verfügungsbefugnis erhalten.
Temporary Stay
Ein Vollstreckungsaufschub von nicht mehr als vier Monaten soll Raum für die Einleitung von Restrukturierungsmaßnahmen schaffen. In Ausnahmefällen soll ein Vollstreckungsaufschub von bis zu zwölf Monaten möglich sein. Die Insolvenzantragspflicht des Schuldners soll während des Verfahrens ausgesetzt und die Eröffnung eines Insolvenzverfahrens temporär ausgeschlossen sein.
Cross-Class Cram-Down
Restrukturierungspläne, die zu einer Überstimmung betroffener Gruppen führen oder neue Kreditmittel vorsehen, sollen nur bindend sein, wenn sie durch das Gericht oder eine offizielle Stelle bestätigt werden. Sollten einzelne Gläubiger dem Plan nicht zustimmen, so soll das Gericht den Plan unter bestimmten Voraussetzungen, insbesondere wenn alle bekannten Gläubiger informiert wurden sowie nach einem „best interest of creditor test“, einer Art Vergleichsrechnung, gleichwohl bestätigen können, wenn mindestens eine Gläubigerklasse dem Plan zugestimmt hat.
Schaffung von Rechtssicherheit durch Schutz relevanter Maßnahmen
Finanzierungen und Transaktionen, die für die Umsetzung eines Restrukturierungsplans erforderlich sind,sollennichtalsgläubigerbenachteiligende anfechtbare, nichtige oder relativ unwirksame Rechtshandlungen eingestuft werden können.

A continuación, presentamos las más importantes:
Debtor in possession
El deudor podrá mantener el control sobre su patrimonio y la gerencia. En casos aislados se podrá designar a un mediador o a un experto en reestructuración como administrador y obtener una facultad parcial de administración y disposición.
Temporary Stay
Con la suspensión de ejecuciones singulares de no más de cuatro meses se pretende dar tiempo para la puesta en marcha de medidas de reestructuración. En casos excepcionales será posible una suspensión de hasta doce meses. El deber legal del deudor de solicitar el concurso quedará en suspenso durante el proceso y se excluirá de manera temporal la apertura de un procedimiento de insolvencia.
Cross-Class Cram-Down
Los planes de reestructuración que venzan por mayoría de votos a grupos afectados o que prevean nuevos medios de crédito sólo serán vinculantes si son confirmados judicialmente o de una autoridad oficial. Si alguno de los acreedores no se declara de acuerdo con el plan, el tribunal podrá confirmar igualmente dicho plan bajo determinadas condiciones, especialmente si todos los acreedores que fueren conocidos hubieren sido informados y una vez practicado el llamado “best interest of creditor test“ (una especie de cálculo comparativo), al menos una clase de acreedores hubiese mostrado su conformidad con el plan.
Creación de seguridad jurídica mediante la protección de medidas relevantes
Las financiaciones y transacciones (garantías u otros actos de disposición o gravamen que acompañan a esa nueva financiación) que sean necesarias para la puesta en práctica de un plan de reestructuración estarán protegidas frente a las rescisorias concursales.
