[value] => Im Juni dieses Jahres ist in Deutschland das Gesetz zur Umsetzung der 4. EU-Geldwäscherichtlinie in Kraft getreten, welches u.a. die Einrichtung eines sog. Transparenzregisters vorsieht.
Demnach wird ein „Register…. über den wirtschaftlich Berechtigten (Transparenzregister) eingerichtet“. In dieses Register sind solche natürliche Personen einzutragen, die mehr als 25% Kapitalanteile bzw. Stimmrechte haben an Vereinigungen. Als solche werden nach § 20 Abs. 1 S. 1 GWG juristischen Personen und eingetragene Personenvereinigungen verstanden. Einzutragende Daten des wirtschaftlich Berechtigten sind gemäß § 19 Abs. 1 GWG: Vor- und Nachname, Geburtsdatum, Wohnort und Art und Umfang des wirtschaftlichen Interesses. Diese Daten sind auf aktuellem Stand zu halten. Die Mitteilungspflicht entfällt gem. § 20 Abs. 2 GWG dann, wenn sich die Angaben zu den wirtschaftlich Berechtigten bereits aus anderen öffentlichen Registern oder Quellen ergeben, so beispielsweise aus dem Handelsregister/ der Gesellschafterliste. Ergibt sich das wirtschaftliche Interesse aus solch anderen Quellen nicht eindeutig, so ist eine Anzeige beim Transparenzregister erforderlich, so wenn z.B. der Gesellschafter mit einem 20%-Anteil notiert ist, ihm jedoch ein weiterer 10%-Beteiligter kraft einer Stimmbindung zugerechnet wird. Komplizierter sein kann die Beurteilung im Falle einer wirtschaftlichen Berechtigung durch eine mittelbare Kontrolle. Zur Einsicht berechtigt sind u.a. Behörden, Verpflichtete (Unternehmen, die Sorgfaltspflichten zur Prävention von Geldwäsche einhalten müssen) sowie jeder, der ein berechtigtes Interesse darlegen kann. Die Einsichtnahme kann beschränkt werden, wenn überwiegende schutzwürdige Interessen des wirtschaftlich Berechtigten der Einsichtnahme entgegenstehen. Geführt wird das Transparenzregister bei der Bundesanzeiger Verlags GmbH. Die Mitteilungen hatten erstmalig bis zum 1.10.2017 zu erfolgen. Allerdings soll eine Einsicht in das Transparenzregister erst ab dem 27.12.2017 möglich sein.

[value] => En junio de este año entró en vigor en Alemania la ley para la transposición de la cuarta Directiva de la UE contra el blanqueo de capitales, que prevé, entre otras cosas, el establecimiento de un registro central.
Se trata de un registro para la transparencia de la titularidad real en el que deberán registrarse las personas físicas que sean titulares o tengan, al menos, un 25% de las participaciones de una sociedad, entendida como tal, de acuerdo con el artículo 20 apartado1 párrafo 1 de la Ley contra el blanqueo de capitales (GWG), las personas jurídicas y las sociedades inscritas. Los datos sobre los titulares reales que se tienen que designar en el registro son los siguientes según el art. 19 ap. 1 GWG: nombre y apellido, fecha de nacimiento, dirección y tipo y grado de interés económico. Los datos se tienen que mantener actualizados. Estarán exentos del deber de facilitar esta información al registro central, si los datos referidos están ya incluidos en otros registros públicos, como el Registro Mercantil donde figura el listado de socios (obligatorio en Alemania). Si no se pueden deducir estos datos fácilmente de otros registros, la comunicación al registro central será obligatoria. Esto puede ser el caso, por ejemplo, de un titular real que mantenga solo un 20% de participaciones en una sociedad, pero se le puede adjudicar la participación de un 10% de otro socio si el voto de este último está vinculado. En caso de que la titularidad real se ejerza tras un control indirecto puede resultar más complicado. Tienen derecho a consultar el contenido del registro las administraciones públicas, obligados (empresas obligadas a cumplir ciertos requisitos en relación con el blanqueo de capitales), y las personas que pueden demostrar un interés legítimo. Podrá restringirse el acceso en caso de intereses legítimos de protección del titular real. Será la “Bundesanzeiger Verlags GmbH” quien llevará el registro. Las comunicaciones se tenían que hacer por primera vez hasta el 1.10.2017. Está previsto que el acceso al registro sea posible el 27.12.2017.
