[value] => Am 15. April 2016 hat sich das Landgericht (Audiencia Provincial) von Madrid („APM“) zu der Wirksamkeit einer satzungswidrigen Übertragung von Gesellschaftsanteilen geäußert. Die Gesellschaftsstatuten räumten den Gesellschaftern im Falle einer Übertragung von Gesellschaftsanteilen ein Vorkaufsrecht ein. Der Mehrheitsaktionär übertrug seine Anteile an Dritte unter Verstoß dieses Verfahrens. Einige Zeit danach wurde weder den Anteilserwerbern noch dem übertragenden Gesellschafter die Teilnahme an einer Hauptversammlung gestattet, obwohl einige der Erwerber bereits zuvor ohne Widerspruch seitens der anderen Gesellschafter an Versammlungen teilgenommen hatten. Nach Ansicht der APM reicht dieser Umstand nicht aus, eine seitens der Gesellschaft stillschweigende Zustimmung zur fehlerhaften Übertragung anzunehmen, u.a. da die Übertragung nicht in das Gesellschafterregister eingetragen worden war, und anlässlich späterer verschiedener gesellschaftlicher Ereignisse die gegensätzlichen Einstellungen der Gesellschafter deutlich wurden.
Dem Landgericht zufolge könne eine solche Zustimmung das Vorkaufsrecht der übrigen Gesellschafter nicht verletzen, da die Satzungsklausel nicht einer „gesellschaftlichen Zustimmungs- bzw. Genehmigungsklausel“ entspreche, sondern einer Gewährung individueller Vorrechte der Gesellschafter, die durch besagte Übertragung verletzt worden wären. Die APM bestätigt damit die herrschende Auffassung der Rechtslehre: obgleich der Erwerber über Titel und Modus (der Kaufvertrag) verfügt, wird die Übertragung nicht wirksam, da dem Übertragenden durch die in der Satzung vorgesehene Beschränkung die entsprechende Verfügungsgewalt fehlt. Die Übertragung der Gesellschaftsanteile ist damit, unbeschadet der möglichen schuldrechtlichen Auswirkungen zwischen Käufern und Verkäufer, gegenüber der Gesellschaft unwirksam.

Los estatutos de la sociedad otorgaban un derecho de adquisición preferente a los socios en caso de transmisión de participaciones. El socio mayoritario transmitió sus participaciones a terceros, incumpliendo el procedimiento. Transcurrido un tiempo, no se admitió participar a los adquirentes de las participaciones, ni al socio transmitente en una Junta General, pese a que algunos de los adquirentes habían participado anteriormente en sendas juntas sin encontrar oposición por parte de los demás socios. La APM entiende que esta circunstancia no es suficiente para apreciar un consentimiento tácito por parte de la sociedad a la transmisión defectuosa, más aún cuando ésta no llegó a inscribirse en el libro registro de socios y habiéndose producido posteriormente diferentes actos sociales manifestando la postura enfrentada de los socios.
Según el juez tal consentimiento no podría dañar el derecho de los demás socios a adquirir preferentemente, pues la cláusula estatutaria no responde a una “cláusula de consentimiento o autorización social”, sino a la concesión de derechos individuales de preferencia a los socios, que se habrían vulnerado con dicha transmisión. Así, la APM acepta la interpretación más extendida en la doctrina mercantilista: a pesar de que el adquirente tiene título y modo (el contrato de compraventa), el efecto transmisivo no se produce, dado que falta el poder de disposición del transmitente, al estar éste limitado por la previsión estatutaria. Por tanto, la sentencia declara que la transmisión de participaciones carece de efecto frente a la sociedad –sin perjuicio de los efectos obligacionales que puedan desplegarse entre los compradores y el vendedor–.
