[value] => In diesem Artikel fassen wir die wichtigsten Auswirkungen des königlichen Gesetzesdekretes 8/2020 vom 17. März über dringende außerordentliche Maßnahmen zur Bekämpfung des COVID-19 zusammen:
1. Verlängerung der Frist für die Aufstellung von Jahresabschlüssen
Die Frist von drei Monaten ab dem Ende des Geschäftsjahres für die Aufstellung des Jahresabschlusses und der weiteren rechtsverbindlichen Dokumente wird bis zum Ende des Alarmzustandes ausgesetzt. Nach dem Ende des Alarmzustandes gilt eine neue Frist von drei Monaten.
2. Frist für die Feststellung des Jahresabschlusses durch die Hauptversammlung
Die Feststellung des Jahresabschlusses durch die Hauptversammlung muss innerhalb von drei Monaten nach Ablauf der Aufstellungsfrist für den Jahresabschluss erfolgen. Dies bedeutet, dass der Jahresabschluss spätestens sechs Monate nach dem Ende des Alarmzustandes festgestellt werden muss.
3. Frist für die Legalisierung der Geschäftsbücher
Das königliche Gesetzesdekret enthält keine Vorschriften zur Frist für die Legalisierung der Geschäftsbücher. Unter Berücksichtigung der allgemeinen Aussetzung aller gewöhnlichen Fristen und insbesondere der Fristverlängerung für die Aufstellung von Jahresabschlüssen kann allerdings davon ausgegangen werden, dass die Frist für die Legalisierung der Geschäftsbücher ebenfalls bis zum Ende des auf die Aufstellungsfrist für den Jahresabschlusses folgenden Monats ausgesetzt wird. Dies würde bedeuten, dass die Frist für die Legalisierung der Geschäftsbücher vier Monate nach dem Ende des Alarmzustandes betragen würde.
4. Verlängerung der Frist für die Pflichtprüfung von Jahresabschlüssen
Die Frist für die Pflichtprüfung von Jahresabschlüssen wird für diejenigen Unternehmen, die ihren Jahresabschluss bereits vor der Erklärung des Alarmzustandes aufgestellt hatten, um zwei Monate ab dem Ende des Alarmzustandes verlängert.
Die offensichtlichen negativen wirtschaftlichen Folgen des COVID-19 auf alle Unternehmen können grundsätzlich die Frage aufwerfen, ob diese Folgen bereits im Jahresabschluss für das Geschäftsjahr 2019 berücksichtigt werden müssen.
Grundsätzlich sind bei der Aufstellung des Jahresabschlusses diejenigen Ereignisse nach dem Abschlussstichtag zu berücksichtigen, die bereits am Bilanzstichtag vorliegende Gründe offenbaren. In Abhängigkeit von ihrer Art führen diese Ereignisse entweder zu einer Anpassung des Jahresabschlusses und/oder zu einer Anhangsangabe im Jahresabschluss sowie gegebenenfalls zur Erfassung einer ergebniswirksamen Rückstellung.
Wenn die Ereignisse nach dem Abschlussstichtag demgegenüber jedoch Gründe offenbaren, die am Bilanzstichtag noch nicht bestanden haben, führt dies nicht zu einer Anpassung des Jahresabschlusses. Sollten die Ereignisse nach dem Bilanzstichtag allerdings wesentlich für das Verständnis des Jahresabschlusses sein, ist eine dementsprechende Anhangsangabe einschließlich einer Schätzung der wirtschaftlichen Folgen erforderlich.

[value] => En el presente artículo recogemos las implicaciones contables del Real Decreto-Ley 8/2020, de 17 de marzo, de medidas urgentes extraordinarias para hacer frente al impacto económico y social del COVID-19:
1. Ampliación del plazo de formulación de las cuentas anuales
El plazo de tres meses a contar desde el cierre del ejercicio social para la formulación de las cuentas anuales y los demás documentos que sean legalmente obligatorios, queda suspendido hasta que finalice el estado de alarma, reanudándose de nuevo por otros tres meses a contar desde esa fecha.
2. Plazo para la aprobación de las cuentas anuales por la Junta General
La aprobación de las cuentas anuales por la Junta General debe realizarse dentro de los tres meses siguientes a contar desde que finalice el plazo para formular las cuentas anuales.
3. Plazo para la legalización de los libros contables
Nada dice el RDL acerca del plazo para la legalización de los libros contables, pero teniendo en cuenta la suspensión general de los plazos ordinarios y particularmente, la del plazo para la formulación de las cuentas anuales, puede suponerse que el plazo para la legalización de los libros contables también queda suspendido hasta el final del mes siguiente al plazo límite para la formulación de cuentas. Por lo tanto, el plazo resultante sería de cuatro meses desde la fecha de finalización del estado de alarma.
4. Ampliación del plazo para la auditoría obligatoria de las cuentas anuales
El plazo para la auditoría de las cuentas anuales, si ésta fuera obligatoria, se entiende prorrogado por dos meses a partir de la fecha de finalización del estado de alarma, para aquellas entidades que ya habían formulado sus cuentas anuales con anterioridad a la fecha de declaración del estado de alarma.
El evidente impacto económico negativo del COVID-19 en las empresas ahora puede conducir a la pregunta de si debemos tener en cuenta estos efectos en el cierre del ejercicio 2019.
En general, los hechos posteriores que pongan de manifiesto condiciones ya existentes a la fecha de cierre del ejercicio, deberán tenerse en cuenta para la formulación de las cuentas anuales. Estos hechos posteriores motivarán, en función de su naturaleza, un ajuste en las cuentas y/o información en la memoria y en su caso, darán lugar al registro de una provisión con cargo a la cuenta de resultados.
En cambio, si los hechos posteriores ponen de manifiesto condiciones que no existían a la fecha de cierre, no supondrán un ajuste en las cuentas anuales. No obstante, cuando los hechos sean materiales para la comprensión de los estados financieros, se deberá informar en la memoria acerca de la naturaleza del hecho posterior conjuntamente con una estimación de su efecto económico.
