[value] => Der Austritt des Vereinigten Königreichs aus der EU („Brexit“) verursacht für diejenigen deutschen Unternehmen Unsicherheit, die sich derzeit einer englischen Rechtsform bedienen. Charakteristisch für diese Gesellschaften ist, dass sie nach englischem Recht gegründet worden sind, ihre Geschäftstätigkeit jedoch ausschließlich in Deutschland ausüben. Oder rechtlich ausgedrückt: Diese Gesellschaften haben ihren Satzungssitz in England und ihren Verwaltungssitz in Deutschland. Bekannte Beispiele sind die Drogerie Müller Ltd. & Co. KG und die Air Berlin PLC & Co. Luftverkehr KG.
Bislang profitieren diese Gesellschaften von der unionsrechtlichen Niederlassungsfreiheit, die explizit die grenzüberschreitende Verwendung sog. Briefkastengesellschaften gestattet. Entsprechend gilt für sie nach der Rechtsprechung des Bundesgerichtshofs (BGH) die sog. Gründungstheorie. Danach ist für diese Gesellschaften das Recht des Staates maßgeblich, nach dessen Recht sie gegründet wurden, und zwar unabhängig vom effektiven Verwaltungssitz. Mittlerweile ist klar, dass die britische Regierung einen „harten“ Brexit verfolgt; denn die grenzüberschreitende Freizügigkeit des Personenverkehrs soll gerade nicht beibehalten werden. Vielmehr sollen die Wirtschaftsbeziehungen durch ein Abkommen gestaltet werden. Dabei kommt die Anerkennung englischer Gesellschaften in Deutschland nur in Betracht, wenn hierzu eine ausdrückliche völkerrechtliche Regelung vorgesehen wird. Andernfalls wird der BGH auf englische Gesellschaften die sog. Sitztheorie anwenden. Danach entscheidet der tatsächliche Verwaltungssitz über das anwendbare Gesellschaftsrecht.
Bei der Konstellation einer englischen Gesellschaft, die im Vereinigten Königreich nur über einen Briefkasten verfügt und ihre Haupttätigkeit in Deutschland ausübt, wäre dies das deutsche Gesellschaftsrecht. Welche rechtlichen Konsequenzen sich hieraus ergeben und wie unerwünschte Folgen vermieden werden können, wird Gegenstand unseres nächsten Newsletters sein.

[value] => Con ocasión de la salida del Reino Unido de la UE (“Brexit”) reflexionaba nuestro artículo de enero sobre el peligro que corren aquellas sociedades constituidas con arreglo a la jurisdicción inglesa pero con centros operativos en Alemania, de no ser reconocidas en Derecho alemán como tal. En el futuro, estas sociedades habrán de someterse a la legislación alemana, determinando la normativa societaria alemana aplicable en cada caso, llevando a cabo una comparación entre las formas societarias propias del derecho inglés y los tipos societarios existentes en Alemania. En este sentido, la Limited se aproxima a la sociedad de responsabilidad limitada alemana (GmbH), siendo la PLC inglesa parecida a la sociedad anónima alemana (AG).
Ahora bien, estas formas societarias alemanas sólo pueden constituirse y persistir si cumplen una serie de requisitos. En efecto, es imposible adoptar la forma societaria de sociedades capitalistas alemanas sin más, ya que la normativa aplicable – tanto a la GmbH como a la AG– exige su inscripción en el Registro Mercantil, cosa que no ocurre con sociedades constituidas en el Reino Unido. Por lo tanto, dichas sociedades han de calificarse como sociedades personalistas, tales la sociedad colectiva (OHG) o la sociedad civil (GbR). Para todas estas formas societarias, la legislación alemana dicta que los socios responden personalmente de forma ilimitada de las deudas de la empresa, responsabilidad ésta que justamente se quería evitar. A la luz de estas graves consecuencias, se está desenvolviendo un debate acerca de la conveniencia de garantizar a estas sociedades inglesas la protección de los derechos adquiridos, incluso una vez haya tenido lugar el Brexit.
Sin embargo, entendemos que como mucho habrá una protección temporal, por lo que en la práctica se debe claramente aconsejar que se aproveche el período de dos años de negociaciones que se abrirá tras la solicitud oficial británica de abandonar la UE para transformar a la sociedad inglesa existente a en una sociedad del régimen jurídico alemán.
