[value] => Angesichts der wachsenden Verbreitung neuer Technologien nutzen Unternehmen die von den elektronischen Systemen angebotenen Mittel, um die Erledigung bürokratischer Formalitäten zu optimieren. Die elektronische Signatur dient der Vereinfachung und Beschleunigung alltäglicher Arbeitsprozesse und Formalitäten. Ihre zunehmende Verwendung im Rechtsverkehr wirft jedoch manchmal Fragen hinsichtlich ihrer Gültigkeit auf.
Gesetzliche Regelung der elektronischen Signatur
Die Rechtsgültigkeit der elektronischen Signatur in Spanien ist durch die Verordnung (EU) Nr. 910/2014 geregelt, die eine einheitliche Bestimmung der elektronischen Signatur für die Europäische Union festlegt. In Spanien wird sie über das Gesetz der elektronischen Signatur (Ley 59/2003) geregelt. In beiden Fällen wird darauf abgezielt, die Authentizität und Fälschungssicherheit eines elektronisch signierten Dokuments zu gewährleisten.
Gem. Art. 25 der EU-Verordnung Nr. 910/2014 kann einer elektronischen Signatur weder ihre rechtliche Wirksamkeit noch ihre Zulässigkeit als Beweismittel in Gerichtsverfahren aus dem einfachen Grund abgesprochen werden, dass sie eine elektronische und somit eine nicht qualifizierte Signatur ist. Eine qualifizierte elektronische Signatur ist genauso rechtswirksam wie eine handschriftliche Unterschrift. Für ein Unternehmen ist es daher unerlässlich, eine qualifizierte elektronische Signatur zu verwenden.
Die qualifizierte elektronische Signatur
Die elektronische Signatur wird durch ein qualifizierendes Zertifikat generiert. Es handelt sich dabei um ein elektronisches Dokument, das die Validierungsdaten einer Signatur mittels einer Reihe von Schlüsseln mit einer konkreten natürlichen oder juristischen Person verknüpft. Das Zertifikat muss von einem offiziellen Zertifizierungsdienstanbieter erstellt werden.
Derzeit ist die qualifizierte elektronische Signatur in dieser Hinsicht einer handschriftlichen Unterschrift gleichgestellt. Ihre Verwendung ist absolut zulässig.
Zulässigkeit der qualifizierten elektronischen Signatur
In Art. 8.1 des Gesetzes über die Arbeitnehmerrechte ist festgelegt, dass Arbeitsverträge grundsätzlich schriftlich abzuschließen sind, um eine größere rechtliche Sicherheit zu erlangen.
Da es sich bei einem Arbeitsvertrag um ein sehr vertrauliches Dokument handelt, ist es besonders wichtig dass die vertragliche Einigung authentisch ist. Die qualifizierte elektronische Signatur garantiert die Authentizität, Urheberschaft und Identität der erteilten Zustimmung.
Des Weiteren ist zu beachten, dass der Empfänger der arbeitsrechtlichen Dokumente (sei es der Arbeitnehmer oder die Verwaltung) über eine gleichwertige qualifizierte elektronische Signatur verfügen muss. Nur so kann das Zustandekommen der Einigung und somit des Vertrages gewährleistet werden.
Als eine qualifizierte elektronische Signatur ist sie der handschriftlichen Unterschrift gleichgestellt und kann in einem Unternehmen zur Unterzeichnung jederzeit verwendet werden.

[value] => Con el auge de las nuevas tecnologías, las empresas buscan en los sistemas electrónicos las herramientas para optimizar los trámites burocráticos. La firma electrónica es una de ellas ya que agiliza los procesos y trámites cotidianos, aunque su uso creciente en el tráfico jurídico plantea a veces dudas sobre su validez.
Previsiones legales sobre la firma electrónica
La validez de la firma electrónica en España está regulada por el Reglamento 910/2014, de aplicación unificada en la Unión Europea. La Ley 59/2003, sobre firma electrónica, lo hace por su parte a nivel nacional. La finalidad, en ambos casos, es garantizar la autoría y autenticidad de un documento suscrito electrónicamente.
El art. 25 del Reglamento 910/2014 dispone, en primer lugar, que no se denegarán efectos jurídicos ni admisibilidad como prueba en procedimientos judiciales a una firma electrónica por el mero hecho de serlo o por no ser cualificada. En segundo lugar, establece que una firma electrónica cualificada tendrá un efecto jurídico equivalente al de una firma manuscrita. Resulta pues indispensable que la empresa que decida automatizar la firma de un contrato de trabajo de manera telemática con el máximo nivel de garantías jurídicas, lo haga a través de un sistema de firma electrónica cualificada.
¿Qué es la firma electrónica cualificada?
Es aquella que se elabora con un certificado de firma electrónica cualificado, esto es, un documento electrónico que vincula los datos de validación de una firma con una persona física o jurídica concreta mediante un conjunto de claves. Para que sea cualificado, el certificado debe ser expedido por una Autoridad de Certificación Cualificada.
Actualmente, la firma electrónica cualificada equivale a una firma manuscrita. En el ámbito de las relaciones laborales, esto significa que su empleabilidad es perfectamente válida.
Equiparabilidad y admisibilidad de la firma electrónica cualificada
El art. 8.1 del Estatuto de los Trabajadores establece la obligatoriedad de celebrar los contratos de trabajo por escrito - salvo algunas excepciones - para conseguir una mayor seguridad jurídica. Siendo el contrato laboral un documento de carácter personalísimo, resulta especialmente conveniente asegurar que la prestación del consentimiento sea auténtica. La firma electrónica cualificada es la que realmente garantiza la autenticidad, autoría e identidad del consentimiento que se presta.
Un factor importante a tener en cuenta es que el destinatario de los documentos laborales (ya sea el trabajador o la administración) ha de contar con una herramienta de firma electrónica cualificada al mismo nivel. Sólo así podrá garantizarse el perfeccionamiento del consentimiento y por tanto del contrato.
Cabe concluir por tanto que la firma electrónica cualificada es equiparable a la manuscrita y su uso en la empresa es válido en la firma de cualquier documento de índole laboral.
